Infrastructure Finance Tahun 2023 (“Surat Berharga
Perpetual”) yang dituangkan dalam Akta Addendum
II dan Pernyataan Kembali No. 270 tanggal 27
Desember 2023 yang dibuat di hadapan Jimmy
Tanal, S.H., M.Kn., Notaris di Jakarta, antara PT
Indonesia Infrastructure Finance (“Perseroan”) dan
PT Bank Mega Tbk, (“Perjanjian Perwaliamanatan"),
Perseroan wajib mendistribusikan imbal bagi hasil
atas Surat Berharga Perpetual kepada pemegang
Surat Berharga Perpetual sebagaimana disebutkan
di atas, saat Perseroan memutuskan melakukan
pembagian dividen kepada para Pemegang Saham.
Sehubungan dengan hal tersebut, Perseroan telah
melaksanakan Rapat Umum Pemegang Saham
Tahunan untuk tahun buku 2025 (“RUPST”) pada
tanggal 29 April 2026, di mana pemegang saham
Perseroan telah menyetujui dalam salah satu
agenda RUPST untuk melakukan pembayaran
dividen tunai atas tahun buku 2025 kepada
pemegang saham Perseroan beserta pembayaran
imbal bagi hasil atas Surat Berharga Perpetual
untuk periode Juli 2026 dan Januari 2027. Adapun
Keputusan RUPST ini telah dicatat oleh Utiek R.

Dear Sir/Madam,
Pursuant to Article 5 paragraphs 4.2 and 8 of the
Trustee Agreement for the Indonesia Infrastructure
Finance 2023 Green Perpetual Securities
(“Perpetual Bonds”), as stipulated in Addendum II
and Restatement Deed No. 270 dated 27 December
2023, drawn before Jimmy Tanal, S.H., M.Kn.,
Notary in Jakarta, between PT Indonesia
Infrastructure Finance (the “Company”) and PT
Bank Mega Tbk (the “Trustee Agreement”), the
Company is reguired to distribute profit sharing
returns on the Perpetual Bonds to the holders of the
Perpetual Bonds as referred to above, whenever the
Company decides to distribute dividends to its
Shareholders.
In this regard, the Company has convened the
Annual General Meeting of Shareholders for the
financial year 2025 ("AGMS”) on 29 April 2026,
whereby the shareholders of the Company
approved, under one of the AGMS agenda items, the
payment of cash dividends for the financial year
2025 to the Company's Shareholders, together with
the payment of profit sharing returns on the
Perpetual Bonds for the periods of July 2026 and
January 2027. The resolutions of the AGMS have

Distribusi pembayaran imbal bagi hasil kepada pemegang Surat Berharga Perpetual akan dilaksanakan sesuai dengan ketentuan Akta Perjanjian Perwaliamanatan yakni setiap 6 bulan sekali terhitung sejak tanggal emisi yakni tanggal 9 Juli dan 9 Januari. Dengan demikian, distribusi pembayaran imbal bagi hasil kepada pemegang Surat Berharga Perpetual untuk tahun 2026 akan dilaksanakan pada tanggal 9 Juli 2026 dan 9 Januari 2027. Dapat kami informasikan juga bahwa keputusan pembayaran imbal hasil atas Surat Berharga Perpetual periode 9 Juli 2026 dan 9 Januari 2027 telah dipublikasikan pada surat kabar nasional pada tanggal 8 Mei 2026 sebagaimana terlampir. The distribution of profit sharing payments to the holders of the Perpetual Bonds shall be carried out in accordance with the provisions of the Trustee Agreement, namely every 6 (six) months from the issuance date, specifically on 9 July and 9 January. Accordingly, the distribution of profit sharing payments to the holders of the Perpetual Bonds for the year 2026 shall be made on 9 July 2026 and 9 January 2027. We would also like to inform you that the decision regarding the payment of profit sharing returns on the Perpetual Bonds for the periods of 9 July 2026 and 9 January 2027 has been published in a national newspaper on 8 May 2026, as attached hereto.
