Uraian Informasi atau Fakta Material Description of Material Information or Facts Perseroan telah menerima informasi bahwa PT Adyatama Global Investama (AGI) dan PT Alfa Omega Investindo (AOI) (AGI dan AOI selanjutnya bersama-sama disebut sebagai “Para Penjua?”) selaku pemegang saham pengendali dan utama Perseroan telah menandatangani Perjanjian Jual Beli Saham Bersyarat dengan PT NEV Stored Energy (NSE) dan PT Longping Investasi Indonesia (LI) (NSE dan LII selanjutnya bersama-sama disebut sebagai “Para Pembeli”) sebagaimana diubah dengan Adendum atas Perjanjian Jual Beli Saham Bersyarat, yang berlaku efektif pada hari Kamis, 2 Mei 2024, sehubungan dengan rencana pengambilalihan seluruh saham milik Para Penjual oleh Para Pembeli (“Perjanjian Jual Beli Saham Bersyarat”). Berdasarkan Perjanjian Jual Beli Saham Bersyarat tersebut, rencana pengambilalihan saham dilakukan dengan rincian: 1. Para Penjual bermaksud menjual keseluruhan saham yang dimiliki pada Perseroan sejumlah 800.000.000 (delapan ratus juta) lembar saham yang mewakili sekitar 79,1Yo kepemilikan langsung pada Perseroan dengan rincian sebagai berikut: '”—— 2/6

Kepemilikan saham AGI adalah sebesar 480.000.000 (empat ratus delapan puluh juta) lembar saham atau yang pada tanggal laporan ini setara dengan sekitar 47,46”o dari seluruh modal disetor dan ditempatkan Perseroan. B. Kepemilikan saham AOI adalah sebesar 320.000.000 (tiga ratus dua puluh juta) lembar saham atau yang pada tanggal laporan ini setara dengan sekitar 31,64”6 dari seluruh modal disetor dan ditempatkan Perseroan. 2. Pasca pengambilalihan saham, Para Pembeli masing-masing akan memiliki saham dalam Perseroan dengan rincian sebagai berikut: A. NSE akan memiliki saham sebesar 560.000.000 (lima ratus enam puluh juta) lembar saham. B. LII akan memiliki saham sebesar 240.000.000 (dua ratus empat puluh juta) lembar saham. 3. Dengan pengambilalihan kepemilikan saham Para Penjual dalam Perseroan oleh Para Pembeli, disepakati bahwa segala hak dan kewajiban atas saham yang dialihkan akan juga beralih sesuai dengan Perjanjian Jual Beli Saham Bersyarat. Penyelesaian rencana pengambilalihan saham ini tunduk pada pemenuhan persyaratan pendahuluan sebagaimana diatur dalam Perjanjian Jual Beli Saham Bersyarat, termasuk di antaranya mendapatkan persetujuan Rapat Umum Pemegang Saham Perseroan. Setelah penyelesaian rencana pengambilalihan saham ini, maka Para Pembeli akan menjadi pemegang saham pengendali dan utama Perseroan. The Company has received information that PT Adyatama Global Investama (AGI) and PT Alfa Omega Investindo (AOI) (AGI and AOI shall collectively be referred to as the “Sellers”) as the controlling and principal shareholders of the Company has signed a Conditional Share Sale and Purchase Agreement with PT NEV Stored 3/6

LADANGBAJA MURNI Tbk Industri Sel 8 Blok EE/7c, Kawasan Industri Jababeka 2, Bekasi, Jawa Barat, 17550 Phone (021) 6511 595 Website: www.ladangbajamumi.com BM Energy (NSE) and PT Longping Investasi Indonesia (LII) (NSE and LII shall collectively be referred to as the “Buyers”) as amended by the Addendum to the Conditional Share Sale and Purchase Agreement, that comes into effect on Thursday, May 2, 2024, in connection with the plan for the Buyers to acguire all shares owned by the Sellers (hereinafter the “CSPA”). Based on the CSPA, the share acguisition plan will be carried out with the following details: 1. The Sellers intend to sell a total of 800,000,000 (eight hundred million) shares owned in the Company representing approximately 79.146 direct ownership in the Company with the following details: A. AGI's share ownership is 480,000,000 (four hundred and eighty million) shares or, which on the date of this report, the eguivalent of approximately 47.4696 of the Company's total paid-up and issued capital. B. AOI's share ownership is 320,000,000 (three hundred and twenty million) Shares or, which on the date of this report, the eguivalent of approximately 31.6446 of the Company 's total paid-up and issued capital. 2. Post share acguisition, the Buyers will respectively own shares in the Company with the following details: A. NSE will own shares amounting to 560,000,000 (five hundred and sixty million) shares. B. LII will own shares amounting to 240,000,000 (two hundred and forty million) shares. 3. With the acguisition of the Sellers' share ownership in the Company by the Buyers, it is agreed that all rights and obligations over the transferred shares shall also be transferred in accordance with the CSPA. Completion of this share acguisition plan is | subject to the fulfillment of conditions precedent as regulated in the CSPA, including obtaining the | 416

After the completion of this share acguisition plan, the Buyers will become the new controlling and principal shareholders of the Company. Dampak Kejadian, Informasi atau Fakta Material terhadap Kegiatan Operasional, Hukum, Kondisi Keuangan atau Kelangsungan Usaha Emiten Implication of Event, Material Information or Facts on the Operational, Activity, Legal, Financial Condition or Business Continuity of Issuer Setelah selesainya rencana pengambilalihan saham, maka penyelesaian tersebut akan menyebabkan perubahan pemegang saham pengendali dan utama Perseroan dari Para Penjual menjadi Para Pembeli. Pada tahap ini, Perseroan belum dapat memastikan dampak informasi dan fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha Perseroan. Upon the completion of the share acguisition plan, such completion will result in a change of controlling and principal shareholders in the Company from the Sellers to the Buyers. At this stage, the Company is not yet able to foresee the impact of the above-mentioned material information or facts on the operational activities, legal, financial conditions, or business continuity of the Company. Pernyataan Direksi dan Dewan Komisaris Statements of Board of Directors and Board of Commissioners Direksi dan Dewan Komisaris menyampaikan seluruh informasi berdasarkan pengetahuan dan fakta yang telah diterima oleh Perseroan, selain itu Direksi menyampaikan hal-hal sebagai berikut: 1. Transaksi ini bukan merupakan transaksi material sebagaimana dimaksud dalam peraturan OJK terkait. 2. Transaksi ini bukan merupakan transaksi afiliasi sebagaimana dimaksud dalam peraturan OJK terkait. 3. Transaksi ini bukan merupakan transaksi benturan kepentingan sebagaimana dimaksud dalam peraturan OJK terkait.
