Transaksi material ini merupakan perolehan fasilitas Kredit Investasi (KI) Refinancing dari PT Bank Negara
Indonesia (Persero) Tbk ( BNI ) berdasarkan Perjanjian Kredit Nomor 022/JPM/PK-KI/2026 dengan nilai fasilitas
maksimum sebesar USD9,000,000.00. Fasilitas tersebut digunakan untuk pengambilalihan (refinancing) fasilitas
kredit investasi Perseroan dari Eximbank kepada BNI. Total nilai transaksi refinancing tersebut setara sekitar
Rp148,5 miliar atau sekitar 38% dari total ekuitas Perseroan berdasarkan Laporan Keuangan Auditan Perseroan
per 31 Desember 2025 sebesar USD23.483.137. Dengan demikian, transaksi ini termasuk kategori Transaksi
Material sebagaimana dimaksud dalam POJK No.17/POJK.04/2020 dengan nilai lebih dari 20% namun kurang dari
50% ekuitas Perseroan dan tidak memerlukan persetujuan RUPS. Transaksi ini dikecualikan dari kewajiban
penggunaan Penilai Independen dan pendapat kewajaran berdasarkan Pasal 11 huruf b POJK
No.17/POJK.04/2020 karena merupakan fasilitas pinjaman yang diterima secara langsung dari bank. BNI
merupakan pihak ketiga independen dan transaksi ini bukan merupakan Transaksi Afiliasi maupun Transaksi
Benturan Kepentingan sebagaimana dimaksud dalam POJK No.42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan.

This material transaction constitutes the acquisition of an Investment Credit (KI) Refinancing Facility from PT Bank
Negara Indonesia (Persero) Tbk ( BNI ) pursuant to Credit Agreement No. 022/JPM/PK-KI/2026 with a maximum
facility amount of USD9,000,000.00. The facility is intended for the takeover (refinancing) of the Company s existing
investment credit facility from Eximbank to BNI. The total transaction value of the refinancing facility is equivalent to
approximately Rp148.5 billion, representing approximately 38% of the Company s total equity based on the
Company s Audited Financial Statements as of December 31, 2025 amounting to USD23,483,137. Accordingly, the
transaction qualifies as a Material Transaction as defined under OJK Regulation No. 17/POJK.04/2020, with a
transaction value exceeding 20% but below 50% of the Company s equity, and therefore does not require approval
from the General Meeting of Shareholders ( GMS ). This transaction is exempt from the requirement to appoint an
Independent Appraiser and obtain a fairness opinion pursuant to Article 11 letter b of OJK Regulation No.
17/POJK.04/2020, as it constitutes a loan facility directly obtained from a bank. BNI is an independent third party,
and this transaction does not constitute an Affiliate Transaction or a Conflict of Interest Transaction as defined
under OJK Regulation No. 42/POJK.04/2020 concerning Affiliate Transactions and Conflict of Interest Transactions.
