Pemegang Saham Publik dengan harga penawaran sebesar
Rp250(dua ratus lima puluh Rupiah) setiap saham (“Harga
Penawaran Tender Sukarela”), sebagai berikut:
Metro Pacific Tollways Indonesia (MPTIS), the Controlling
Shareholder, has issued an announcement regarding the
extension of the Voluntary Tender Offer period to purchase
the shares of PT Nusantara Infrastructure Tbk
(the Company/Target Company) owned by Public
Shareholders at an offering price of Rp250 (two hundred and
fifty Rupiah) per share ("Voluntary Tender Offer Price"), as
follows:
1. Perpanjangan Jangka Waktu/ Term of Extension
Perpanjangan periode Penawaran Tender Sukarela akan
dimulai sejak pukul 08.30 WIB tanggal 18 April 2024
sampai dengan pukul 16.00 WIB tanggal 17 Mei 2024
(“Perpanjangan Periode Penawaran Tender Sukarela”).
The extension of the Voluntary Tender Offer period will
commence from 8:30 WIB on 18 April 2024 until 16.00
WIB on 17 May 2024 ("Extension of the Voluntary Tender
Offer Period").
2. Penerimaan dan Pembayaran Harga Penawaran
Tender Sukarela/ Acceptance and Payment of
Voluntary Tender Offer Price
Pemegang Saham Publik yang berniat untuk menerima
Penawaran Tender Sukarela dalam masa Perpanjangan
Periode Penawaran Tender Sukarela wajib melengkapi
dan mengajukan semua dokumen yang dipersyaratkan
untuk Penawaran Tender Sukarela ini sebelum tanggal
penutupan, selambat-lambatnya pada pukul 16.00 WIB
tanggal 17 Mei 2024. Para pemegang saham yang belum
memiliki Formulir Penawaran Tender Sukarela, atau ingin
mengetahui keterangan lainnya, dapat menghubungi

Tender Offer during the Extension of the Voluntary Tender
Offer Period must complete and submit all documents
required for this Voluntary Tender Offer before the closing
date, no later than 16.00 WIB on 17 May 2024.
Shareholders who do not have a Voluntary Tender Offer

Payment of the Voluntary Tender Offer Price to
shareholders who offered their shares for sale during the
Extended Voluntary Tender Offer Period will be made on
29 May 2024.
Pembayaran Harga Penawaran Tender Sukarela kepada
para pemegang saham yang telah menyampaikan
Formulir Penawaran Tender Sukarela yang telah
dilengkapi beserta kelengkapan dokumen yang
disyaratkan hingga pukul 16.00 WIB tanggal 17 April 2024
akan tetap dilakukan pada tanggal 24 April 2024, sesuai
dengan ketentuan pembayaran Harga Penawaran
Tender Sukarela yang diumumkan pada harian Bisnis
Indonesia dan Investor Daily tanggal 18 Maret 2024.
Payment of the Voluntary Tender Offer Price to
shareholders who have submitted the completed
Voluntary Tender Offer Form along with the required
documents until 16.00 WIB on 17 April 2024 will still be
made on 24 April 2024, in accordance with the payment
terms of the Voluntary Tender Offer Price announced in
Bisnis Indonesia and Investor Daily on 18 March 2024.
Syarat, ketentuan, dan prosedur Penawaran Tender
Sukarela sebagaimana tercantum dalam Pernyataan
Penawaran Tender Sukarela yang diumumkan pada
harian Bisnis Indonesia dan Investor Daily tanggal 18
Maret 2024 tetap berlaku dalam masa Perpanjangan
Periode Penawaran Tender Sukarela, kecuali ketentuan
mengenai Periode Penawaran Tender Sukarela dan
Tanggal Pembayaran.
The terms, conditions and procedures of the Voluntary
Tender Offer as stated in the Voluntary Tender Offer
Statement published in Bisnis Indonesia and Investor
Daily on 18 March 2024 shall continue to apply during the
Extension of the Voluntary Tender Offer Period, except for
the provisions regarding the Voluntary Tender Offer
Period and Payment Date.
3. Jumlah Penawaran Penjualan Saham Yang Telah

3.482.566.510 (tiga miliar empat ratus delapan puluh dua
juta lima ratus enam puluh enam ribu lima ratus sepuluh)
saham atau setara dengan 84,8% dari saham publik
Perusahaan Sasaran sebesar 4.104.990.344 (empat
miliar seratus empat juta sembilan ratus sembilan puluh
ribu tiga ratus empat puluh empat) saham, yang
merupakan obyek dalam Penawaran Tender Sukarela ini.

shares in the Voluntary Tender Offer up to 16.00 WIB on
5 April 2024 is 4,624 offers representing 3,482,566,510
(three billion four hundred eighty-two million five hundred
sixty-six thousand five hundred ten) shares or equivalent
to 84.8% of the Target Company's public shares of
4,104,990,344 (four billion one hundred four million nine
hundred ninety thousand three hundred forty-four)
shares, which are the object of this Voluntary Tender
Offer.
