3. Uraian Informasi atau Fakta Pada tanggal 18 April 2024, Peseroan telah melakukan
Material penandatanganan perjanjian pinjaman anak perusahaan dengan PT
Nosu Hydro (“Nosu”) (“Perjanjian”) yaitu anak perusahaan secara
langsung, maksimum sebesar Rp20.000.000.000,- (dua puluh miliar
rupiah) (“Transaksi”).

information or fact Transaksi tersebut akan digunakan oleh Nosu untuk modal kerja,
khususnya proyek baru yang akan dilakukan oleh Nosu, dengan rincian
ketentuan Perjanjian sebagai berikut:
a. Bunga: 6,5% Pertahun.
b. Jangka Waktu Pembayaran: 8 tahun sejak tanggal operasi
komersial pembangkit listrik tenaga air.
Hubungan afiliasi antara Perseroan dan Nosu terlihat dari kepemilikan
saham dan kesamaan pengurus pada saat dilakukan Transaksi sebagai
berikut:

Transaksi ini merupakan transaksi afiliasi yang dikecualikan
sebagaimana diatur pada Pasal 6 ayat (1) huruf b POJK 42/2020,
dikarenakan Nosu merupakaan perusahaan terkendali Perseroan
dengan total kepemilikan saham langsung sebesar 99% (sembilan
puluh sembilan persen).
On 18 April 2024, the Company has signed a subsidiary loan agreement
with PT Nosu Hydro ("Nosu") (the "Agreement"), a direct subsidiary,
in the maximum amount of Rp20,000,000,000 (twenty billion rupiah)
(the "Transaction").
The Transaction which will be used by Nosu as working capital,
especially the implementation of new project that will be carried out by
Nosu, with details of the Agreement terms as follows:

a. Interest: 6.5% per annum.
b. Payment Period: 8 years from the date of commercial operation
of the hydroelectric power plant.
The affiliated relationships between the Company and Nosu are shown
from the share ownership and the similarity of the management at the
time of the Transaction as follows:

This transaction is an exempted affiliated transaction as stipulated in
