3. Uraian Informasi atau Fakta Pada tanggal 17 April 2024, Peseroan telah melakukan
Material penandatanganan perjanjian pinjaman anak perusahaan dengan PT
Arkora Kalimantan Energi Hijau (“AKEH”) (“Perjanjian”) yaitu anak
perusahaan secara tidak langsung, maksimum sebesar
Rp50.000.000.000,- (lima puluh miliar rupiah) (“Transaksi”).

information or fact Transaksi tersebut akan digunakan oleh AKEH untuk modal kerja,
khususnya proyek baru yang akan dilakukan AKEH, dengan rincian
ketentuan Perjanjian sebagai berikut:
a. Bunga: 6,5% Pertahun.
b. Jangka Waktu Pembayaran: 8 tahun sejak tanggal operasi
komersial pembangkit listrik tenaga air.
Hubungan afiliasi antara Perseroan dan AKEH terlihat dari kepemilikan
saham dan kesamaan pengurus pada saat dilakukan Transaksi sebagai
berikut:

Transaksi ini merupakan transaksi afiliasi yang dikecualikan
sebagaimana diatur pada Pasal 6 ayat (1) huruf b POJK 42/2020,
dikarenakan AKEH merupakaan perusahaan terkendali Perseroan
dengan total kepemilikan saham tidak langsung sebesar lebih dari 99%
(sembilan puluh sembilan persen).
On 17 April 2024, the Company has signed a subsidiary loan agreement
with PT Arkora Kalimantan Energi Hijau ("AKEH") (the "Agreement"),
an indirect subsidiary, in the maximum amount of Rp50,000,000,000
(fifty billion rupiah) (the "Transaction").
The Transaction which will be used by AKEH as working capital,
especially the implementation of new project that will be carried out by

AKEH, with details of the Agreement terms as follows:
a. Interest: 6.5% per annum.
b. Payment Period: 8 years from the date of commercial operation
of the hydroelectric power plant.
The affiliated relationships between the Company and AKEH are shown
from the share ownership and the similarity of the management at the
time of the Transaction as follows:
