Berdasarkan Akta Keputusan Pemegang Saham
No. 06 tanggal 27 Agustus 2026, Perseroan
meningkatkan modal ke dalam RTM sebesar
59.976.000 (lima puluh sembilan juta sembilan
ratus tujuh puluh enam ribu) lembar saham atau
sebesar Rp 59.976.000.000 (lima puluh sembilan
miliar sembilan ratus tujuh puluh enam juta
Rupiah).
A. Object and Value of Transaction
Based on Deed of Shareholders' Resolution No.
06 dated August 27, 2026, the Company
increased its capital into RTM by 59,976,000
(fihy-nine million nine hundred seventy-six
thousand) shares or Rp 59,976,000,000 (fifty-
nine billion nine hundred seventy-six million
Rupiah).

Affiliate Relationship Perseroan dan RTM, merupakan pihak terafiliasi karena RTM merupakan anak Perusahaan Perseroan yang dikendalikan secara langsung oleh Perseroan dengan kepemilikan saham sebesar 99,969. Disamping itu, Soe To Tie Lin selaku pemegang saham pengendali Perseroan dan Komisaris Utama Perseroan juga menjabat sebagai Komisaris Utama RTM serta pemegang saham pengendali RTM secara tidak langsung melalui Perseroan. The Company and RTM are affiliated parties because RTM is the subsidiary of the Company which is directly controlled by the Company with 99.961 share ownership. In addition, Soe To Tie Lin as the controlling shareholder of the Company and the President Commissioner of the Company also serves as the President Commissioner of RTM and the controlling Shareholder of RTM indirectly through the Company. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The impact of these material events, information or facts on the operational activities, law, financial condition, or business continuity of the Issuer or Public Company Pertimbangan — dan Transaksi Alasan — Dilakukannya Perseroan adalah sebuah perusahaan yang bergerak di bidang aktivitas penunjang pertambangan minyak dan gas bumi. RTM bergerak dalam bidang industri pipa dan sambungan pipa dari baja dan besi, dimana sebagian besar pembelian persediaan Perseroan berasal dari hasil produksi RTM. Considerations and Reasons for Conducting the Transaction The Company is a company engaged in oil and gas mining support activities. RTM is engaged in the steel and iron pipe and pipe connection industry, where most of the Company's inventory purchases come from RTM' production. The capital injection will be used by RTM for Capital expenditures related to the construction of a new plant (RTM 2) and/or to increase working capital. B. Pengaruh Transaksi pada Kondisi Keuangan Perseroan Penambahan line produksi yang baru/ peningkatan kapasitas produksi RTM dilakukan untuk mengantisipasi tambahan permintaan dari pelanggan dan memungkinkan Perseroan untuk memperluas pasar dan penambahan lini produk yang baru, sehingga diharapkan Perseroan dapat meningkatkan penjualan dan labanya ke depan. B. Effect of Transaction on the Company's Financial Condition The addition of new production line / increase RTM's production capacity is carried out to anticipate additional demand from customers and allow the Company to expand the market and add new product lines, so that the Company can increase its sales and profit in the future. Perseroan tidak wajib melakukan prosedur sebagaimana dimaksud dalam Pasal 3 serta tidak wajib memenuhi ketentuan sebagaimana diatur dalam Pasal 4 ayat (1) berdasarkan ketentuan pasal 6 ayat (1) huruf f POJK 42/2020, mengingat transaksi tersebut merupakan transaksi — penambahan penyertaan modal — untuk — mempertahankan persentase kepemilikannya setelah penyertaan dimaksud dilakukan selama paling singkat 1 (satu) tahun. The Company is not reguired to carry out the procedures as referred to in Article 3 and is not reguired to fulfill the provisions as stipulated in Article 4 paragraph (1) based on the provisions of article 6 paragraph (1) letter f POJK 42/2020, considering that the transaction is an additional capital participation transaction to maintain the percentage of ownership after the investment has been carried out for at least 1 (one) year. Dan bukan merupakan transaksi — material sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan No.17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha dengan nilai transaksi lebih dari 2094 namun kurang dari 5046 ekuitas Perseroan, dimana nilai transaksi adalah sebesar Rp 59.976.000.000. Presentase nilai transaksi terhadap ekuitas adalah sebesar 6,954 dari ekuitas Perseroan yaitu Rp 863.130.748.264. Berdasarkan Laporan Keuangan Konsolidasian Perseroan yang berakhir pada 31 Desember 2025 yang telah diaudit oleh Kantor Akuntan Publik Kanaka Puradiredja Suhartono : transaksi ini merupakan transaksi material yang tidak wajib menggunakan Penilai sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf a dan memperoleh persetujuan RUPS sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf d berdasarkan ketentuan pasal 11 ayat (1) huruf d POJK 17/2020, mengingat transaksi tersebut merupakan transaksi penambahan penyertaan modal untuk mempertahankan persentase kepemilikannya setelah penyertaan dimaksud dilakukan selama paling singkat 1 (satu) tahun. PT SUNINDO PRATAMA Tbk SUNINDO Transaction is a material transaction that is not reguired to use an Appraiser as referred to in Article 6 paragraph (1) letter a and obtain GMS approval as referred to in Article 6 paragraph (1) letter d based on the provisions of article 11 paragraph (1) letter d POJK 17/2020, considering that the transaction is an additional capital investment transaction to maintain the percentage of ownership after the investment has been carried out for at least 1 (one) year.
