Harsya Remitindo kepada pihak ketiga yang tidak terafiliasi,
dengan rincian sebagai berikut:
Pihak-Pihak yang bertransaksi:
Pelaksanaan penjualan 39% saham PT Emporia Digital Raya
selaku entitas anak langsung Perseroan dengan kepemilikan
sebesar 99,99% saham pada PT Harsya Remitindo
sebagaimana dinyatakan dalam:
1. Akta Jual Beli Saham No. 51 tanggal 18 Maret 2024 yang
dibuat di hadapan Vincent Sugeng Fajar S.H., MKn., oleh dan
antara PT Emporia Digital Raya selaku penjual 80.399.999
lembar saham dengan PT Pakar Pembayaran Digital selaku
pembeli, dengan nilai transaksi yaitu sebesar
Rp5.875.200.000,00 (lima miliar delapan ratus tujuh puluh lima
juta dua ratus ribu Rupiah).
2. Akta Jual Beli Saham No. 52 tanggal 18 Maret 2024 yang
dibuat di hadapan Vincent Sugeng Fajar S.H, MKn., oleh dan
antara PT Emporia Digital Raya selaku penjual 50.250.000
lembar saham dengan PT Cahaya Global Suskses Logistik
selaku pembeli, nilai transaksi yaitu sebesar
Rp3.672.000.000,00 (tiga miliar enam ratus tujuh puluh dua
juta Rupiah).
Alasan Dilakukan Transaksi:
1.Efisiensi biaya operasi yang sejauh ini dikeluarkan untuk
membiayai operasional entitas anak yang didivestasi.
2.Menyederhanakan struktur perusahaan sehingga sejalan
dengan strategi pertumbuhan Perseroan yaitu kepada lini
bisnis utama Perseroan.
3.Menghindari kerugian berulang yang ditimbulkan oleh entitas
anak yang didivestasi sehingga diharapkan dapat
memperbaiki kinerja keuangan Perseroan di kemudian hari.

Description of Material Information or Sale of 39% shares of PT Emporia Digital Raya in PT Harsya
Facts Remitindo to an unaffiliated third party, with the following
details:
Transaction parties:
Implementation of the sale of 39% shares in PT Emporia
Digital Raya as a direct subsidiary of the Company with
ownership of 99.99% shares in PT Harsya Remitindo as stated
in:
1. Share Sale and Purchase Deed No. 51 dated 18 March
2024 made in the presence of Vincent Sugeng Fajar S.H.,
MKn., by and between PT Emporia Digital Raya as the seller
of 80,399,999 shares and PT Pakar Pembayaran Digital as
the buyer, with a transaction value of IDR 5,875,200,000, 00
(five billion eight hundred seventy five million two hundred
thousand Rupiah).
2. Share Sale and Purchase Deed No. 52 dated 18 March
2024 made in the presence of Vincent Sugeng Fajar S.H,
MKn., by and between PT Emporia Digital Raya as the seller
of 50,250,000 shares and PT Cahaya Global Sukses Logistik
as the buyer, the transaction value is IDR 3,672,000,000, 00
(three billion six hundred and seventy two million Rupiah).
Reason for Transaction:
1. Efficiency of operating costs so far spent to finance the
operations of divested subsidiaries.
2. Simplify the company structure so that it is in line with the
Company's growth strategy, namely the Company's main
business lines.
3. Avoid recurring losses incurred by divested subsidiaries so
that it is hoped that this can improve the Company's financial
performance in the future.
