A Kartini Kav. 8, Cilandak Barat Jakarta 12430, Indonesia Meet 122000 (0 16221 30432001 @ wuwdetaduniacom 3. | Uraian Informasi atau Fakta Material Description of Material Information or Facts Menindaklanjuti Keterbukaan Informasi tertanggal 6 Maret 2024, 19 Maret 2024 dan 26 Maret 2024 terkait: - Consent Solicitation pada tanggal 6 Maret 2024 terkait perubahan syarat dan ketentuan pada surat utang yang diterbitkan oleh BUMA, anak perusahaan yang 99,9996 sahamnya dimiliki oleh Perseroan, dengan jumlah USD400.000.000 (empat ratus juta Dolar Amerika Serikat) dengan suku bunga sebesar 7,754 per tahun yang akan jatuh tempo di tahun 2026 (“Surat Utang 2026”) serta penawaran tender secara tunai untuk membeli kembali suatu jumlah tertentu atau seluruhnya yang masih terutang atas Surat Utang 2026, - berakhirnya periode Early Offer and Consent Deadline pada tanggal 18 Maret 2024 waktu kota New York (“Early Offer”) dimana BUMA telah memperoleh persetujuan yang diperlukan untuk mengubah ketentuan pada Indenture sehubungan dengan Surat Utang 2026: dan - telah ditandatanganinya Second Supplemental Indenture (Tambahan Kedua terhadap Indenture) tanggal 25 Maret 2024, dengan ini Perseroan memberitahukan bahwa batas waktu bagi pemegang Surat Utang 2026 untuk melakukan Penawaran Tender atas Surat Utang 2026 telah berakhir per tanggal 2 April 2024 pukul 17.00 waktu kota New York (“Waktu Berakhirnya Penawaran”). Di antara kurun waktu antara Early Offer dan Waktu Berakhirnya Penawaran, terdapat pemegang Surat Utang 2026 yang telah menyetujui penawaran tender sejumlah USD500,000 (lima ratus ribu Dolar Amerika Serikat) yang mewakili sekitar 0,249 dari jumlah pokok terutang Surat Utang 2026. Further to Disclosure of Information dated & March 2024, 19 March 2024 and 26 March 2024 regarding: - Consent Solicitation on 6 March 2024 in relation toamendment to terms and conditions of the notes issued by BUMA, a subsidiary whose 99.994 of its shares owned by the Company, in the amount of USD400,000,000 (four hundred million United States Dollars) with an interest rate of 7.7596 per annum which will mature in 2026 (“2026 Notes”) as well as tender offer to purchase for cash any and all of the outstanding amount of the 2026 Notes, - the expiry of Early Offer and Consent Deadline on 18 March 2024 New York time (“Early Offer”) whereby BUMA has received the reguisite consents to amend terms and conditions under the Indenture in relation to the 2026 Notes, and - signing of Second Supplemental Indenture dated 25 March 2024, the Company hereby announces that the period for the 2026 Notes holders to respond to the Tender Offer of the 2026 Notes has expired as of 2 April 2024 at 17.00 New York time (the “Expiration Time of the Offer). Between the period of Early Offer and Expiration Time of the Offer, there are holders of 2026 Notes who have validly accepted to tender
