3. Uraian Informasi atau Fakta Pada tanggal 28 Maret 2024, Peseroan telah melakukan
Material peningkatan kepemilikan saham pada PT Arkora Hidro Pasifik
(APH), anak perusahaan Perseroan, sebesar 10.270 (sepuluh ribu
dua ratus tujuh puluh) lembar saham (Peningkatan
Kepemilikan Saham).

Akta Nomor 61 tanggal 28 Maret 2024, yang dibuat dihadapan
Darmawan Tjoa, S.H., S.E., Notaris di Jakarta Pusat dan telah
mendapatkan Penerimaan Pemberitahuan Perubahan Anggaran
Dasar oleh Kementerian Hukum dan Hak Asasi Manusia dengan
nomor No. AHU-AH.01.03-0075934 tanggal 28 Maret 2024.
Dengan susuan kepemilikan saham sebagai berikut:

Dengan demikian kepemilikan perseroan terhadap AHP atas
Peningkatan Kepemilikan Saham adalah sebesar 99,8% (sembilan

Hubungan afiliasi antara Perseroan dan AHP ditunjukkan dari
kesamaan manajemen setelah Peningkatan Kepemilikan Saham,
dengan perincian sebagai berikut:

Tujuan Perseroan melakukan Peningkatan Kepemilikan Saham
dalam AHP adalah untuk memenuhi kebutuhan pendanaan modal
kerja PT AHP.
Peningkatan Kemepilikan Saham ini bukan merupakan Transaksi
Material dan Transaksi Benturan Kepentingan sebagaimana diatur
pada Peraturan Otoritas Jasa Keuangan Nomor 17/POJK.04/2020
tentang Transaksi material dan Perubahan Kegiatan Usaha dan
POJK 42/2020.
On 28, March 2024, the Company has increased its share
ownership in PT Arkora Hidro Pasifik (AHP), a subsidiary of the
Company, amounting to 10,270 (ten thousand two hundred and
seventy) shares. (Increase of Shares Participation)
Related to Increase of share Participation has been recorded in
Deed No. 61 dated March 28, 2024, made before Darmawan Tjoa,
S.H., S.E., Notary in Central Jakarta and has received Acceptance
