Signing of Shares Subscription and Purchase
Agreement by PT Morula Indonesia ("MI") (a
controlled subsidiary of the Company), the Company,
PT Bunda Ipiti Investama (“BIPI”), Ivan Rizal Sini,
Mesha Rizal Sini and Jinxin Fertility Group (BVI)
Company Limited (“Investor”).

3. Uraian Informasi atau Fakta : Dengan merujuk pada POJK 31 dan Peraturan BEI No.
Material/ Description of I-E, Perseroan dengan ini memberitahukan bahwa:
Material Information or Facts

a. Pada tanggal 1 April 2024, MI (selaku
Perusahaan terkendali Perseroan), Perseroan,
BIPI, Ivan Rizal Sini, Mesha Rizal Sini dan
Investor telah menandatangani Perjanjian
Pengambilan Bagian dan Pembelian Saham
(“Perjanjian”) sehubungan dengan rencana (i)
penerbitan 48.333 (empat puluh delapan ribu
tiga ratus tiga puluh tiga) saham baru oleh MI
yang mewakili 25Y6 (dua puluh lima persen) dari
total modal ditempatkan dan modal disetor MI
yang seluruhnya akan diambil bagian oleh
Investor (“Pengambilan Bagian Saham”): dan
(b) penjualan 54 (lima persen) saham milik BIPI
(salah satu pemegang saham MI) dalam MI
kepada Investor (“Pembelian Saham”).

Rencana Pengambilan Bagian Saham dan
Pembelian Saham sebagaimana diuraikan di atas
selanjutnya disebut “Transaksi”.

Setelah pelaksanaan Transaksi, Investor akan
memiliki total 3096 (tiga puluh persen) saham
MI dan kepemilikan saham Perseroan dalam MI
akan berkurang dari sebelumnya 6396 (enam
puluh tiga persen) menjadi 47.254 (empat
puluh tujuh koma dua lima persen) namun tidak
akan terjadi perubahan pengendalian dalam MI,
Perseroan akan tetap menjadi pemegang saham
mayoritas MI dan laporan keuangan MI akan
tetap terkonsolidasikan ke dalam laporan
keuangan Perseroan.

b. Transaksi merupakan transaksi material
sebagaimana diatur dalam Peraturan OJK No.
17/POJK.04/2020 tanggal 20 April 2020 tentang
Transaksi Material dan Perubahan Kegiatan
Usaha (“POJK 17”) dimana nilai Transaksi
mencapai lebih dari 20Y6 (dua puluh persen)
dari ekuitas Perseroan berdasarkan Laporan
Keuangan (audited) Perseroan per tanggal 31
Desember 2023 namun kurang dari 506 (lima
puluh persen) dari ekuitas Perseroan.

Dengan demikian, Perseroan akan melakukan

Keterbukaan Informasi dalam waktu paling
lambat 2 (dua) hari kerja setelah tanggal
dilaksanakannya Transaksi sesuai dengan syarat
dan ketentuan sebagaimana diatur dalam POJK
17.

C. Berdasarkan Perjanjian, Perseroan menjamin
pelaksanaan kewajiban MI, selaku anak
perusahaan terkendali Perseroan, berdasarkan
syarat dan ketentuan sebagaimana diatur dalam
Perjanjian. Dengan demikian, pemberian
jaminan yang diberikan oleh Perseroan untuk
kepentingan MI tersebut merupakan transaksi
afiliasi berdasarkan Peraturan OJK No.
42/POJK.04/2020 tanggal 1 Juli 2020 tentang
Transaksi Afiliasi dan Transaksi Benturan
Kepentingan Transaksi (“POJK 42”).

Dengan demikian, Perseroan juga akan
melakukan Keterbukaan Informasi dalam waktu
paling lambat 2 (dua) hari kerja setelah tanggal
dilaksanakannya Transaksi sesuai dengan syarat
dan ketentuan sebagaimana diatur dalam POJK
42.

With reference to POJK 31 and IDX Regulation No. I-E,
the Company hereby notifies that:

a. On April 1, 2024, MI (asa controlled company ofthe
Company), the Company, BIPI, Ivan Rizal Sini,
Mesha Rizal Sini and the Investor have entered into
a Shares Subscription and Purchase Agreement in
relation to the proposed (Ii) issuance of 48,333 (forty
eight thousand three hundred thirty three) new
shares by the Company representing 2546 (twenty-
Jive percent) of the total issued and paid up capital

Of MI which will be fully subscribed by the Investor
("Shares Subscription”): and (ii) the sale of 546
(five percent) of the shares owned by BIPI (one of
the shareholders of MI) in MI to the Investor
("Shares Purchase”).

Shares Subscription and Shares Purchase as
described above hereinafter shall be referred to as
the "Transaction".

After the execution of the Transaction, the Investor
will own a total of 3046 (thirty percent) of MI's
shares and the Company's shareholding in MI will
decrease from 6346 (sixty three percent) to 47.254
(forty seven point two five percent) but there will be
no change of control in MI, the Company will remain

the majority shareholder of MI and MI's financial

statements will continue to be consolidated into the
Company's financial statements.

b, The Transaction is ad material transaction as
stipulated in OJK Regulation No. 17/POJK.04/2020
dated April 20, 2020 regarding Material
Transactions and Changes in Business Activities
C'(POJK 17"), whereby the Transaction value
reaches 206 (twenty percent) of the Company's
eguity based on the Company's Financial
Statements (audited) as of December 31, 2023 but
less than 5016 (fifty percent) of the Company's
eguity.

Therefore, the Company will conduct Information
Disclosure no later than 2 (two) business days after
the date of implementation of the Transaction in
accordance with the terms and conditions as
stipulated in POJK 17.

«& Based on the Agreement, the Company guarantees
the implementation of the obligations of MI, as a
controlled subsidiary of the Company, based on the
terms and conditions as provided in the Agreement.
Thus, the guarantees provided by the Company for
the benefit of MI shall constitute an affiliated party
transaction based on OJK Regulation No.
42/POJK.04/2020 dated July 1, 2020 concerning
Affiliated Transactions and Conflict of Interest
Transactions ("POJK 42”).

Therefore, the Company will conduct Information
Disclosure no later than 2 (two) business days after
the date of the Transaction in accordance with the
terms and conditions as stipulated in POJ

4. Dampak kejadian, informasi : a. Transaksi tidak memiliki dampak negatif
atau fakta material tersebut terhadap kegiatan operasional, hukum,
terhadap Emiten atau kondisi keuangan atau kelangsungan usaha
Perusahaan Publik / Impact of Perseroan.

5. Keterangan lain-lain/ Others : a. Laporan ini dilakukan oleh Perseroan untuk
Information menjalankan tata kelola perusahaan yang
baik dan untuk memenuhi ketentuan POJK 31.

b. Investor bukan merupakan pihak afiliasi
Perseroan.
