6. Keterangan Lain/ Transaksi ini merupakan syarat pemberian fasilitas PT
Other Information Bank Shinhan Indonesia kepada PT Wintermar senilai
USD 12.000.000 (dua belas juta Dollar Amerika
Serikat). Nilai Jaminan Perusahaan yang diberikan
adalah untuk menjamin fasilitas yang diterima PT
Wintermar dari PT Bank Shinhan Indonesia tersebut.
Pemberian Jaminan Perusahaan oleh Perseroan
dilakukan dalam rangka pembiayaan kembali
(refinancing) kapal-kapal milik PT Wintermar serta
pemenuhan kebutuhan modal kerja.
Berdasarkan Pasal 6 Ayat (1) huruf e POJK 42/2020,
atas transaksi pemberian jaminan kepada Bank, tidak

diperlukan prosedur serta tidak wajib menggunakan
penilaian Kantor Jasa Penilai Publik.
Transaksi ini tidak mengandung benturan kepentingan
dan semua informasi material telah diungkapkan
dalam laporan ini, serta informasi tersebut tidak
menyesatkan.
This transaction is required for the provision of a credit
facility by PT Bank Shinhan Indonesia to PT Wintermar
in the amount of USD 12,000,000 (twelve million United
States Dollars). The value of the Corporate Guarantee
is provided to secure the credit facility granted by PT
Bank Shinhan Indonesia to PT Wintermar.
The provision of the Corporate Guarantee by the
Company is undertaken to facilitate the refinancing of
vessels owned by PT Wintermar, as well as to meet
working capital needs.
Pursuant to Article 6 paragraph (1) letter e of Regulation
of the Financial Services Authority (POJK) No. 42/2020,
transactions involving the provision of corporate
guarantees to financial institutes is exempted from
mandatory appraisal by a public appraisal services
office.
This transaction does not involve any conflict of interest
and all material information has been disclosed in this
report, and such information is not misleading.
