bersama ini, Perseroan memandang perlu menyampaikan klarifikasi untuk meluruskan informasi dalam
Pemberitaan Media Massa 24 Agustus 2026. /
The Company hereby considers it necessary to issue this clarification in order to correct the information
contained in the Media Reports 24 August 2026.
Sebagaimana informasi yang dimuat dalam LK 30 Juni 2026 Perseroan dan Laporan Kepemilikan Saham,
perolehan saham BTEL oleh Perseroan secara langsung merupakan pelaksanaan konversi Obligasi Wajib
Konversi (bukan pelaksanaan Repurchase Agreement) berdasarkan Perjanjian Perdamaian tanggal 8
Desember 2014 yang dibuat antara BTEL dengan para kreditur terkait, termasuk Perseroan. /
As disclosed in the Company’s FS 30 June 2026 and the Share Ownership Report, the Company’s direct
acquisition of BTEL shares resulted the exercise of the conversion of Mandatory Convertible Bonds (not
the execution of a Repurchase Agreement) pursuant to the Settlement Agreement dated 8 December 2014
entered into between BTEL and the relevant creditors, including the Company.
Perjanjian Perdamaian di atas merupakan tindak lanjut atas putusan Pengadilan Niaga pada Pengadilan
Negeri Jakarta Pusat terkait dengan Penundaan Kewajiban Pembayaran Utang Sementara BTEL tanggal
10 November 2014. /
The above Settlement Agreement was executed as a follow-up to the decision of the Commercial Court at
the Central Jakarta District Court concerning BTEL’s Temporary Suspension of Debt Payment Obligations
(PKPU) dated 10 November 2014.
Kepemilikan saham tersebut tidak bersifat material terhadap kegiatan usaha maupun kondisi keuangan
Perseroan. Dalam menjalankan strategi bisnisnya, Perseroan tetap berfokus pada pengembangan
kegiatan usaha utamanya dan senantiasa mempertimbangkan setiap peluang bisnis secara selektif
dengan memperhatikan kepentingan jangka panjang Perseroan dan para pemangku kepentingan. /
The shareholding is not material to the Company’s business operations or financial condition. As part of
its business strategy, the Company remains focused on developing its core businesses and continues to
evaluate business opportunities selectively, taking into account the long-term interests of the Company
and its stakeholders.
