The announcement on the signing of Second Supplemental Indenture dated 25 March 2024 by PT Bukit Makmur Mandiri Utama (“BUMA”), BUMA Australia Pty Limited and The Bank of New York Mellon as trustee. 3. | Uraian Informasi atau Menindaklanjuti Keterbukaan Informasi tertanggal 6 Maret 2024 dan Fakta Material 19 Maret 2024 terkait: Description of - Consent Solicitation pada tanggal & Maret 2024 terkait Material Information perubahan syarat dan ketentuan pada surat utang yang or Facts diterbitkan oleh BUMA, anak perusahaan yang 99,994 sahamnya dimiliki oleh Perseroan, dengan jumlah USD400.000.000 (empat ratus juta Dolar Amerika Serikat) dengan suku bunga sebesar 7,7596 per tahun yang akan jatuh tempo di tahun 2026 (“Surat Utang 2026”) serta penawaran tender secara tunai untuk membeli kembali suatu jumlah tertentu atau seluruhnya yang masih terutang atas Surat Utang 2026, dan - berakhirnya periode Early Offer and Consent Deadline pada tanggal 18 Maret 2024 waktu kota New York dimana BUMA telah memperoleh persetujuan yang diperlukan untuk mengubah ketentuan pada Indenture sehubungan dengan Surat Utang 2026, dengan ini Perseroan memberitahukan bahwa: - pada tanggal 25 Maret 2024 waktu kota New York, BUMA telah menandatangani Second Supplemental Indenture, - BUMA telah membayar biaya persetujuan (consent fee) kepada para pemegang Surat Utang 2026 yang telah (i) menyampaikan instruksi tender atas surat utang yang dimilikinya sehingga dianggap telah memberikan persetujuannya dan Iii) menyampaikan instruksi persetujuan saja, tetapi tidak menyampaikan instruksi tender atas surat utang yang dimilikinya. Lebih lanjut, BUMA juga telah membayar pertimbangan tender lebih awal (early tender consideration) ditambah dengan bunga yang terhitung, dan - bagi pemegang Surat Utang 2026 yang belum menanggapi Permohonan Persetujuan (Consent Solicitation) dan Penawaran Tender Tunai atas Surat Utang 2026 masih memiliki waktu sampai dengan tanggal 2 April 2024 waktu kota New York untuk menanggapi.
