PENYELENGGARAAN RUPSLB IMPLEMENTATION OF EGMS

Sesuai dengan peraturan perundang-undangan yang
berlaku, rencana Perubahan Kegiatan Usaha
sebagaimana dijelaskan dalam Keterbukaan Informasi ini
akan dimintakan persetujuan pemegang saham
Perseroan dalam RUPSLB pada tanggal 30 April 2024.
Pemanggilan RUPSLB diumumkan melalui cASY.KSEI
dalam tautan https://akses.ksei.co.id, situs web Bursa
Efek Indonesia, dan situs web Perseroan
www.garudafood.com pada tanggal 5 April 2024. Para
pemegang saham yang berhak menghadiri atau diwakili
dalam Rapat adalah para pemegang saham yang
namanya tercatat dalam Daftar Pemegang Saham
Perseroan dan/atau pemilik saldo saham Perseroan
pada sub rekening efek di Penitipan Kolektif PT
Kustodian Sentral Efek Indonesia (KSEI) pada penutupan
perdagangan saham di Bursa Efek Indonesia pada
tanggal 4 April 2024. Bagi pemegang saham yang
berhalangan untuk menghadiri RUPSLB, dapat
memberikan kuasa nya kepada pihak lain sesuai dengan
ketentuan yang telah diatur dalam pemanggilan RUPSLB
Perseroan selambat-lambatnya 7 (tujuh) hari kerja
sebelum RUPSLB diselenggarakan.

Adapun perkiraan agenda RUPSLB yang akan
diselenggarakan pada tanggal 30 April 2024 adalah
sebagai berikut:

1. pembahasan atas laporan studi kelayakan yang
dibuat oleh Kantor Jasa Penilai Independen dan
persetujuan atas rencana penambahan kegiatan
usaha Perseroan dalam rangka memenuhi
ketentuan Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha,

2. persetujuan atas perubahan ketentuan Pasal 3
Anggaran Dasar Perseroan terkait Maksud dan
Tujuan serta Kegiatan Usaha Perseroan:

3. pembahasan atas laporan studi kelayakan yang
dibuat oleh Kantor Jasa Penilai Independen dan
persetujuan atas rencana penambahan kegiatan
usaha entitas anak Perseroan yaitu PT Sinarniaga
Sejahtera dalam rangka memenuhi ketentuan
Peraturan Otoritas Jasa Keuangan — No.

In accordance with the prevailing laws and
regulations, the plan to change business activities
as described in this Information Disclosure will be
sought for approval from the Company's
shareholders at the EGMS on April 30, 2024. The
EGMS invitation was announced through
@ASY.KSEI in the link https://akses.ksei.co.id, the
Indonesia Stock Exchange website, and the
Company's website www.garudafood.com on April
5, 2024. Shareholders who are entitled to attend or
be represented at the Meeting are shareholders
whose names are registered in the Company's
Register of Shareholders and/or owners of the
Company's share balance in the securities sub-
account at the Indonesian Central Securities
Depository (KSEI) at the close of stock trading on
the Indonesia Stock Exchange on April 4, 2024. For
shareholders who are unable to attend the EGMS,
can give their power of attorney to other parties in
accordance with the provisions stipulated in the
invitation to the Company's EGMS no later than 7
(seven) working days before the EGM is held.

The estimation of EGMS agendas to be held on 30
April, 2024 is as follows:

1. discussion on the feasibility study report
prepared by the Independent Appraisal Services

Kuorum kehadiran dan kuorum keputusan RUPSLB

Attendance guorum and decision guorum of the

1 Perkiraan mata acara RUPSLB pertama, ketiga dan
keempat tersebut di atas:

Merujuk kepada anggaran dasar Perseroan
RUPS dapat diselenggarakan apabila dihadiri
oleh pemegang saham yang memiliki saham
mewakili paling sedikit lebih dari 1/2 (satu per
dua) bagian dari jumlah seluruh saham dengan
hak suara yang sah yang diterbitkan oleh
Perseroan dan disetujui oleh pemegang saham
yang memiliki saham mewaiki lebih dari 4 (satu
perdua) bagian dari jumlah hak suara yang
hadir dalam RUPS.

. Jika korum kehadiran sebagaimana dijelaskan

pada poin a diatas tidak terpenuhi, maka RUPS
kedua dapat diselenggarakan apabila dihadiri
oleh pemegang saham yang memiliki saham
mewakili paling sedikit 1/3 (satu pertiga) bagian
jumlah seluruh saham dengan ha suara yang
sah yang diterbitkan oleh Perseroan dan
disetuui oleh pemegang saham yang memiliki
saham mewakili lebih dari 1/2 (satu per dua)
bagian daru jumlah hak suara yang sah yang
hadir dalam RUPS.

. Jika korum kehadiran sebagaimana dijelaskan

pada poin b diatas tidak terpenuhi, maka RUPS
ketiga dapat dapat diadakan dengan ketentuan
RUPS ketiga sah dan berhak mengambil
keputusan jika dihadiri oleh pernegang saham
dari saham dengan hak suara yang sah dalam
korum kehadiran dan korum keputusan yang
ditetapkan oleh OJK atas permohonan

mewakili 2/3 (dua per tiga) bagian dari jumlah
seluruh saham dengan hak suara yang sah yang
diterbitkan oleh Perseroan, dan disetujui oleh
pemegang saham yang memiliki saham
mewakili dari 2/3 (dua per tiga) bagian dari
jumlah hak suara yang sah yang hadir dalam
RUPS.

1. The estimation of the first, third and fourth

EGMS agendas mentioned above:

a. Referring to the articles of association of
the Company, the GMS can be held if
attended by shareholders who own shares
representing at least more than 1/2 (one-
half) of the total shares with valid voting
rights issued by the Company and
approved by shareholders who own shares
representing more than '4 (one-half) of the
total voting rights present at the GMS.

b. If the attendance guorum as described in
point a above is not met, the second GMS
may be held if attended by shareholders
holding shares representing at least 1/3
(one-third) of the total number of shares
with valid voting rights issued by the
Company and approved by shareholders
holding shares representing more than 1/2
(one-half) of the total number of valid
voting rights present at the GMS.

c. If the attendance guorum as described in
point b above is not met, then the third
GMS may be held provided that the third
GMS is valid and entitled to make decisions
if attended by shareholders of shares with
valid voting rights in the attendance
guorum and decision guorum determined
by OJK at the reguest of the Company GMS
will be determined by OJK.

2. The estimation of the second EGMS agenda
mentioned above:

a. Referring to the Company's Articles of
Association, the GMS may be held if
attended by shareholders holding shares
representing 2/3 (two-thirds) of the total
shares with valid voting rights issued by
the Company, and  approved by
shareholders holding shares representing
more than 2/3 (two-thirds) of the total
valid voting rights present at the GMS.

Jika korum kehadiran sebagaimana di jelaskan
pada poin a diatas tidak terpenuhi, maka RUPS
kedua dapat diselenggarakan apabila dihadiri
oleh pemegang saham yang memiliki saham
mewakili paling sedikit 3/5 (tiga per lima)
bagian jumlah seluruh saham dengan hak suara
yang sah yang diterbitkan oleh Perseroan dan
disetujui oleh pemegang saham yang memiliki
saham mewakili lebih dari 1/2 (satu per dua)
bagian dari jumlah hak suara yang sah yang
hadir dalam RUPS.

Jika korum kehadiran sebagaimana dijelaskan
pada poin b diatas tidak terpenuhi, maka RUPS
ketiga dapat diadakan dengan ketentuan RUPS
ketiga sah dan berhak mengambil keputusan
jika dihadiri oleh pemegang saham dari saham
dengan hak suara yang sah dalam kuorum

kehadiran dan kuorum keputusan yang
ditetapkan oleh OJK atas permohonan
Perseroan.

Dilakukannya

Guna meningkatkan kinerja SNS ke depannya,
SNS sebagai perusahaan yang bergerak di bidang
perdagangan besar, pengangkutan, pergudangan

Objek dari penugasan ini adalah rencana
penambahan kegiatan usaha SNS yaitu Industri
Perdagangan Besar Obat Farmasi (PBOF) Untuk
Manusia KBLI 46441.

Asumsi dan Kondisi Pembatas

a. Laporan Studi Kelayakan ini bersifat non-
disclaimer opinion.

b. Penilai Independen telah melakukan
penelaahan atas dokumen yang digunakan
dalam proses Studi Kelayakan.

c. Dalam menyusun Laporan Studi Kelayakan ini,
Penilai Independen mengandalkan
keakuratan dan kelengkapan informasi yang
disediakan oleh pemberi tugas atau data yang
diperoleh dari informasi yang tersedia untuk

to add the SNS's business activities,
namely the Wholesale Trade in
Pharmaceutical Drugs (PBOF) For Human
Beings - KBLI 46441.

disclaimer opinion.

b. The Independent Appraiser has
reviewed the documents used in the
Feasibility Study process

c. In preparing this Feasibility Study
Report, the Independent Appraiser
relies on the  accuracy and
completeness of information
provided by the assignor or data
obtained from publicly available
information and other information
that KJPP considers relevant.

d. The Independent Appraiser uses
financial projections that reflect the
reasonableness of financial
projections — made — by the
management with its ability to
achieve (fiduciary duty).

responsible for the implementation

Kesimpulan

Analisis Kelayakan Pasar

Melihat dengan besarnya angka penjualan obat
dan potensi obat herbal di pasar domestik dan
internasional sehingga perlu adanya peningkatan
produksi obat herbal bagi Indonesia untuk bisa
bersaing di pasar global, maka penambahan
bidang usaha yang akan dilakukan oleh SNS layak
dilakukan.

Analisis Kelayakan Teknis

SNS memiliki sumber daya manusia yang
dibutuhkan dengan adanya penambahan
kegiatan usaha industri minuman ringan dan
produk obat tradisional. Dengan demikian
ketersediaan tenaga kerja untuk proyek oleh
sponsor proyek cukup tersedia.

Analisis Kelayakan Model Manajemen

SNS terus berupaya untuk mengoptimalkan
peluang pertumbuhan di industri melalui
pembenahan infrastruktur kunjungan tenaga
penjual (sales), meningkatkan kapabilitas tenaga
penjual, dan mengembangkan perangkat kerja
beberapa software seperti, aplikasi SAM (Sales
Assistant Mobile), MMS (program diskon),
Golden Point (program insentif salesman) dan
MSIDO (Online Order Tools untuk konsumen).

Conclusions

Market Feasibility Analysis

Seeing the large number of medicines sales
and the potential of herbal medicines in the
domestic and international markets so that
there is a need to increase the production
of herbal medicines for Indonesia to beable
to compete in the global market, the
addition of business fields to be carried out
by the SNS is feasible.

Technical Feasibility Analysis

SNS has the reguired human resources with
the addition of business activities in the soft
drink industry and traditional medicine
products. Thus, the availability of workers
for the project by the project sponsor is
sufficient.

Management Model Feasibility Analysis

SNS continues to optimize growth
opportunities in the industry through
revamping the infrastructure of sales force
visits, improving sales force capabilities,
and developing several software tools such
as SAM (Sales Assistant Mobile)
application, MMS (discount program),
Golden Point (salesman incentive program)
and MSIDO (Online Order Tools for
consumers).

Analisis ini bertujuan untuk mengetahui
kelayakan proyek diuji dengan menggunakan
beberapa parameter dengan hasil sebagai

Sehubungan dengan rencana penambahan
kegiatan usaha Perdagangan Besar Obat Farmasi
(PBOF) Untuk Manusia, Perseroan telah
mempersiapkan tenaga kerja yang ahli yang
dibutuhkan untuk mendukung pelaksanaan
Operasional atas Perubahan Kegiatan Usaha
tersebut. Perseroan berkomitmen — untuk
memenuhi kebutuhan tenaga kerja yang
kompeten di bidangnya terkait dengan
Perubahan Kegiatan Usaha tesebut. Perseroan
tidak melakukan penambahan tenaga kerja dan
memanfaatkan tenaga kerja yang sudah ada
(exsisting).

Dilakukannya

Guna meningkatkan kinerja Perseroan ke
depannya, Perseroan sebagai perusahaan yang
bergerak di bidang Perdagangan Besar Makanan
dan Minumam dalam kemasan, melihat adanya
peluang usaha di bidang Perdagangan Besar Obat
Farmasi (PBOF) Unuk Manusia. Peluang usaha
tersebut adalah kegiatan usaha yang sebelumnya
bukan merupakan salah satu dari bidang usaha
dan jenis kegiatan usaha Perseroan.

Company has prepared the skilled workforce

meeting the needs of competent workers in
their fields related to the Change of Business
Activities. The Company does not increase the
workforce and utilizes the existing workforce.

Considerations and Reasons for Changes in
Business Activities

In order to improve the Company's
performance in the future, the Company as a
company engaged in the wholesale trade of
packaged food and beverages, sees a business
opportunity in the field of Pharmaceutical
Drug Wholesale Trade Industry (PBOF) For
Human Beings. The business opportunity is a
business activity that was not previously one
of Company's business fields and types of
business activities.

Perdagangan Besar Obat Farmasi (PBOF) untuk
Manusia — KBLI 46441 setelah mendapatkan
persetujuan dari OJK,RUPST dan setelah mengurus
semua perizinan.

Tidak diperlukan adanya persetujuan dari kreditur
SNS maupun Perseroan terkait rencana SNS
melakukan Perubahan Kegiatan Usaha tersebut,
hanya pemberitahuan kepada kreditur setelah
RUPSLB selesai atas adanya perubahan anggaran
dasar SNS.

Saat ini SNS dan Perseroan tidak sedang terlibat
dalam perkara material baik di pengadilan maupun
sengketa di uar pengadilan yang mungkin dapat
berpengaruh secara negative terhadap
kelangsungan usaha dan Rencana Perubahan
Kegiatan Usaha SNS.

SNS dan Perseroan memastikan untuk selalu
memenuhi dari waktu ke waktu segala ketentuan-
ketentuan yang berlaku baik aturan di Republik
Indonesia maupun ketentuan batasan-batasan
yang berlaku dan ditetapkan bagi SNS dan
Perseroan pada perjanjian yang saat ini masih
berlaku (exsisting agreement) sehingga tidak
bertentangan dengan aturan maupun perjanjian
yang ada yang sekiranya dapat merugikan
kepentingan pihak manapun termasuk kepentingan
para pemegang saham.

involved in any material cases either in court

affect the Company's and Company's business
continuity and SNS's Business Activity Change
Plan.

. SNS and Company ensures to always fulfil from

time to time all applicable regulations in the

of the limitations that apply and are set for
