The announcement on the ending of the Early Offer and Consent Deadline in relation to the Consent Solicitation on the amendment to the terms and condition of the 2026 Notes through approval from the 2026 Noteholders. 3. | Uraian Informasi atau Menindaklanjuti Keterbukaan Informasi terkait Consent Solicitation Fakta Material pada tanggal 6 Maret 2024 terkait perubahan syarat dan ketentuan Description of pada surat utang yang diterbitkan oleh PT Bukit Makmur Mandiri Material Information Utama (“BUMA”), anak perusahaan yang 99,994 sahamnya dimiliki or Facts oleh Perseroan, dengan jumlah USD400.000.000 (empat ratus juta Dolar Amerika Serikat) dengan suku bunga sebesar 7,754 per tahun yang akan jatuh tempo di tahun 2026 (“Surat Utang 2026”) serta penawaran tender secara tunai untuk membeli kembali suatu jumlah tertentu atau seluruhnya yang masih terutang atas Surat Utang 2026, dengan ini Perseroan memberitahukan bahwa: @ waktu Early Offer and Consent Deadline telah berakhir pada 18 Maret 2026 waktu kota New York, # BUMA telah menerima persetujuan yang sah sehubungan dengan Tender Offer dan Consent Solicitation dari para pemegang Surat Utang 2026 sejumlah tidak kurang dari mayoritas pokok terutang Surat Utang 2026 secara agregat. Further to Disclosure of Information regarding Consent Solicitation on March 6, 2024 in relation to amendment to terms and conditions of the notes issued by PT Bukit Makmur Mandiri Utama (“BUMA”), a subsidiary whose 99.994 of its shares owned by the Company, in the amount of USD400,000,000 (four hundred million United States Dollars) with an interest rate of 7.759 per annum which will mature in 2026 (“2026 Notes”) as well as tender offer to purchase for cash any and all of the outstanding amount of the 2026 Notes, the Company hereby announces that: e# Early Offer and Consent Deadline period has ended on March 18, 2026 New York city time, « BUMA has received valid consents pursuant to the Tender Offer Si and Consent Solicitation from holders of the 2026 Notes not less than a majority in aggregate principal amount of outstanding 2026 Notes. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan The impact of the event, material information or facts regarding the operational activities, legal, financial condition, or business continuity of the Company @ Consent Solicitation dan Tender Offer bukan merupakan penawaran umum sebagaimana dimaksud dalam Undang-Undang No. 8 Tahun 1995 tentang Pasar Modal sebagaimana diubah dari waktu ke waktu atau pun penawaran sebagaimana dimaksud dalam Peraturan OJK No. 30/POJK.04/2019 tentang Penerbitan Efek Bersifat Utang dan/atau Sukuk yang Dilakukan Tanpa Melalui Penawaran Umum. Dengan disetujuinya Consent Solicitation oleh pemegang Surat Utang 2026, maka perubahan-perubahan tersebut akan memberikan fleksibilitas lebih bagi BUMA. Consent Solicitation and Tender Offer is not a public offering as referred under Law No. 8 of 1995 concerning Capital Market as amended from time to time or offering as referred under OJK Regulation No. 30/POJK.04/2019 regarding the Issuance of Debt Securities and/or Sukuk Without Public Offering. With the approval of Consent Solicitation from the 2026 Notes holders, the pertaining amendments will provide more flexibility for BUMA. Keterangan lain-lain Others Perseroan akan mengumumkan penyelesaian Tender Offer dan Consent Solicitation pada waktunya sesui dengan POJK 31/2015 dan Peraturan I-E. Hal-hal yang diusulkan dalam Consent Solicitation hanya akan dapat dilakukan apabila mendapat persetujuan dari pemegang Surat Utang 2026. The Company will announce the Tender Offer and Consent Solicitation completion in a timely manner in accordance with POJK 31/2015 dan Rule I-E. The proposed amendments in the Consent Solicitation will only be able to carried out if the 2026 Notes holders approve.
