mengenai pertimbangan dan alasan Perseroan
melakukan transaksi dengan pihak terafiliasi jika
dibandingkan dengan pihak lain. Agar dijelaskan
mengenai hal tersebut.

Tanggapan Perseroan:

Pelaksanaan transaksi afiliasi tersebut dilakukan,
antara lain dengan mempertimbangkan faktor-
faktor positif antara lain letak dan lokasi bangunan
gudang yang strategis dan kemudahan akses serta
relatif berdekatan dengan pelanggan dan/atau
sub-distributor dari PT Prapat Tunggal Cipta.

Agar dijelaskan ada tidaknya benturan
kepentingan dari transaksi sewa menyewa
tersebut sebagaimana disebutkan dalam pasal 10
huruf i POJK 42/2020.

Tanggapan Perseroan:

Dalam transaksi sewa tidak mengandung benturan
kepentingan. Lebih lanjut, transaksi sewa yang
disampaikan merupakan transaksi afiliasi yang
hanya wajib dilaporkan kepada Otoritas Jasa
Keuangan (“OJK”) sebagaimana dimaksud dalam
POJK No.42/POJK.04/2020 tentang Transaksi
Afiliasi dan Benturan Kepentingan tanggal 1 Juli
2020 di pasal 6 angka 1 butir c.

Terkait perjanjian sewa tersebut, agar dapat

dijelaskan:

a. Kontribusi terhadap pendapatan yang
diharapkan Perseroan dari perjanjian sewa
menyewa antara PT Prapat Tunggal Cipta
dengan Bapak Suryadi Hartono.

Tanggapan Perseroan:

Transaksi sewa ini akan memudahkan
Perseroan dalam mendukung dan pengawasan
atas aktivitas distribusi produk Perseroan di
Sumatera Utara sampai Nanggroe Aceh
Darussalam yang dijalankan oleh PT Prapat
Tunggal Cipta cabang Medan, sebagai
Distributor Tunggal Produk Perseroan di
Indonesia. Hal ini diyakini akan berdampak
positif dan akan memberikan nilai lebih bagi
para pemegang saham serta stakeholders

In the information disclosure, it has not been
explained about the considerations and reasons
for the Company's transactions with affiliated
parties when compared to other parties. To be
explained about it.

Company's Response:

The implementation of the affiliate transaction
was carried out, by considering positive factors, i.e
the location of the warehouse building is strategic
and easy to access as well as relatively close to
customer and/or sub-distributors of PT Prapat
Tunggal Cipta.

To explain whether there is a conflict of interest
from the lease transaction as mentioned in article
10 letter i POJK 42/2020.

Company's Response:

In the lease transaction does not contain a conflict
of interest. In addition, the lease transaction
described are affiliated tranactions which is must
only be reported to the Financial Services
Authority (“OJK”) as referred to OJK Regulation
POJK No.42/POJK.04/2020 on Affiliated
Transactions and Conflict of Interest Transactions
dated July 1, 2020 in article 6 point 1c.

Regarding the lease agreement, in order to be

explained:

a. Contribution to the Company's expected
income from the lease agreement between PT
Prapat Tunggal Cipta and Mr. Suryadi Hartono.

Company's Response:

This lease transaction will facilitate the
Company in supporting and supervising over
the Company's product distribution activities
in North Sumatra to Nanggroe Aceh
Darussalam which is carried out by PT Prapat
Tunggal Cipta — Medan Branch, as the Sole
Distributor of the Company's Products in
Indonesia. Hereby, the Company believed to
have a positive impact and will provide more
value for the Company's shareholders and
stakeholders.

Transaksi sewa ini merupakan transaksi
pertama kali antara PT Prapat Tunggal Cipta
dan Bp Suryadi Hartono

bangunan Gedung tersebut.

Sumber pendanaan untuk pembayaran sewa
berasal dari arus kas internal PT Prapat
Tunggal Cipta

terms of renewal, why only do leases less than
1 year be made?

Company's Response:

The lease transaction is initial transaction of
PT Prapat Tunggal Cipta and Bp Suryadi
Hartono.

C. Source of funding for the lease payment of the
building.

Company's Response:

The source of funding for lease payment are
from PT Prapat Tunggal Cipta's internal
cashflow.
