 Other Information:

 1. Date of Transaction: August 24, 2026

 2. Object of Transaction:

 Provision of corporate guarantee and cash deficit guarantee and undertaking by the Company to PT Bank Mandiri
 (Persero) Tbk, Singapore Branch (Bank Mandiri).

 A subsidiarys of the Company, i.e. Eternity Ocean Maritime Ltd. (EOM), has obtained a term loan facility with a total
 principal amount of up to US$54,900,000 (fifty-four million nine hundred thousand United States Dollars) from Bank
 Mandiri (hereinafter referred to as the Facility) to support EOMs operational activities.

 The Company has signed (i) corporate guarantee and indemnity, and (ii) cash deficit guarantee and undertaking, with
 Bank Mandiri to guarantee EOM s obligations in relations with the use of the Facility (hereinafter collectively referred to
 as the Guarantees).

 3. Transaction Value: US$54,900,000 (fifty-four million nine hundred thousand United States Dollars).

 4. Parties to the Transaction:
 -. The Company, as the guarantor providing the Guarantees to Bank Mandiri.
 -. Bank Mandiri, as the lender providing the Facility to EOM which is the subsidiary of the Company, and the recipient of
 the Guarantees provided by the Company.
 -. EOM, as the recipient of the Facility from Bank Mandiri.

 5. Nature of Affiliation
 The Company is the shareholder of EOM, with ownership of 100% in EOM.

 6. Reason for the Transaction


The provision of the Guarantees is intended to guarantee the obligations of EOM as the Companys subsidiary in
connection with the receipt of the Facility, which is expected to support EOMs operational activities.
