(“MeriT»),-ii)-Axia-Power-Holdings-B.V.-iii)- Tohoku-Power-Investment-Company-B.V.,-dan.tiv)-Inpe: Geothermal Ltd. (“INPEX”) (seluruhnya disebut “Para Penjual”), dimana EPN akan membeli saham- saham sebanyak 163.136 lembar saham seri B milik MeriT dan 94.313 lembar saham seri B milik INPEX, dalam PT Supreme Energy Rantau Dedap (“SERD”) dengan total nilai keseluruhan sebesar US$80,691,700 atau setara dengan Rp1.266.859.690.000. Nilai keseluruhan atas transaksi tersebut dapat berubah pada saat penyelesaian transaksi dikarenakan adanya penyesuaian atas posisi laporan keuangan saat penutupan transaksi. (@ uniteb TRACTORS member of ASTRA PT Energia Prima Nusantara (“EPN”), a controlled entity of the Company entered into a share sale and purchase agreement (“Agreement') with (i) MeriT Power Holdings B.V (“MeriT”), (ii) Axia Power Holdings B.V., (iii) Tohoku Power Investment Company B.V., and (iv) Inpex Geothermal Ltd. (“INPEX”) (all reffred to as “Sellers”), whereas EPN will purchase shares of 163,136 series B shares owned by MeriT and 94,313 series B shares owned by INPEX, in PT Supreme Energy Rantau Dedap (“SERD”) with a total value of US$80,691,700 or egual to Rp1.266.859.690.000. The total value of the transaction may change at the completion of the transaction due to adjustmentes of financial positions at the closing date. Sehubungan dengan informasi di atas, Perseroan dengan ini memberitahukan bahwa pada tanggal 15 Maret 2024, penutupan transaksi telah terjadi karena seluruh persyaratan pendahuluan (conditions precedent) dalam Perjanjian telah terpenuhi oleh masing-masing pihak yang mana (a) 163.136 lembar saham seri B milik MeriT dan (b) 94.313 lembar saham seri B milik INPEX telah ditransfer ke EPN EPN telah menyelesaikan pembayaran dengan total nilai keseluruhan sebesar US$80.691.690 atau setara dengan Rp1.257.338.069.400 kepada Para Penjual. In relation to the above information, the Company hereby informs that on 15 March 2024, the closing of the transaction has occurred as all conditions precedent in the Agreement have been fulfilled by each party whereas: (a) 163,136 series B shares owned by MeriT and (b) 94,313 series B shares owned by INPEX are transferred to EPN. EPN has made payment with the total amount of US$80,691,690 or egual to Rp1,257,338,069,400 to the Sellers. Selain dari apa yang disebutkan di atas, informasi yang telah disampaikan dalam Keterbukaan Informasi 5 Maret 2024 masih tetap sama dan tidak berubah. Other than the above, the information which had been disclosed under the Disclosure Information 5 March 2024 remains valid and nothing change.
