Pada Tanggal 8 Maret 2024 PT Bursa Efek Indonesia
(“BEI”) telah mengirim surat dan meminta PT Japfa
Comfeed Indonesia (“Perseroan”) untuk menanggapi
artikel/berita di Kontan pada tanggal yang sama yang
mengutip artikel Bloomberg tentang kemungkinan
privatisasi Japfa Ltd, induk perusahaan Perseroan.
Mengingat yang menjadi subjek privatisasi dalam
artikel Kontan adalah Japfa Ltd dan bukan Perseroan,
maka Perseroan tidak dapat memberikan komentar
mengenai persoalan di Japfa Ltd, suatu perusahaan
yang terdaftar di Bursa Singapura (SGX-ST).
Japfa Ltd pada hari Senin, tanggal 11 Maret 2024
mengumumkan (“Pengumuman SGX") tanggapannya
terhadap artikel Bloomberg di SGX-ST. Ringkasan
kutipan yang relevan diterjemahkan dan dituliskan
kembali di bawah ini:
“.. Direksi dengan ini memberitahukan kepada
para pemegang saham Perseroan (“Japfa Ltd”)
(“Pemegang Saham”) bahwa Direksi telah
menerima informasi dari Renaldo Santosa bahwa
keluarganya, sebagai pemegang saham utama
Japfa Ltd, telah mengetahui artikel tersebut, dan
bahwa dari waktu ke waktu, beberapa lembaga
keuangan, bank investasi dan profesional
keuangan korporasi lainnya telah mencoba
mendekati keluarga untuk mempertimbangkan
berbagai macam transaksi di pasar modal, baik di
pasar utang maupun dan pasar ekuitas. Keluarga
mengevaluasi semua usulan tersebut. Oleh karena
itu, pihak keluarga kerap terlibat dalam diskusi
On 8 March 2024, PT Bursa Efek Indonesia (“IDX”)
has reguested PT Japfa Comfeed Indonesia Tbk
(the “Company”) to respond to an article by Kontan
of the same date, citing a Bloomberg article about
a possible privatisation of Japfa Ltd, the holding of
the Company.
As the subject of privatisation in the Kontan article
is Japfa Ltd and not the Company, the Company is
not able to comment on the matters of Japfa Ltd, a
company listed on the Singapore Stock Exchange
(SGX-ST).
Japfa Ltd has on Monday 11 March 2024
announced (“SGX Announcement?) its response to
the Bloomberg article on the SGX-ST. The relevant
extract is reproduced below:
“... the Board wishes to inform shareholders of
the Company ("Shareholders") that it has been
informed by Renaldo Santosa that his family,
as key shareholders of Japfa Ltd, are aware of
the Article, and that from time to time, they are
approached by various financiers, investment
banks and other corporate finance
professionals to consider a wide variety of
transactions in the public debt and eguity
mmarkets. As a matter of practice, the family
lypically assess all such proposals. As a result,
the family are regularly engaged in exploratory
discussions regarding varivus — corporate
actions, including ones both similar and

Direksi telah diberitahu oleh Bapak Santosa bahwa jika dalam hal penjajagan tersebut menjadi sebuah kepastian, keluarga akan membuat informasi Sebagaimana ketentuan yang berlaku.” Perseroan menegaskan bahwa: a) saat ini Japfa Ltd merupakan pemegang saham mayoritas Perseroan dan keluarga merupakan pemegang saham mayoritas dari Japfa Ltd dan Perseroan, dan b) Pengumuman SGX tidak menyebabkan perubahan apapun yang akan mempengaruhi usaha dan kelangsungan hidup Perseroan. The Board has been informed by Mr Santosa that if at any point in time should any of the discussions become definitive the family will make all relevant announcements as reguired under applicable law.” The Company wishes to remind the public that a) at present Japfa Ltd is a majority shareholder of the Company and the family is a majority Shareholder of Japfa Ltd and of the Company and b) the SGX Announcement does not refer to any change that would affect the Company's business and as a going concern.
