menjadi Komisaris Utama sebagaimana telah ditetapkan
melalui Surat Keputusan Anggota Dewan Komisioner Otoritas
Jasa Keuangan Nomor KEP-89/PL.02/2024 tentang Hasil
Penilaian Kemampuan dan Kepatutan Sdri. Bhindawati
Gunawan selaku Calon Komisaris Utama PT Clipan Finance
Indonesia Tbk tanggal 5 Maret 2024, lampiran Surat
Persetujuan OJK.
Dampak kejadian, informasi atau fakta a) Dengan telah disetujuinya Ibu Bhindawati Gunawan
material tersebut terhadap kegiatan sebagai Komisaris Utama Perseroan, maka Perseroan wajib
operasional, hukum, kondisi keuangan, melakukan penyesuaian dokumen Perseroan yang diperlukan
atau kelangsungan usaha Emiten atau terkait persetujuan Ibu Bhindawati Gunawan;
Perusahaan Publik b) Ibu Bhindawati Gunawan telah sah dan dapat
bertindak untuk dan atas nama Perseroan baik di dalam
maupun di luar pengadilan sebagaimana diatur dalam
Anggaran Dasar Perseroan.

Description of Material Information or President Commissioner of the Company, namely Ms
Facts Bhindawati Gunawan has met the requirements and was
approved to become President Commissioner as set forth in
the Decision of the Members of the Board of Commissioners of
the Financial Services Authority No. KEP 89 PL.02 2024 on
the Results of the Fit and Proper Test of Ms Bhindawati
Gunawan as Candidate for President Commissioner of PT
Clipan Finance Indonesia Tbk dated 5 March 2024, attached
to the OJK Approval Letter.
Impact of event, material information or a) With the approval of Mrs Bhindawati Gunawan as the
facts towards Issuers or Public President Commissioner of the Company, the Company shall
Company’s operational activities, legal, make the necessary adjustments to the Company's documents
financial condition, or going concern related to the approval of Mrs Bhindawati Gunawan;
b) Ms Bhindawati Gunawan is authorised and able to act
for and on behalf of the Company both inside and outside the
court as stipulated in the Company's Articles of Association.
