Uraian Informasi atau Fakta Material Dengan merujuk pada Peraturan Otoritas Jasa Keuangan
nomor: 31/POJK.04/2015 tentang Keterbukaan Atas Informasi
atau Fakta Material oleh Emiten atau Perusahaan Publik,
Perseroan dengan ini menginformasikan bahwa:
1. Berdasarkan Surat dari PT Bank Shinhan Indonesia (Bank
Shinhan) Nomor 688/BSI-CCM/IV/2026 tanggal 22 April 2026
perihal Pemberitahuan Persetujuan Kredit (SPPK) kepada
Perseroan.
2. Bahwa pada hari Jumat, 24 April 2026, Perseroan telah
melakukan penandatanganan Akta Perjanjian Kredit Investasi
di hadapan Dr. Isy Karimah Syakir, S.H., M.Kn., M.H., Notaris
di Surabaya, sebagaimana dibuktikan dengan Surat
Keterangan Nomor 66/IS/IV/2026.
3. Adapun detail Fasilitas Kredit yang diterima oleh Perseroan
sebagai berikut:
a. Jenis kredit : Kredit Investasi (Non Revolving-Pelunasan
Pokok)
b. Limit Kredit : Rp100.000.000 (seratus miliar rupiah)
c. Jangka Waktu : 78 (tujuh puluh delapan) bulan
d. Suku Bunga : Compounded IndoNIA 3 bulan + margin
e. Drawdown Period : 12 (dua belas) bulan terhitung sejak
tanggal pengikatan kredit
f. Grace Period : 6 (enam) bulan
g. Jangka waktu angsuran 60 (enam puluh) bulan setelah
grace period
4. Fasilitas kredit investasi Perseroan digunakan untuk
investasi pengadaan kapal baru (fast crew boats) untuk
mendukung layanan penyewaan Perseroan
5. Jaminan atas fasilitas kredit antara lain:
a. Hipotek atas setiap kapal yang akan dibiayai sebesar 125%
(seratus dua puluh lima persen) dari setiap jumlah pencairan
b. Fidusia atas jaminan Piutang berdasarkan kontrak sewa
kapal masing-masing sebesar 125% (seratus dua puluh lima
persen) dari setiap jumlah pencairan
c. Gadai atas rekening escrow sebesar 1 (satu) kali jumlah
pembayaran angsuran pokok dan bunga
Dampak kejadian, informasi atau fakta 1. Perseroan akan mengalami peningkatan liabilitas
material tersebut terhadap kegiatan sehubungan dengan kewajiban pembayaran pokok dan bunga
operasional, hukum, kondisi keuangan, atas fasilitas kredit tersebut.

memperkuat posisi di sektor offshore support vessel.
4. Transaksi ini tidak menimbulkan dampak hukum yang
material terhadap kegiatan usaha Perseroan
Informasi Lain
Transaksi ini juga bukan merupakan Transaksi Material sebagaimana dimaksud dalam POJK No. 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha.

Description of Material Information or With reference to Financial Services Authority Regulation No.
Facts 31/POJK.04/2015 on Disclosure of Material Information or
Facts by Issuers or Public Companies, the Company hereby
informs that:
1. Based on a letter from PT Bank Shinhan Indonesia (Bank
Shinhan) No. 688/BSI-CCM/IV/2026 dated 22 April 2026
regarding the Notification of Credit Approval (SPPK) to the
Company.
2. That on Friday, 24 April 2026, the Company executed the
Investment Loan Agreement before Dr Isy Karimah Syakir,
S.H., M.Kn., M.H., Notary in Surabaya, as evidenced by
Certificate No. 66/IS/IV/2026.
3. The details of the Credit Facility received by the Company
are as follows:
a. Type of credit: Investment Credit (Non-Revolving-Principal
Repayment)
b. Credit Limit: IDR 100,000,000 (one hundred billion rupiah)
c. Term: 78 (seventy-eight) months
d. Interest Rate: 3-month Compounded IndoNIA + margin
e. Drawdown Period: 12 (twelve) months from the date of the
credit agreement
f. Grace Period: 6 (six) months
g. Repayment period: 60 (sixty) months following the grace
period
4. The Companys investment credit facility is used for the
investment in the procurement of new vessels (fast crew
boats) to support the Companys charter services
5. Collateral for the credit facility includes:
a. A mortgage on each vessel to be financed, amounting to
125% (one hundred and twenty-five per cent) of each
disbursement
b. A pledge over receivables under the respective vessel
charter contracts, amounting to 125% (one hundred and
twenty-five per cent) of each disbursement
c. A pledge over the escrow account equal to 1 (one) times the
amount of the principal and interest instalment
Impact of event, material information or 1. The Company will see an increase in liabilities in connection

This transaction also does not constitute a Material Transaction as defined in POJK No. 17/POJK.04/2020 on
Material Transactions and Changes in Business Activities.
