PENGUMUMAN
RINGKASAN RISALAH RAPAT UMUM PEMEGANG SAHAM TAHUNAN
DAN JADWAL PEMBAGIAN DIVIDEN TUNAI
TAHUN BUKU 2023
PT BANK TABUNGAN NEGARA (PERSERO) Tbk
Direksi PT Bank Tabungan Negara (Persero) Tbk (“Perseroan”) berkedudukan di Jakarta Pusat, dengan
ini memberitahukan kepada para pemegang saham Perseroan, bahwa Perseroan telah
menyelenggarakan Rapat Umum Pemegang Saham Tahunan Tahun Buku 2023 (“Rapat”) dengan
perincian informasi sebagai berikut:

Rapat dipimpin oleh Sdr. Chandra M. Hamzah, selaku Komisaris Utama/Independen, sesuai
keputusan Rapat Dewan Komisaris tanggal 21 Februari 2024 yang disampaikan melalui Surat
Dewan Komisaris Perseroan Nomor 27/KOM/BTN/II/2024 tanggal 21 Februari 2024 perihal Pimpinan
Rapat Umum Pemegang Saham Tahunan Tahun Buku 2023 PT Bank Tabungan Negara (Persero)
Tbk, dan dihadiri oleh seluruh anggota Dewan Komisaris, seluruh anggota Direksi dan seluruh
anggota Komite Audit Perseroan sebagai berikut:

C. Kehadiran Pemegang Saham
Rapat tersebut telah dihadiri oleh para pemegang saham dan/atau kuasa pemegang saham
termasuk di dalamnya saham Seri A Dwiwarna yang seluruhnya mewakili 11.192.526.051 (sebelas
miliar seratus sembilan puluh dua juta lima ratus dua puluh enam ribu lima puluh satu) saham atau
sebesar 79,7504035% (tujuh puluh sembilan koma tujuh lima nol empat nol tiga lima persen) dari
jumlah seluruh saham dengan hak suara yang sah yang telah dikeluarkan Perseroan sampai dengan
hari Rapat, yaitu sejumlah 14.034.444.413 (empat belas miliar tiga puluh empat juta empat ratus
empat puluh empat ribu empat ratus tiga belas) saham yang terdiri dari:
● 1 (satu) saham Seri A Dwiwarna; dan
● 14.034.444.412 (empat belas miliar tiga puluh empat juta empat ratus empat puluh empat ribu
empat ratus dua belas) saham seri B;
dengan memperhatikan Daftar Pemegang Saham Perseroan per tanggal 12 Februari 2024 sampai
dengan pukul 16.15 Waktu Indonesia Barat.
D. Kesempatan Untuk Mengajukan Pertanyaan, Pendapat, dan/atau Usul.
Dalam pembahasan setiap mata acara Rapat, kecuali mata acara kelima karena bersifat laporan,
telah diberikan kesempatan kepada para pemegang saham dan kuasa pemegang saham Perseroan
untuk mengajukan pertanyaan, pendapat, dan/atau usul.
E. Mekanisme Pengambilan Keputusan dalam Rapat
Mekanisme pengambilan keputusan dalam Rapat dilakukan secara musyawarah untuk mufakat.
Dalam hal musyawarah untuk mufakat tidak tercapai, maka keputusan akan diambil dengan
perhitungan suara, yang disetujui oleh Pemegang Saham Yang Berhak atau kuasanya yang sah
dengan ketentuan:
a. Mata acara Rapat pertama sampai dengan keempat, keputusan adalah sah jika disetujui oleh
Pemegang Saham Yang Berhak atau kuasa mereka yang sah yang bersama-sama mewakili
lebih dari 1/2 (satu per dua) bagian dari jumlah seluruh saham dengan hak suara yang hadir
dalam Rapat.
b. Mata acara Rapat kelima, hanya bersifat laporan sehingga tidak terdapat keputusan.
c. Mata acara Rapat keenam, keputusan adalah sah jika disetujui oleh pemegang saham Seri A
Dwiwarna dan para Pemegang Saham Yang Berhak lainnya atau kuasa mereka yang sah yang
bersama-sama mewakili lebih dari 2/3 (dua per tiga) bagian dari jumlah seluruh saham dengan
hak suara yang hadir dalam Rapat.

d. Untuk mata acara Rapat ketujuh, keputusan adalah sah jika disetujui oleh pemegang saham Seri
A Dwiwarna dan para Pemegang Saham Yang Berhak lainnya atau kuasa mereka yang sah
yang bersama-sama mewakili lebih dari 1/2 (satu per dua) bagian dari jumlah seluruh saham
dengan hak suara yang hadir dalam Rapat.
F. Pihak Independen Penghitung Suara
Hasil pemungutan suara dihitung oleh PT Datindo Entrycom selaku Biro Administrasi Efek (“BAE”)
dan selanjutnya divalidasi dan diumumkan oleh Notaris Ashoya Ratam, S.H., M.Kn., yang keduanya
merupakan pihak yang independen yang ditunjuk oleh Perseroan.
G. Keputusan Rapat
Bahwa dalam Rapat tersebut telah diambil keputusan yaitu sebagaimana dituangkan dalam Akta
Risalah Rapat Umum Pemegang Saham Tahunan PERUSAHAAN PERSEROAN (PERSERO) PT
BANK TABUNGAN NEGARA Tbk atau disingkat PT BANK TABUNGAN NEGARA (PERSERO) Tbk
Nomor 06 tanggal 6 Maret 2024, yang dibuat oleh Notaris Ashoya Ratam, S.H., M.Kn., yang
pokoknya adalah sebagai berikut:
1. Mata Acara Pertama Rapat
Persetujuan Laporan Tahunan dan Pengesahan Laporan Keuangan Perseroan, Persetujuan
Laporan Tugas Pengawasan Dewan Komisaris serta Pengesahan Laporan Keuangan Program
Pendanaan Usaha Mikro dan Usaha Kecil (PUMK) Tahun Buku 2023 sekaligus Pelunasan dan
Pembebasan Tanggung Jawab Sepenuhnya (volledig acquit et de charge) kepada Direksi atas
Tindakan Pengurusan Perseroan dan Dewan Komisaris atas Tindakan Pengawasan Perseroan
yang Telah Dijalankan Selama Tahun Buku 2023.
Pertanyaan, Pendapat, dan /atau Usul
Terdapat 4 (empat) pemegang saham yang mengajukan pertanyaan, pendapat, dan/atau usul
sehubungan dengan mata acara pertama Rapat. Rangkuman dan intisari proses tanya jawab
untuk mata acara tersebut adalah sebagai berikut:

1. Dalam rangka pelaksanaan pembinaan PT Bank Terima kasih Pemegang Saham Seri A
Tabungan Negara (Persero) Tbk/”BTN” untuk Dwiwarna atas tanggapannya. Perseroan
peningkatan kinerja Perseroan, bersama ini kami akan mencatat dan menindaklanjuti catatan
sampaikan hal-hal sebagai berikut: dari Pemegang Saham Seri A Dwiwarna.
1. Kami mengucapkan terima kasih dan apresiasi
kepada segenap jajaran Dewan Komisaris, Direksi,
dan Pegawai BTN atas:
a. Keberhasilan dalam meningkatkan kinerja
Perseroan, yang tercermin pada:
1) Laba bersih meningkat 14,97% YoY menjadi
Rp3,50 triliun.
2) Total Kredit meningkat 11,87% YoY menjadi
Rp333,69 triliun.
3) Realisasi Fee Based Income meningkat
60,15% YoY menjadi 3,22 triliun.
4) Rasio CASA meningkat dari 48,52% menjadi
53,73%.
5) Rasio CIR turun dari 46,66% menjadi
45,26%.

6) Rasio NPL Gross menurun dari 3,38%
menjadi 3,01% dan LAR menurun dari
23,24% menjadi 21,20%.
b. Komitmen Perseroan dalam mendukung program
pemerintah untuk memaksimalkan penyediaan
pembiayaan rumah rakyat khususnya bagi
masyarakat berpenghasilan rendah dalam rangka
mencapai zero backlog pada tahun 2045.
Kami berharap capaian tersebut terus ditingkatkan
pada masa mendatang sehingga Perseroan dapat
berkontribusi lebih optimal bukan hanya terhadap
shareholder return namun juga negara dan
masyarakat.
2. Hal-hal yang perlu mendapat perhatian Dewan
Komisaris dan Direksi BTN untuk perbaikan kinerja di
masa mendatang, sebagai berikut:
a. Untuk mengantisipasi kondisi ekonomi global
pada tahun 2024 yang berpotensi adanya
tekanan inflasi dan pengetatan kebijakan moneter
global dengan ruang fiskal yang semakin
terbatas, Perseroan agar menetapkan strategi
penyaluran kredit yang lebih selektif, menerapkan
manajemen risiko kredit yang
berkesinambungan, serta pengelolaan likuiditas
yang optimal;
b. Secara nasional, pertumbuhan ekonomi pada
tahun 2024 diprediksi akan tetap kuat dan tumbuh
positif dalam kisaran 4,8% - 5,2%. Selain itu,
sektor perumahan masih memiliki ruang tumbuh
yang sangat besar mengingat masih tingginya
angka backlog perumahan nasional, tingginya
jumlah masyarakat yang belum memiliki rumah
yang layak, dan perpanjangan stimulus yang
diberikan Pemerintah pada sektor perumahan.
Peluang ini agar dapat dimanfaatkan dengan baik
oleh Perseroan dengan mengoptimalkan seluruh
potensi yang ada sehingga dapat menjadi The
Best Mortgage Bank in Southeast Asia
sebagaimana yang diharapkan;
c. Perseroan agar berfokus pada penguatan
strategi, inovasi bisnis, serta ekspansi pasar
untuk meningkatkan kapitalisasi pasar sehingga
dapat memberikan nilai tambah kepada
Pemegang Saham;
d. Mengingat pada tahun 2023 terjadi penurunan
net interest income, Perseroan diharapkan:
1) Melakukan upaya penurunan cost of fund
melalui peningkatan dana murah (CASA),
penguatan bisnis berbasis ekosistem,
penetrasi mobile banking sebagai digital
financial solution, serta mengoptimalkan
penetrasi cash management service bagi
nasabah, sehingga dapat unggul dalam
persaingan transaction banking service.
2) Mendorong ekosistem perumahan rumah
dengan KPR model baru, ekspansi bisnis

lainnya yang berkualitas dan berkelanjutan,
serta mengoptimalkan yield atas penyaluran
kredit dengan tetap mengedepankan prinsip
kehati-hatian sehingga terdapat peningkatan
profitabilitas yang berkesinambungan.
e. Terus mendorong peningkatan kontribusi
pendapatan yang bersumber dari Pendapatan
Operasional Lainnya khususnya Fee Based
Income (FBI) melalui akselerasi layanan
keuangan digital dan transactional banking yang
masif, terutama pada user internet dan mobile
banking, serta pengembangan fee based dari
sumber-sumber baru lainnya seperti layanan
valas, trading forex, dan structured products;
f. Memastikan pencapaian target KPI Penyertaan
Modal Negara (PMN), terutama pada indikator-
indikator yang tidak tercapai pada tahun 2023
yaitu BOPO, NPL Gross dan Realisasi KPR
Subsidi;
g. Sehubungan dengan semakin tingginya peran
teknologi informasi dalam industri perbankan dan
semakin masifnya upaya peretasan dan
gangguan keamanan siber yang berdampak
sangat masif baik secara operasi, keuangan,
maupun reputasi, Perseroan diharapkan
memperkuat keamanan sibernya (cyber security)
baik dari aspek kebijakan, infrastruktur, sistem
operasi, maupun mitigasi risiko;
h. Dalam rangka mendorong prinsip keuangan
berkelanjutan, Perseroan agar menjaga
komitmen dalam mengembangkan inisiatif ESG
antara lain melalui program kerja Perseroan,
penyaluran kredit maupun penerbitan surat utang
dengan berlandaskan pada prinsip green
financing. Selain itu, implementasi inisiatif ESG
agar diselaraskan dengan arah fokus program
pemerintah dalam rangka pemulihan dan
pengembangan ekonomi nasional;
i. Perseroan agar terus berkomitmen melakukan
perbaikan dalam implementasi Strategi Anti
Fraud pada setiap pilarnya dan tidak memberikan
toleransi (zero tolerance) pada setiap bentuk
fraud baik internal maupun eksternal;
j. Menindaklanjuti temuan audit/pemeriksa internal
maupun eksternal, mengoptimalkan pengelolaan
manajemen risiko dan implementasi three line of
defense, serta senantiasa mengedepankan
prinsip Good Corporate Governance dan
memperhatikan ketentuan Anti Pencucian Uang,
Pencegahan Pendanaan Terorisme dan
Pencegahan Pendanaan Proliferasi Senjata
Pemusnah Massal (APU PPT dan PPPSPM).
2. a. Dalam perhatian kami, terdapat peningkatan Di tahun 2023, Perseroan mengalami

rumah, kredit motor, kredit tanpa agunan atau kartu di tahun 2023 yaitu mencapai 155,16%,
kredit? adalah bertujuan untuk meningkatkan kehati-
hatian Perseroan terhadap risiko NPL dan
meningkatkan coverage Perseroan.
b. Baru-baru ini PT Akulaku Finance Indonesia berhasil Perseroan memiliki konsentrasi bisnis yang
mendapatkan pencabutan sanksi oleh OJK. Apakah berbeda dengan PT Akulaku Finance
hal tersebut memberikan dampak pada industri Indonesia. Sampai dengan saat ini,
perbankan, terutama BTN mengingat Perusahaan Perseroan belum memiliki irisan persaingan
Buy Now Pay Later (BNPL) memiliki CAGR >10% per dengan PT Akulaku. Namun ke depannya,
tahun? Perseroan merencanakan akan
mengeluarkan produk BNPL yang
diharapkan akan keluar izinnya dari OJK
tahun ini.
3. a. Divisi bisnis manakah yang menjadi gangguan dalam Pada dasarnya, seluruh Divisi telah

b. Sebagai raja KPR rumah subsidi, adakah agenda mungkin dapat dilakukan Perseroan, namun
Perseroan untuk menciptakan layanan KPR flat skema tersebut akan sangat membebani
cicilan s.d. 30 tahun, dan apakah hal tersebut akan konsumen terutama apabila diterapkan pada
mengganggu NPL seandainya nasabah wanprestasi KPR dengan jangka waktu panjang s.d. 30
karena pensiun atau PHK? tahun. Bunga yang dibayarkan konsumen
akan lebih tinggi dari pokok kreditnya,
dikarenakan bunga dengan skema flat akan
lebih tinggi dibandingkan bunga dengan
skema anuitas atau efektif yang merupakan
skema perhitungan bunga KPR yang umum
dipakai oleh pasar. atas hal tersebut, maka
untuk saat ini Perseroan tidak akan
menggunakan skema tersebut.
4. Melalui dana CSR, BTN diharapkan dapat berperan aktif Hal tersebut akan menjadi masukan bagi
dalam membangun mentalitas anak bangsa khususnya Perseroan.
Gen Z yang saat ini di tengarai sebagai generasi stroberi
(Kompas.id, 26 Juni 2023). Mereka dipandang sebagai
generasi muda yang lembek, manja, berdaya juang
lemah saat menghadapi tantangan, padahal merekalah
generasi yang berperan penting untuk meraih Indonesia
Emas 2045. Salah satu cara membangun generasi z agar
mereka memiliki mental tangguh, punya daya juang yang
tinggi dan berjiwa patriotik & rasa nasionalisme yang
tinggi, perlu dibagikan secara gratis buku-buku biografi
pahlawan nasional. Dengan demikian jiwa nasionalisme,
daya juang yang tinggi diharapkan dapat menular kepada
gen z yang membaca buku-buku pahlawan tersebut.

Keputusan
1. Menyetujui Laporan Tahunan Perseroan termasuk Laporan Tugas Pengawasan Dewan
Komisaris Perseroan untuk Tahun Buku 2023 yang berakhir pada tanggal 31 Desember
2023.
2. Mengesahkan:
a. Laporan Keuangan Perseroan untuk Tahun Buku 2023 yang berakhir pada tanggal 31
Desember 2023 yang telah diaudit oleh Kantor Akuntan Publik Purwantono, Sungkoro
& Surja (firma anggota jaringan Ernst & Young Global) sesuai Laporan Nomor
00048/2.1032/AU.1/07/1681-1/1/II/2024 tanggal 12 Februari 2024 dengan opini wajar
dalam semua hal yang material; dan
b. Laporan Keuangan Program Pendanaan Usaha Mikro dan Usaha Kecil untuk Tahun
Buku 2023 yang berakhir pada tanggal 31 Desember 2023 yang telah diaudit oleh
Kantor Akuntan Publik Purwantono, Sungkoro & Surja (firma anggota jaringan Ernst &
Young Global) sesuai Laporan Nomor 00047/2.1032/AU.2/10/1681-1/1/II/2024 tanggal
12 Februari 2024 dengan opini wajar dalam semua hal yang material.
3. Dengan telah disetujuinya Laporan Tahunan Perseroan termasuk Laporan Tugas
Pengawasan Dewan Komisaris, dan disahkannya Laporan Keuangan Perseroan serta
Laporan Keuangan Program Pendanaan Usaha Mikro dan Usaha Kecil (PUMK), seluruhnya
untuk Tahun Buku 2023 yang berakhir pada tanggal 31 Desember 2023, maka RUPS
memberikan pelunasan dan pembebasan tanggung jawab sepenuhnya (volledig acquit et
de charge) kepada seluruh anggota Direksi atas tindakan pengurusan Perseroan dan
kepada seluruh anggota Dewan Komisaris atas tindakan pengawasan Perseroan yang telah
dijalankan selama Tahun Buku 2023 yang berakhir pada tanggal 31 Desember 2023,
sepanjang tindakan tersebut bukan merupakan tindak pidana dan tercermin dalam laporan-
laporan tersebut di atas.
2. Mata Acara Kedua Rapat
Penetapan Penggunaan Laba Bersih Perseroan untuk Tahun Buku 2023.

Tidak terdapat pertanyaan, pendapat, dan/atau usul yang diajukan dalam pembahasan mata
acara kedua Rapat.

Keputusan
Menyetujui penggunaan laba bersih Perseroan untuk Tahun Buku 2023 sebesar
Rp3.500.987.620.258,75 (tiga triliun lima ratus miliar sembilan ratus delapan puluh tujuh juta
enam ratus dua puluh ribu dua ratus lima puluh delapan koma tujuh lima rupiah) sebagai berikut:
1. Sebesar 20% (dua puluh persen) atau sejumlah Rp700.197.524.051,75 (tujuh ratus miliar
seratus sembilan puluh tujuh juta lima ratus dua puluh empat ribu lima puluh satu koma tujuh
lima rupiah) atau sebesar Rp49,89136 (empat puluh sembilan koma delapan sembilan satu

tiga enam rupiah) per saham ditetapkan sebagai Dividen Tunai. Pembayarannya
dilaksanakan dengan ketentuan sebagai berikut:
a. Dividen bagian Negara Republik Indonesia sebesar Rp420.118.514.441,03 (empat
ratus dua puluh miliar seratus delapan belas juta lima ratus empat belas ribu empat ratus
empat puluh satu koma nol tiga rupiah) disetorkan ke Rekening Kas Umum Negara.
b. Dividen untuk Tahun Buku 2023 dibayarkan secara proporsional kepada setiap
Pemegang Saham yang namanya tercatat dalam Daftar Pemegang Saham pada
tanggal pencatatan (recording date).
c. Direksi diberi wewenang dan kuasa dengan hak substitusi untuk melakukan:
i. Penetapan jadwal dan tata cara pembagian yang berkaitan dengan pembayaran
Dividen untuk Tahun Buku 2023 sesuai ketentuan yang berlaku.
ii. Pemotongan pajak Dividen sesuai peraturan perpajakan yang berlaku.
iii. Hal-hal terkait teknis lainnya sesuai dengan ketentuan yang berlaku.
2. Sebesar 80% (delapan puluh persen) atau sejumlah Rp2.800.790.096.207,00 (dua triliun
delapan ratus miliar tujuh ratus sembilan puluh juta sembilan puluh enam ribu dua ratus tujuh
rupiah) digunakan sebagai saldo laba ditahan.
3. Mata Acara Ketiga Rapat
Penetapan Remunerasi (gaji/honorarium, fasilitas dan tunjangan) Tahun 2024, serta Tantiem
atas Kinerja Tahun 2023 bagi Direksi dan Dewan Komisaris Perseroan.

Tidak terdapat pertanyaan, pendapat, dan/atau usul yang diajukan dalam pembahasan mata
acara ketiga Rapat.

Direksi dan Dewan Komisaris dalam Penilaian Kemampuan dan Kepatutan (Fit and Proper
Test) oleh OJK, maka anggota Direksi dan Dewan Komisaris Perseroan tersebut
diberhentikan dengan hormat sejak tanggal ditetapkannya keputusan hasil Fit and Proper Test
OJK dimaksud.
9. Anggota-anggota Direksi dan Dewan Komisaris yang diangkat sebagaimana dimaksud pada
angka 5 yang masih menjabat pada jabatan lain yang dilarang oleh peraturan perundang-
undangan untuk dirangkap dengan jabatan anggota Direksi atau Dewan Komisaris Badan
Usaha Milik Negara, maka yang bersangkutan harus mengundurkan diri atau diberhentikan
dari jabatannya tersebut.
10. Meminta kepada Direksi untuk mengajukan permohonan tertulis kepada Otoritas Jasa
Keuangan untuk pelaksanaan Penilaian Kemampuan dan Kepatutan (Fit and Proper Test)
atas anggota Direksi dan Dewan Komisaris yang diangkat sebagaimana dimaksud pada
angka 5 butir 5), 7), dan 9).
11. Memberikan kuasa dengan hak substitusi kepada Direksi Perseroan untuk menyatakan yang
diputuskan RUPS ini dalam bentuk Akta Notaris serta menghadap Notaris atau pejabat yang
berwenang, dan melakukan penyesuaian atau perbaikan-perbaikan yang diperlukan apabila
dipersyaratkan oleh pihak yang berwenang untuk keperluan pelaksanaan isi keputusan rapat.

Sesuai dengan keputusan mata acara Rapat kedua sebagaimana tersebut di atas, di mana Rapat telah
menetapkan Dividen Tunai tahun buku 2023 sebesar Rp700.197.524.051,75,- (tujuh ratus miliar seratus
sembilan puluh tujuh juta lima ratus dua puluh empat ribu lima puluh satu koma tujuh lima rupiah) atau
sebesar Rp49,89136 (empat puluh sembilan koma delapan sembilan satu tiga enam rupiah) per lembar
saham yang akan dibagikan kepada Pemegang Saham Perseroan, maka dengan ini diberitahukan

Tata Cara Pembayaran Dividen Tunai
1. Dividen Tunai akan dibagikan kepada Pemegang Saham yang namanya tercatat dalam Daftar
Pemegang Saham Perseroan atau recording date pada tanggal 20 Maret 2024 dan/atau pemilik
Saham Perseroan pada Sub Rekening Efek di PT Kustodian Sentral Efek Indonesia (“KSEI”) pada
penutupan perdagangan tanggal 20 Maret 2024.
2. Bagi Pemegang Saham yang sahamnya dimasukkan dalam penitipan kolektif KSEI, pembayaran
Dividen Tunai dilaksanakan melalui KSEI dan akan didistribusikan pada tanggal 5 April 2024 ke
dalam Rekening Dana Nasabah (RDN) pada Perusahaan Efek dan/atau Bank Kustodian di mana
Pemegang Saham membuka rekening efek. Sedangkan bagi Pemegang Saham Perseroan yang
sahamnya tidak dimasukkan dalam penitipan kolektif KSEI, maka pembayaran Dividen Tunai akan
ditransfer ke rekening Pemegang Saham Perseroan.
3. Dividen Tunai tersebut akan dikenakan pajak sesuai dengan peraturan perundang-undangan
perpajakan.
4. Berdasarkan peraturan perundang-undangan perpajakan, Dividen Tunai tersebut akan dikecualikan
dari objek pajak jika diterima oleh pemegang saham wajib pajak badan dalam negeri (“WP Badan
DN”) dan Perseroan tidak melakukan pemotongan Pajak Penghasilan atas Dividen Tunai yang
dibayarkan kepada WP Badan DN tersebut. Dividen Tunai yang diterima oleh pemegang saham
wajib pajak orang pribadi dalam negeri (“WPOP DN”) akan dikecualikan dari objek pajak sepanjang
dividen tersebut diinvestasikan di wilayah Negara Kesatuan Republik Indonesia. Bagi WPOP DN
yang tidak memenuhi ketentuan investasi sebagaimana disebutkan di atas, maka dividen yang
diterima oleh yang bersangkutan akan dikenakan pajak penghasilan (“PPh”) sesuai dengan
ketentuan perundang-undangan, dan PPh tersebut wajib disetor sendiri oleh WPOP DN yang
bersangkutan sesuai dengan ketentuan Peraturan Pemerintah No. 9 Tahun 2021 tentang Perlakuan
Perpajakan Untuk Mendukung Kemudahan Berusaha.

5. Pemegang Saham Perseroan dapat memperoleh konfirmasi pembayaran dividen melalui
Perusahaan Efek dan/atau Bank Kustodian di mana Pemegang Saham Perseroan membuka
rekening efek, selanjutnya pemegang saham Perseroan wajib bertanggung jawab melakukan
pelaporan penerimaan dividen dimaksud dalam pelaporan pajak pada tahun pajak yang
bersangkutan sesuai peraturan perundang-undangan perpajakan.
6. Bagi Pemegang Saham yang merupakan Wajib Pajak Luar Negeri yang pemotongan pajaknya akan
menggunakan tarif berdasarkan Persetujuan Penghindaran Pajak Berganda wajib memenuhi
persyaratan Peraturan Direktur Jenderal Pajak No.PER-25/Pj/2018 tentang Tata Cara Penerapan
Persetujuan Penghindaran Pajak Berganda serta menyampaikan dokumen bukti rekam atau tanda
terima DGT/Surat Keterangan Domisili (SKD) yang telah diunggah ke laman Direktorat Jenderal
Pajak kepada KSEI atau BAE sesuai peraturan dan ketentuan KSEI. Tanpa adanya dokumen
dimaksud, Dividen Tunai yang dibayarkan akan dikenakan PPh Pasal 26 sebesar 20%.

E. Mechanism of the Resolution-making in the Meeting
The mechanism of the resolution-making in the Meeting was carried out by deliberation to reach a
consensus. However, if deliberation to reach a consensus was not reached, the resolution would be
taken by voting, which should be approved by the Eligible Shareholders or their legal proxies under
the condition:

2. Matters that need attention from the BTN Board of
Commissioners and Directors for future performance
improvement are as follows:
a. To anticipate global economic conditions in 2024 which
have the potential for inflationary pressures and a tightening
of global monetary policy with increasingly limited fiscal
space, the Company must determine a more selective credit
distribution strategy, implement sustainable credit risk
management, and optimal liquidity management.
b. Nationally, economic growth in 2024 is predicted to remain
strong and grow positively in the range of 4.8% - 5.2%. Apart
from that, the housing sector still has huge room for growth
considering the still high number of national housing
backlogs, the high number of people who do not yet have
adequate housing, and the extension of the stimulus
provided by the Government to the housing sector. This
opportunity can be utilized well by the Company by

Meeting has determined a cash dividend for the financial year of 2023 amounting to IDR
700.197.524.051,75 - (seven hundred billion one hundred ninety seven million five hundred twenty four
thousand fifty one point seven five rupiah) or IDR 49,89136 (fourty nine point eight nine one three six
rupiah) per share to be distributed to the Shareholders of the Company, it is hereby notified the schedule
and procedure for the payment of cash dividends for the financial year of 2023 as follows:

Procedure for Payment of Cash Dividend
1. Cash Dividend will be distributed to Shareholders whose names are recorded in the Company's
Shareholders Register or recording date on March 20, 2024 and/or owners of Company's Shares in
Sub Securities Accounts at PT Kustodian Sentral Efek Indonesia (“KSEI”) at the trading closing date,
20 March 2024.

2. For Shareholders whose shares are placed in KSEI's collective custody, the payment of cash
dividend will be made through KSEI and will be distributed on April 5th, 2024 into the Customer Fund
Account (Rekening Dana Nasabah - RDN) at the Securities Company and/or Custodian Bank where
the Shareholders open a securities account. As for the Shareholders of the Company whose shares
are not included in the collective custody of KSEI, the payment of cash dividend will be transferred
to the account of the Shareholders of the Company.
3. The cash dividend will be taxed in accordance with the applicable tax laws and regulations.
4. Based on the prevailing tax laws and regulations, the cash dividend will be excluded from the tax
object if it is received by the shareholders of the resident corporate taxpayer (“Resident Corporate
Taxpayer”) and the Company does not deduct Income Tax on the cash dividends paid to the
Resident Corporate Taxpayer. Cash dividends received by shareholders of resident individual
taxpayers (“Resident Individual Taxpayer”) will be excluded from the tax object as long as the
dividends are invested in the territory of the Unitary State of the Republic of Indonesia. For Resident
Individual Taxpayer that does not meet the investment provisions as mentioned above, the dividends
received by the person concerned will be subject to income tax (“PPh”) in accordance with the
applicable laws and regulations, and the PPh must be paid by the Resident Individual Taxpayer
concerned in accordance with the provisions of Government Regulation Number 9 of 2021 concerning
Tax Treatment to Support the Ease of Doing Business.
5. Shareholders of the Company can obtain confirmation of dividend payments through a securities
company and or custodian bank where Shareholders of the Company open a securities account,
then the shareholders of the Company must be responsible for reporting the dividend receipts
referred to in tax reporting for the relevant tax year in accordance with the laws and regulations
applicable taxation.
6. Shareholders who are Non-Resident Taxpayers whose tax withholding will use the rate based on the
Double Taxation Avoidance Agreement are required to comply with the requirements of the Director
General of Taxes Regulation Number PER-25/Pj/2018 concerning Procedures for Application of the
Double Taxation Avoidance Agreement and submit proof documents record or receipt of DGT/
Certificate of Domicile (SKD) that has been uploaded to the website of the Directorate General of
taxes to KSEI or BAE in accordance with KSEI rules and regulations. Without the such document,
the cash dividend paid will be subject to Article 26 Income Tax of 20%.
