In accordance with the provisions of Financial Services Authority Regulation Number 31/POJK.04/2015 on
Disclosure of Material Information or Facts by Issuers or Public Companies and Financial Services Authority
Regulation Number 45 of 2024 on the Development and Strengthening of Issuers and Public Companies, we hereby
disclose the Material Information or Facts that have been carried out by PT MNC Digital Entertainment Tbk (the
“Company") as follows:

tersebut sesuai dengan ketentuan Peraturan Otoritas Jasa
Keuangan No. 14/POJK.04/2019 tentang Perubahan atas POJK
No. 32/POJK.04/2015 tentang Penambahan Modal Perusahaan
Terbuka Dengan Memberikan Hak Memesan Efek Terlebih
Dahulu.
The Company plans to issue new shares for the purpose of
secondary listing on the HKEX, which will be carried out as the
implementation of the Capital Increase without Pre-Emptive
Rights approved at the Company’s Independent General Meeting
of Shareholders on 15 September 2025. The Company will make
further information disclosure regarding the proposed
implementation of such capital increase in accordance with the
provisions of Financial Services Authority Regulation No.
14/POJK.04/2019 on Amendments to POJK No.
32/POJK.04/2015 on Capital Increases of Public Companies by
Providing Pre‑Emptive Rights.
