Merujuk pada (i) Peraturan Otoritas Jasa Keuangan No. 32/POJK.04/2015 tentang Penambahan Modal
Perusahaan Terbuka dengan Memberikan Hak Memesan Efek Terlebih Dahulu, sebagaimana diubah
dengan Peraturan Otoritas Jasa Keuangan No. 14/POJK.04/2019, (ii) Surat Keputusan Direksi PT Bursa
Efek Indonesia No. Kep-00101/BEI/12-2021 tentang Perubahan Peraturan Nomor I-A tentang
Pencatatan Saham dan Efek Bersifat Ekuitas Selain Saham yang Diterbitkan oleh Perusahaan Tercatat,
dan (iii) Surat Edaran Direksi PT Bursa Efek Indonesia No. SE-00002/BEI/03-2020 perihal Tata Cara
Pelaksanaan Program Kepemilikan Saham tertanggal 2 Maret 2020, dengan ini, kami, PT Global Digital
Niaga Tbk (BELI atau “Perseroan”), menyampaikan laporan Keterbukaan Informasi sehubungan
dengan pelaksanaan rencana Program MESOP II Tahap II dengan rincian sebagai berikut: /
Referring to the (i) Financial Services Authority Regulation No. 32/POJK.04/2015 regarding Capital
Increase in Public Companies with Pre-Emptive Rights, as amended by Financial Services Authority
Regulation No. 14/POJK.04/2019, (ii) Indonesia Stock Exchange Directors’ Decree No. Kep-
00101/BEI/12-2021 regarding the Amendment of Rule Number I-A concerning Listing of Shares and
Equity Other Than Shares Issued by Listed Companies, and (iii) Indonesia Stock Exchange Directors’
Circular Letter No. SE-00002/BEI/03-2020 regarding Procedures on the Implementation of the Share
Ownership Program dated 2 March 2020, hereby, we, PT Global Digital Niaga Tbk (BELI or the
“Company”), submit an Information Disclosure on the exercise plan of MESOP Program II Phase II with
details as follows:

Dilaksanakan / pelaksanaan ini untuk Program MESOP II Tahap II adalah
Total of Exercised Option Rights sebanyak-banyaknya 2.589.473.968 (dua miliar lima
ratus delapan puluh sembilan juta empat ratus tujuh
puluh tiga ribu sembilan ratus enam puluh delapan)
saham.
Sama halnya dengan Program MESOP II Tahap I,
sebagaimana telah disampaikan melalui Surat Perseroan
No. 407/GDN-LEG/Corsec/SKL/XII/2023 tanggal 7
Desember 2023 perihal Keterbukaan Informasi
Sehubungan dengan Rencana Pelaksanaan Program
Management and Employee Stock Option Plan (MESOP)
I Tahap II (“Program MESOP I Tahap II”) dan Program
MESOP II Tahap I (“Program MESOP II Tahap I”) PT
Global Digital Niaga Tbk, hak opsi yang belum
dilaksanakan pada periode ini (dalam hal ini Program
MESOP II Tahap II) dapat dilaksanakan pada periode
pelaksanaan berikutnya. /

The total option rights that can be exercised during this
exercise period for MESOP Program II Phase II at the
maximum is 2.589.473.968 (two billion five hundred
eighty nine million four hundred seventy three thousand
nine hundred sixty eight) shares.
Similar to MESOP Program II Phase I, as disclosed
through the Company Letter No. 407/GDN-
LEG/Corsec/SKL/XII/2023 dated 7 December 2023
regarding Information Disclosure on the Exercise Plan of
Management and Employee Stock Option Plan (MESOP)
Program I Phase II (“MESOP Program I Phase II”) and
MESOP Program II Phase I (“MESOP Program II Phase I”)
of PT Global Digital Niaga Tbk, any option rights that are
not exercised in this exercise period (in this case MESOP
Program II Phase II) can be exercised in the following
exercise periods.
