Uraian Informasi atau Fakta Material Merujuk pada Surat No. 008/EXT/IV/2026 terlampir, Perseroan
mengetahui adanya negosiasi antara PT Triple Berkah
Bersama (TBB) dan Pemegang Saham Pengendali (PSP)
sehubungan dengan rencana pembelian seluruh saham milik
PSP di Perseroan. Dalam negosiasi tersebut, dijelaskan
bahwa pembelian seluruh saham milik PSP di Perseroan akan
dilakukan oleh TBB bersama-sama dengan PT Sirkah
Akselerasi Jaya (SAJ). Dalam pelaporan ini, Perseroan juga
bertindak sebagai kuasa TBB dan SAJ untuk menyampaikan
pengumuman sebagaimana dimaksud dalam Pasal 4(1) POJK
No. 9/POJK.04/2018 tentang Pengambilalihan Perusahaan
Publik ke situs web Bursa Efek melalui Sistem Pelaporan
Elektronik ini.

Negotiation on the proposed acquisition of the Company

Description of Material Information or Referring to the attached Letter No. 008/EXT/IV/2026, the
Facts Company acknowledges the existence of a negotiation
between PT Triple Berkah Bersama (TBB) and the Controlling
Shareholders (CS) in connection with the plan to purchase the
entire shares owned by CS in the Company. In the negotiation,
it is outlined that purchases of all shares owned by CS in the
Company will be exercised by TBB, in collaboration with PT
Sirkah Akselerasi Jaya (SAJ). In this reporting, the Company
also serves as the proxy of TBB and SAJ to deliver
announcement as elaborated in Article 4(1) of POJK No.
9/POJK.04/2018 concerning Public Company Takeover, to the
Stock Exchanges web via this Electronic Reporting System.
