Uraian Informasi atau Fakta Material Pada tanggal 26 Februari 2024, Perseroan, melalui PT Indika
Indonesia Resources (IIR) dan Indika Capital Investments Pte.
Ltd. (ICI, dan bersama-sama dengan IIR, Para Penjual), telah
menyelesaikan penjualan seluruh saham milik IIR dan ICI di
PT Multi Tambangjaya Utama (MUTU) sebesar 2.263.030.000
lembar saham yang mewakili 100% kepemilikan tidak
langsung Perseroan kepada PT Petrindo Jaya Kreasi Tbk.
(PJK) dan/atau afiliasinya (Penjualan Saham), sebagai
kelanjutan dari terpenuhinya seluruh prasyarat pendahuluan
dari Perjanjian Jual Beli Bersyarat tertanggal 22 September
2023 (CSPA), termasuk persetujuan dari Kementerian Energi
dan Sumber Daya Mineral Republik Indonesia untuk Penjualan
Saham. Total nilai transaksi atas Penjualan Saham adalah
USD203.000.000.
Lebih lanjut, ICI dan PJK juga telah sepakat akan menentukan
waktu dalam waktu dekat untuk menyelesaikan pengalihan
seluruh hak dan kewajiban ICI berdasarkan Perjanjian Jasa
Pemasaran tertanggal 25 Juni 2012 sebagaimana diubah
dengan Amendemen No. 1 atas Perjanjian Jasa Pemasaran
tanggal 5 Januari 2018 kepada PJK dengan nilai
USD15.000.000 (Pengalihan Hak Pemasaran, bersama-sama
dengan Penjualan Saham, Transaksi).
Penjualan Saham ini merupakan bagian dari penyelesaian
CSPA sebagaimana tercantum dalam Keterbukaan Informasi
yang telah disampaikan Perseroan melalui SPE-IDXNet
melalui surat No.087/IE/CSL/LET/IX/2023 pada tanggal 25
September 2023.
Sebagai informasi tambahan, Transaksi dilakukan melalui
proses lelang kompetitif yang diadakan oleh Perseroan selama
kurang lebih 7 bulan sejak Februari 2023. Berdasarkan proses
tersebut, Perseroan telah memilih PJK sebagai pemenang
lelang sehubungan dengan Transaksi pada tanggal 22
September 2023.
Dampak kejadian, informasi atau fakta Setelah penyelesaian atas Penjualan Saham selesai
material tersebut terhadap kegiatan dilaksanakan, MUTU tidak lagi menjadi anak perusahaan
operasional, hukum, kondisi keuangan, Perseroan dan tidak dikonsolidasi dalam laporan keuangan
atau kelangsungan usaha Emiten atau Perseroan.
Perusahaan Publik
Transaksi ini tidak akan berdampak terhadap kegiatan
operasional, hukum, kondisi keuangan, atau kelangsungan
usaha Perseroan.
Perseroan berkeyakinan bahwa Transaksi dilakukan sesuai
dengan strategi bisnis diversifikasi Perseroan serta untuk
memastikan agar Perseroan fokus pada pelaksanaan kegiatan
usaha yang berkelanjutan.

The Fulfillment of Conditional Sale and Purchase between the
Type of Material Information or Facts Company's subsidiaries with PT Petrindo Jaya Kreasi Tbk.
Description of Material Information or On 26 February 2024, the Company, through PT Indika
Facts Indonesia Resources (IIR) and Indika Capital Investments Pte.
Ltd. (ICI, and together with IIR, the Sellers), have completed
the sale of all shares of IIR and ICI in PT Multi Tambangjaya
Utama (MUTU) to 2,263,030,000 shares representing the
Company's 100% indirect ownership of the Company to PT
Petrindo Jaya Kreasi Tbk. (PJK) and/or its affiliate (Share
Sale), following fulfillment of all conditions required under the
Conditional Sale and Purchase Agreement signed on 22
September 2023 (CSPA), including approval from the Ministry
of Energy and Mineral Resources of the Republic of Indonesia
for the Share Sale. The total transaction value for the Sale
Share is USD203,000,000.
Furthermore, ICI and PJK have also agreed to determine a
time in the near future to complete the assignment of all rights
and obligations of ICI under the Marketing Services Agreement
dated 25 June 2012 as amended by Amendment No. 1 to
Marketing Services Agreement dated 5 January 2018 to PJK
for the amount of USD15,000,000 (Assignment of Marketing
Rights, along with the Share Sale, the Transaction).
This Share Sale is a part of the completion of the CSPA as
stipulated in the Information Disclosure submitted by the
Company via SPE-IDXNet via letter
No.087/IE/CSL/LET/IX/2023 on 25 September 2023.
As additional information, the Transaction was conducted
through a competitive bidding process carried out by the
Company for approximately 7 months since February 2023.
Based on such process, the Company has selected PJK as
the winning bidder in relation to the Transaction on 22
September 2023.
