   Dengan hormat,

   Kami merujuk pada Surat BEI Nomor S-01830/BEI.PP3/02-2024 tanggal 19 Februari 2024 perihal
   Permintaan Penjelasan atas Pemberitaan di Media Massa, di mana BEI meminta tanggapan PT
   Vale Indonesia Tbk (“PT Vale” atau Perseroan”) atas pemberitaan berjudul “Deal! Menteri ESDM
   Setujui Divestasi Saham Vale, Ini Bocoran Harganya” yang dipublikasikan oleh CNBC Indonesia
   pada 19 Februari 2024. Dengan ini perkenankan kami untuk menyampaikan penjelasan yang
   diminta, dengan uraian sebagaimana tersebut di bawah ini:

   We refer to the BEI letter Number S-01830/BEI.PP3/02-2024 dated 19 February 2024 regarding
   the Request of Information on the News in the Media, where BEI requested response from PT Vale
   Indonesia Tbk (“PT Vale” or “Company”) upon the recent news with the title of “Deal! Menteri ESDM
   Setujui Divestasi Saham Vale, Ini Bocoran Harganya” as released by CNBC Indonesia on 19
   February 2024. We hereby inform the requested information as follows:

     1. Klarifikasi atas pemberitaan mengenai Perseroan yang akan melakukan divestasi 14% saham
        Perseroan pada harga sekitar Rp3000,- kepada PT Mineral Industri Indonesia (Persero)
        (“MIND ID”) / Clarification on the news which reported the divestment of 14% of the Company’s
        shares at the level of around Rp3000,- to MIND ID:

          Tanggapan:
          Sebagaimana telah disampaikan oleh Perseroan melalui SPE-IDXnet pada 20 November
          2023, Perseroan bersama Vale Canada Limited (“VCL”), MIND ID, dan Sumitomo Metal Mining
          Co., Ltd (“SMM”) telah menandatangani Perjanjian Induk Divestasi (“Perjanjian”). Di dalam
          Perjanjian tersebut diatur bahwa VCL dan SMM akan mengalihkan kepemilikan sahamnya
          secara proporsional di Perseroan sekitar 14% kepada MIND ID, dan transaksi diharapkan
          selesai secepatnya. Sebagai bagian dari proses divestasi, Perseroan telah melakukan valuasi
          saham dengan menggunakan metode berdasarkan peraturan dan telah menyampaikan data-
          data yang diperlukan bagi Pemerintah untuk melakukan valuasi harga saham divestasi. Hingga
          saat ini, belum terdapat perjanjian yang ditandatangani oleh Perseroan dan pemegang saham
          Perseroan mengenai harga saham divestasi /

    As previously reported by the Company through IDXnet on 20 November 2023, the Company
    with VCL, MIND ID, and SMM have signed the Heads of Agreement on Divestment
    (“Agreement”). The Agreement provided that VCL and SMM will proportionally divest their
    shares at around 14% to MIND ID, and the transaction is expected to be completed at the
    earliest opportunity. As part of the divestment process, the Company has completed the shares
    valuation by using the method based on the prevailing regulation and has submitted any
    required data to the Government for the shares valuation required for the divestment. Until
    today, there is no agreement that has been signed by the Company and the Company’s
    shareholders on the divestment shares price.

 2. Penjelasan mengenai informasi pemegang saham yang akan melakukan divestasi beserta
    jumlah saham yang akan dijual / Explanation on the information of the shareholders that will
    divest their shares and the number of shares planning to be divested.
    Tanggapan:
    Penjualan saham akan dilakukan oleh VCL dan SMM. Untuk tujuan menghitung jumlah saham
    yang akan didivestasikan, dengan asumsi seluruh transaksi dilakukan melalui penjualan
    sekunder, maka divestasi pro rata oleh VCL dan SMM atas 14% (total) saham PT Vale kepada
    MIND ID mewakili 1.391.087.420 lembar saham / The transfer of shares will be done by VCL
    and SMM. For the purpose of calculating the shares to be divested, assuming that the
    transaction will be done through secondary, VCL and SMM will proportionally divest 14% of PT
    Vale’s shares to MIND ID representing 1.391.087.420 number of shares.

 3. Penjelasan mengenai target penyelesaian transaksi divestasi tersebut/Explanation on the
    divestment process completion target.
    Tanggapan:
    Perseroan berkomitmen untuk mendukung penyelesaian proses divestasi dalam waktu
    secepatnya / The Company is committed to support the completion of the divestment process
    at the earliest opportunity.

 4. Penjelasan mengenai potensi dampak atas transaksi divestasi tersebut terhadap kinerja
    keuangan dan operasional Perseroan / Potential impact of the divestment transaction toward
    the Company’s financial and operational:
    Tanggapan:
    Saat ini kegiatan operasional Perseroan masih berjalan secara normal dan tidak ada dampak
    atas proses divestasi terhadap kinerja operasional dan keuangan Perseroan / The Company's
    operational and financial performance are still running normally and there is no impact of the
    ongoing divestment process on the Company's operational activities.
