Pemegang Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat suku bunga tetap atas
penjelasan dan usulan PT. Kapuas Prima Coal Tbk selaku emiten sehubungan dengan
adanya kelalaian tidak dipenuhinya kewajiban pelunasan Pokok Obligasi I Kapuas Prima
Coal tahun 2018 dengan tingkat bunga tetap seri E.
Pelaksanaan Rapat
RUPO dihadiri 23.000.000.000 yang mewakili 100% (Kuorum)
Hasil Rapat
Hasil rapat adalah sebagai berikut :
1. Menerima penjelasan PT. Kapuas Prima Coal Tbk selaku Emiten sehubungan dengan adanya kelalaian tidak
dipenuhinya kewajiban pelunasan Pokok Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap seri
E, dan menyetujui usulan PT. Kapuas Prima Coal selaku Emiten sehubungan dengan adanya kelalaian tidak
dipenuhinya kewajiban pelunasan Pokok Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap seri
E.
2. Sehubungan dengan adanya keputusan Pemegang Obligasi yang menerima penjelasan PT. Kapuas Prima Coal
Tbk selaku Emiten sehubungan dengan adanya kelalaian tidak dipenuhinya kewajiban pelunasan Pokok Obligasi I
Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap seri E dan menyetujui usulan PT. Kapuas Prima Coal
Tbk selaku Emiten dalam Rapat Umum Pemegang Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga
tetap tanggal 13 Februari 2024, yang berkaitan dengan perubahan jangka waktu, tingkat Bunga, tata cara pelunasan
Pokok dan pembayaran Bunga, dan Denda atas keterlambatan pembayaran Bunga dan/atau pelunasan Pokok
Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap, sesuai Keputusan Rapat Umum Pemegang
Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap Nomor I tersebut di atas, para pemegang
Obligasi memutuskan:
a. Menyetujui auntuk melakukan perubahan dan/atau penambahan ketentuan dalam Perjanjian Perwaliamanatan
Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap.
b. Menyetujui untuk melakukan perubahan ketentuan dalam Pengakuan Hutang Obligasi I Kapuas Prima Coal
Tahun 2018 dengan tingkat bunga tetap.
c. Menyetujui untuk melakukan perubahan dan/atau penambahan ketentuan pasal-pasal lain yang berkaitan dengan
perubahan jangka waktu, tingkat bunga, tata cara pelunasan Pokok dan pembayaran Bunga, dan Denda atas
keterlambatan pembayaran Bunga dan/atau pelunasan Pokok Obligasi I Kapuas Prima Coal Tahun 2018 dengan
tingkat bunga tetap.
d. Menyetujui untuk mengesampingkan adanya kelalaian PT. Kapuas Prima Coal Tbk selaku Emiten atas tidak

dipenuhinya kewajiban pelunasan Pokok Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap seri
E.
e. Menyetujui PT. Kapuas Prima Coal Tbk selaku emiten untuk melakukan pembayaran denda atas keterlambatan
pelunasan Pokok Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap Seri E, terhitung sejak
tanggal 21 Desember 2023 sampai dnegan tanggal 13 Februari 2024.
3. Sehubungan dengan Keputusan Rapat Umum Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga
tetap tanggal 13 Februari 2024, Pemegang Obligasi menyetujui untuk memberikan kuasa dan kewenangan kepada
PT. Bank Mega Tbk selaku Wali Amanat untuk melakukan perubahan dan/atau penambahan ketentuan dalam
Perjanjian Perwaliamanatan Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap dan melakukan
tindakan-tindakan antara lain menghadap Notaris serta menandatangani perubahan/addendum perjanjian-perjanjian
terserbut.
4. Pemegang Obligasi dan/atau PT. Kapuas Prima Coal Tbk selaku Emiten dengan ini meratifikasi dan menerima
tanpa syarat setiap tindakan Wali Amanat sebagai tindakan para Pemegang Obligasi itu sendiri, untuk itu Pemegang
Obligasi dan Emiten dengan ini menyatakan secara tegas membebaskan PT. Bank Mega Tbk selaku Wali Amanat,
Notaris, dan saksi-saksi, dari setiap klaim, tuntutan, dan/atau gugatan perdata maupun pidana dari pihak manapun
termasuk namun tidak terbatas sehubungan dengan pelaksanaan dan/atau Keputusan Rapat Umum Pemegang
Obligasi I Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap tanggal 13 Februari 2024.
5. Sesuai ketentuan dalam Pasal 10 Perjanjian Perwaliamanatan Obligasi I Kapuas Prima Coal Tahun 2018 dengan
tingkat bunga tetap, seluruh biaya penyelenggaraan dan pelaksanaan keputusan Rapat Umum Pemegang Obligasi I
Kapuas Prima Coal Tahun 2018 dengan tingkat bunga tetap tanggal 13 Februari 2024 menjadi beban PT. Kapuas
Prima Coal Tbk selaku Emiten.

Agenda 1. Explanation of PT. Kapuas Prima Coal Tbk as the Issuer in connection with the
negligence in not fulfilling the obligation to repay the Principal Bond I Kapuas Prima Coal
Year 2018 with a fixed interest rate series E, as well as the Issuer's proposal in connection
with the negligence in not fulfilling the obligation to repay the Principal Bond I Kapuas
Prima Coal Year 2018 with a rate fixed interest series E. 2. Determining the attitude and
decision of the 2018 Kapuas Prima Coal Bond I Bondholders with a fixed interest rate
based on the explanation and proposal of PT. Kapuas Prima Coal Tbk as the issuer in
connection with the negligence in not fulfilling the obligation to repay the Principal Bonds I
of Kapuas Prima Coal 2018 with a fixed interest rate series E.
Execution of Meeting
Bond Holders General Meeting was attend by 23.000.000.000 that represented 100% (Quorum)
Result of Meeting
The result of the meeting is elaborated as follows :
1. Receive PT's explanation. Kapuas Prima Coal Tbk as the Issuer in connection with the negligence in not fulfilling
the obligation to repay the Principal Bonds I of Kapuas Prima Coal 2018 with a fixed interest rate series E, and
agrees to the proposal of PT. Kapuas Prima Coal as the Issuer in connection with the negligence in not fulfilling the
obligation to repay the principal of Kapuas Prima Coal Bonds I 2018 with a fixed interest rate series E.
2. In connection with the decision of the Bondholders who accept PT. Kapuas Prima Coal Tbk as the Issuer in
connection with the negligence in not fulfilling the obligation to repay the Principal Bonds I of Kapuas Prima Coal
2018 with a fixed interest rate series E and agreeing to the proposal of PT. Kapuas Prima Coal Tbk as Issuer in the
2018 Kapuas Prima Coal General Meeting of Bondholders I with a fixed interest rate on February 13 2024, which
relates to changes in the term, interest rate, procedures for principal repayment and interest payments, and penalties
for late interest payments and/or repayment of the Principal Bond I Kapuas Prima Coal Year 2018 with a fixed
interest rate, in accordance with the Decision of the General Meeting of Bondholders I Kapuas Prima Coal Year 2018
with a fixed interest rate Number I mentioned above, the Bond holders decide:
a. Approved to make changes and/or additions to the provisions in the 2018 Kapuas Prima Coal Bond I Trusteeship
Agreement with a fixed interest rate.
b. Approved to make changes to the provisions in the 2018 Kapuas Prima Coal Bond I Debt Recognition with a fixed
interest rate.
c. Approved to make changes and/or additions to the provisions of other articles relating to changes in time periods,
interest rates, procedures for repayment of Principal and Interest payments, and Fines for late payment of Interest
and/or repayment of Principal Bonds I Kapuas Prima Coal Year 2018 with fixed interest rate.
d. Agree to rule out PT's negligence. Kapuas Prima Coal Tbk as the Issuer for not fulfilling the obligation to repay the
Principal Bonds I of Kapuas Prima Coal 2018 with a fixed interest rate series E.
e. Approve PT. Kapuas Prima Coal Tbk as the issuer to pay the fine for late repayment of the principal of Kapuas
Prima Coal Bonds I 2018 with a fixed interest rate Series E, starting from 21 December 2023 until 13 February 2024.

3. In connection with the Decision of the General Meeting of Bonds I Kapuas Prima Coal 2018 with a fixed interest
rate dated 13 February 2024, the Bond Holders agreed to grant power and authority to PT. Bank Mega Tbk as
Trustee to make changes and/or additions to the provisions in the 2018 Kapuas Prima Coal Bond I Trusteeship
Agreement with a fixed interest rate and take actions, including appearing before a Notary Public and signing
changes/addendums to the agreements.
4. Bondholders and/or PT. Kapuas Prima Coal Tbk as the Issuer hereby ratifies and unconditionally accepts every
action of the Trustee as the action of the Bondholders themselves, for this reason the Bondholders and the Issuer
hereby expressly declare that PT. Bank Mega Tbk as Trustee, Notary, and witnesses, from any claims, demands,
and/or civil or criminal suits from any party including but not limited to the implementation and/or Decisions of the I
Kapuas Prima Coal Annual General Meeting of Bondholders 2018 with a fixed interest rate on February 13, 2024.
5. In accordance with the provisions in Article 10 of the 2018 Kapuas Prima Coal Bond I Trusteeship Agreement with
a fixed interest rate, all costs of organizing and implementing the decisions of the General Meeting of 2018 Kapuas
Prima Coal Bond I Bondholders with a fixed interest rate on February 13 2024 will be borne by PT. Kapuas Prima
Coal Tbk as Issuer.
Thus to be informed accordingly.
