Uraian Informasi atau Fakta Material Berdasarkan Perjanjian Pinjam Pakai Nomor
001/Corsec/PPP/IX/2026 tertanggal 08 September 2026 yang
dibuat di bawah tangan antara Perseroan dengan PT Repower
Global Sinergitama (RGST).
Berdasarkan Perjanjian tersebut, Perseroan memberikan hak
pinjam pakai tanpa biaya kepada RGST atas Ruang Pinjam
Pakai/Ruang Kerja untuk digunakan sebagai tempat kegiatan
usaha RGST dengan jangka waktu 5 (lima) tahun, terhitung
sejak tanggal 08 September 2026 sampai dengan tanggal 07
September 2031. Adapun berdasarkan Perjanjian, tidak
terdapat nilai pembayaran atas pinjam pakai tersebut.

Pemberi Pinjam Pakai: PT Repower Asia Indonesia Tbk

Penerima Pinjam Pakai: PT Repower Global Sinergitama
(RGST)
Hubungan Afiliasi: RGST merupakan Entitas Anak Perseroan
Objek:
Ruang Pinjam Pakai/Ruang Kerja seluas 12,76 m2 yang
berlokasi di Lantai 4 Graha Repower Asia, Jl. Warung Buncit
Raya No. 65, Jakarta Selatan 12740.
Keterangan Lain-Lain:
Sebagaimana diatur dalam Pasal 6 ayat (1) huruf b poin 1
POJK 42/2020, transaksi ini dikecualikan dari pemenuhan
Pasal 3 dan Pasal 4 ayat (1) POJK 42/2020 dikarenakan
transaksi dilakukan antara Perseroan dengan RGST, yang
mana RGST merupakan Perusahaan Terkendali yang
sahamnya dimiliki oleh Perseroan sebesar 99,6% (sembilan
puluh sembilan koma enam persen) pada saat
penandatanganan Perjanjian Pinjam Pakai ini. Adapun
Perseroan menyampaikan laporan ini sebagai bentuk
pemenuhan atas ketentuan Pasal 6 ayat (2) POJK 42/2020.
Dampak kejadian, informasi atau fakta -
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Disclosure of information regarding the Affiliated Transaction
Type of Material Information or Facts Information Report in the form of a Loan for Use Agreement
between the Company and PT Repower Global Sinergitama.
Description of Material Information or Based on the Loan for Use Agreement No.
Facts 001/Corsec/PPP/IX/2026 dated September 8, 2026, entered
into under private deed between the Company and PT
Repower Global Sinergitama (RGST).
Pursuant to the Agreement, the Company grants RGST the
right to use, free of charge, the Loan for Use Space/Office
Space to be used as the place of business of RGST for a
period of 5 (five) years, commencing on September 8, 2026
and ending on September 7, 2031.
Parties:
Lender: PT Repower Asia Indonesia Tbk (the Company)
Borrower: PT Repower Global Sinergitama (RGST)
Affiliation Relationship: RGST is a Subsidiary of the Company
Object:
Loan for Use Space/Office Space with an area of 12.76 sqm,
located on the 4th Floor of Graha Repower Asia, Jl. Warung
Buncit Raya No. 65, South Jakarta 12740.
Other Information:
As stipulated under Article 6 paragraph (1) letter b point 1 of
POJK 42/2020, this transaction is exempt from the
requirements under Article 3 and Article 4 paragraph (1) of
POJK 42/2020, as the transaction is conducted between the
Company and RGST, where RGST is a Controlled Company in
which 99.6% (ninety-nine point six percent) of its shares are
owned by the Company as of the signing date of this Loan for
Use Agreement. The Company submits this disclosure as a
form of compliance with the provisions of Article 6 paragraph
(2) of POJK 42/2020.
