Facts tanggal 23 Januari 2024, Perseroan telah
menerima informasi bahwa telah terjadi
perubahan pengendalian pada Perseroan yang
disebabkan telah dialihkannya 80,19% dari modal
ditempatkan dan disetor Perseroan oleh ICTSI Far
East Pte. Ltd. (“Penjual”) kepada PT Saranakelola
Investa (“Pembeli”). /
Following and in relation to the announcement that
we had submitted pursuant to the letter number
004/IJP/BOD/I/2024 dated 23 January 2024, the
Company has received the information that a
change of control of the Company has occurred
due to the transfer of 80.19% of the issued and
paid-up capital of the Company by ICTSI Far East
Pte. Ltd. (the “Seller”) to PT Saranakelola Investa
(the “Purchaser”).
Terhitung sejak tanggal 1 Februari 2024, Pembeli
telah efektif menjadi pengendali baru pada
Perseroan. Pembeli atau PT Saranakelola Investa
merupakan perseroan terbatas yang didirikan
berdasarkan hukum Republik Indonesia yang
berdomisili di Jl. Aloon-Aloon Priok No. 27,
Krembangan, Perak Barat, Surabaya Utara, Jawa
Timur, Indonesia. Pengendali baru bergerak
dalam bidang angkutan laut dalam dan luar negeri
untuk barang. Pembeli selaku pengendali baru
tidak memiliki hubungan afiliasi dengan Penjual
selaku pengendali lama. /
Starting from 1 February 2024, the Purchaser is
effectively become the new controller of the
Company. The Purchaser or PT Saranakelola
Investa is a limited liability company duly
established pursuant to the laws of the Republic of
Indonesia, domiciled at Jl. Aloon-Aloon Priok No.
27, Krembangan, Perak Barat, Surabaya Utara,
Jawa Timur, Indonesia. The new controller
engages in domestic and offshore marine
transportation for goods sector. The Purchaser as
the new controller is not affiliated with the Seller as
the previous controller.
4. Dampak kejadian, informasi atau : Sebagaimana disebutkan di atas, maka
fakta material tersebut terhadap pengendali Perseroan telah berubah yakni PT
