                            AT1”).

3    Uraian    Informasi/   1. Pada tanggal 15 April 2026, Perseroan telah
     Fakta Material            menyelesaikan proses bookbuilding dan penetapan
                               harga (pricing) sehubungan dengan rencana penerbitan
                               AT1 Baru sebesar US$700.000.000 (tujuh ratus juta
                               Dolar Amerika Serikat) dengan distribution rate sebesar
                               7,15% (tujuh koma satu lima persen) per tahun, yang
                               akan dicatatkan pada Singapore Exchange (“SGX”).
                            2. AT1 Baru diterbitkan dengan mengacu pada kriteria
                               sebagaimana dimaksud dalam Peraturan OJK
                               No. 11/POJK.03/2016 tentang Kewajiban Penyediaan
                               Modal Minimum Bank Umum, sebagaimana telah diubah
                               beberapa kali, terakhir dengan Peraturan OJK No. 27
                               Tahun 2022, yang memiliki karakteristik modal, bersifat
                               subordinasi, tidak memiliki jangka waktu (perpetual), dan
                               pembayaran imbal hasil tidak dapat diakumulasikan (non-
                               cumulative subordinated debt).
                            3. Penyelesaian transaksi (settlement)         AT1     Baru
                               dijadwalkan pada tanggal 22 April 2026.
                            4. Selain itu, dalam rangka penerbitan AT1 Baru tersebut,
                               Perseroan       telah   menandatangani      Perjanjian
                               Pengambilan Bagian atas Efek (Subscription Agreement)
                               dengan para Manajer pada tanggal 15 April 2026.

                                characteristics, is subordinated, has no maturity

                             3. The settlement of the New AT1 is scheduled for 22 April
                                2026.

                             4. In connection with the issuance of the New AT1, the
                                Company has entered into a Subscription Agreement
                                with the Managers on 15 April 2026.

5    Keterangan lain-lain    1. Penerbitan AT1 Baru dilakukan di luar wilayah
                                Indonesia, dan tidak ditawarkan kepada investor

                                lainnya, sehingga tidak tunduk pada ketentuan
                                Peraturan OJK No. 30/POJK.04/2019 tentang
                                Penerbitan Efek Bersifat Utang dan/atau Sukuk yang
                                Dilakukan Tanpa Melalui Penawaran Umum. AT1 Baru
                                akan dicatatkan pada SGX dan tidak dicatatkan pada
                                Bursa Efek Indonesia.

       Other Information     1. The New AT1 issuance is conducted outside the territory
                                of the Republic of Indonesia and is not offered to
                                investors in Indonesia, whether individuals, institutions,
                                or other legal entities, and therefore is not subject to the
                                provisions of OJK Regulation No. 30/POJK.04/2019
                                concerning the Issuance of Debt Securities and/or Sukuk
                                without Public Offering. The New AT1 will be listed on
                                the SGX and will not be listed on the Indonesia Stock
                                Exchange.

                             2. The value of the New AT1 issuance is less than 20% of
                                the Company's equity based on the Company's Financial
                                Statements as of 31 December 2025, which have been
                                audited by Kantor Akuntan Publik Rintis, Jumadi, Rianto
                                & Rekan (a member firm of the PricewaterhouseCoopers
                                global network) as the independent auditor. Therefore,
                                the transaction does not constitute a Material
                                Transaction as defined under OJK Regulation No.
                                17/POJK.04/2020 concerning Material Transactions and
                                Changes in Business Activities.
