Uraian Informasi atau Fakta Material Pada tanggal 23 Januari 2024, UOB sebagai pemberi
pinjaman dan Protelindo, Iforte dan KIN sebagai peminjam
telah menandatangani Perjanjian Perubahan Kedua atas
Perjanjian Kredit sebagaimana terakhir diubah pada tanggal
15 Agustus 2023 (Perjanjian Kredit atau Transaksi).
Berikut adalah syarat dan ketentuan penting dalam Transaksi:
(a) Perpanjangan tanggal jatuh tempo akhir perjanjian kredit
(termasuk perpanjangan jangka waktu fasilitas valuta asing)
sampai dengan 28 Agustus 2026
(b) Berdasarkan Perjanjian Kredit, Protelindo, Iforte dan KIN
bertanggung jawab secara tanggung renteng terhadap
pelaksanaan seluruh kewajiban berdasarkan Perjanjian Kredit
1. Penandatanganan Transaksi di atas bukan merupakan
transaksi benturan kepentingan sebagaimana dimaksud dalam
Peraturan OJK No. 42 Tahun 2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (POJK 42)
2.Transaksi tersebut di atas bukan merupakan transaksi
material sebagaimana dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha
Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan material terhadap kegiatan operasional, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan, atau kelangsungan usaha Perseroan
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Signing of the Second Amendment to the Credit Agreement

Description of Material Information or on January 23, 2024, UOB as the lender and Protelindo, Iforte
Facts and KIN as the borrowers have signed the Second
Amendment to the Credit Agreement as lastly amended on
August 15,2023 (Credit Agreement or Transaction)
The following are key terms and conditions under the
Transaction:
(a) Extension of the credit agreements final maturity date
(including the extension of the foreign exchange facility) to
August 28, 2026
(b) According to the Credit Agreement, Protelindo, Iforte and
KIN, are jointly liable for their obligations under the Credit
Agreement.
1.The execution of the Transaction is not a conflict of interest
transaction of the Company as referred to OJK Regulation No.
42 of 2022 regarding the Affiliated Transaction and Conflict of
Interest Transaction (OJK Rule 42)
2.The Transaction is not a material transaction as referred to
the OJK Regulation No 17/POJK.04/2020 on Material
Transactions and Change of Business Activities.
Impact of event, material information or The performance of such Transaction does not have material
facts towards Issuers or Public impact to the operational, legal, financial condition or continuity
