Announcement of Summary of Acguisition Plan
Uraian Informasi atau Fakta Material:
- Uraian Transaksi dan Pihak-Pihak yang
bertransaksi:
Perseroan bersama-sama dengan PT Bank
Commonwealth (PTBC) menyusun — dan
mengumumkan ringkasan rancangan
pengambilalihan sehubungan dengan rencana
Perseroan untuk melakukan pengambilalihan
atas PTBC (“Rencana Transaksi”).
Penyelesaian Rencana Transaksi akan
bergantung pada pemenuhan persyaratan
pendahuluan, sebagaimana disepakati oleh para
pihak dalam perjanjian, termasuk perolehan
persetujuan-persetujuan yang terkait, seperti
persetujuan OJK atas pengambilalihan saham
PTBC oleh Perseroan.
- Hubungan Para Pihak:
Tidak terdapat hubungan afiliasi, sebagaimana
didefinisikan dalam peraturan perundang-
undangan yang berlaku di bidang pasar modal,
antara:
a. Perseroan dan pemegang saham PTBC: dan
b. Perseroan dan PTBC.
3. Description of Information or Material Fact:
- Description of the Transactionand the Parties
Involved:
The Company together with PT Bank
Commonwealth (PTBC) prepared — and
announced a summary of the acguisition plan in
connection with the Company's plan to acguire
PTBC ("Transaction Plan").
The completion of the Proposed Transaction will
be subject to the satisfaction of conditions
precedent, as agreed upon by the parties in the
agreement, these conditions include obtaining
relevant approvais, such as approval from OJK
for the acguisilion of shares of PTBC by the
Company.
- Relationships Among the Parties:
There are no affiliate relationshi
market, between:
a. the Company and PTBC shareholders, and
b. the Company and PTBC
, as defined by
prevailing laws and regulations in the capital

OCBC Information Classification: Public S)OCBC Oleh karena itu, pelaksanaan Rencana Transaksi tersebut diatas tidak termasuk dalam kategori transaksi afiliasi sebagaimana dimaksud dalam Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepenlingan. - Nilai Transaksi: Estimasi nilai Rencana Transaksi adalah Rp2,2 triliun, dan nilai tersebut akan bergantung pada penyesuaian yang wajar sesuai dengan ketentuan di dalam perjanjian. Rencana Transaksi bukan merupakan Transaksi Material berdasarkan Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha. - Tujuan Transaksi: Mendukung program arsitektur dan konsolidasi perbankan Indonesia, serta mendukung pengembangan usaha Perseroan. Selanjutnya, Perseroan akan menggabungkan — (merger) PTBC ke dalam Perseroan: Therefore, the implementation of Proposed Transaction above is not included in the category of affiliated transactions as referred to in the provisions of Regulation OJK No. 42/POJK.04/2020 conceming Affiliate Transactions — and Conflict of Interest Transactions. imated value of the Proposed Transaction is Rp2.2 trillion, and this value will be subject to customary adjustments in accordance with terms of the agreement. The Proposed Transaction is not considered a Material Transaction under OJK No.17/POJK.04/2020 regarding Material Transactions and Changes in Business Activities. - Ihe Purpose of the Transaction: To support the Indonesian banking architecture and consolidation program while contributing to the development of the Company. Additionally, the Company will merge PTBC into the Company. 4. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan: Informasi atau fakta material yang diungkapkan tidak memiliki dampak material terhadap kelangsungan usaha Perseroan 4. Impact of the Incident, information, or material fact on the operational activities, legal aspects, financial conditions, or the continuity of business of the Company: The disclosed material information does not have a significant impact on the continuity of the Company's business.
