Facts 2024 Pemegang Saham Perseroan, ICTSI Far East
Limited Pte Ltd (Penjual), telah menandatangani
Conditional Share Sale and Purchase Agreement
atau Perjanjian Jual Beli Saham Bersyarat (CSPA)
dengan PT Saranakelola Investa (Pembeli)
sehubungan dengan rencana penjualan saham
Penjual yang mewakili 80,19% dari modal
ditempatkan dan disetor Perseroan (Rencana
Pengambilalihan Saham).
On January 22, 2024, the Company's current majority
shareholder and controller, i.e. ICTSI Far East

Limited Pte Ltd (the Seller), signed a Conditional
Share Sale and Purchase Agreement (the CSPA)
with PT Saranakelola Investa (the Buyer) in
connection with the Seller's agreement to sell its
shares representing 80.19% of the Company's issued
and paid-up capital to the Buyer (the Proposed
Transaction).
Penyelesaian dari Rencana Pengambilalihan Saham
masih bergantung pada pemenuhan persyaratan
oleh para pihak sebagaimana diatur dalam CSPA.
The completion of the Proposed Transaction is still
subject to the fulfilment of requirements under the
CSPA.
Apabila syarat-syarat sebagaimana ditentukan dalam
CSPA terpenuhi, maka Pembeli akan menjadi
pengendali baru Perseroan.
After the completion of the Proposed Transaction, the
Buyer will become the new controller of the
Company.
4. Dampak kejadian, informasi atau : Sebagaimana disebutkan di atas, apabila Rencana
fakta material tersebut terhadap Pengambilalihan Saham sebagaimana yang telah
kegiatan operasional, hukum, kondisi negosiasikan antara Penjual dan Pembeli
keuangan, atau kelangsungan usaha diselesaikan, penyelesaian tersebut akan
Emiten atau Perusahaan Publik menyebabkan pengendalian Perseroan beralih
kepada Pembeli.

or facts to the operational activities, legal, financial
conditions or business continuity of the Company.
5. Informasi lainnya : Berdasarkan informasi yang kami terima, Rencana

Pembeli dengan memenuhi ketentuan peraturan
perundangan yang berlaku termasuk ketentuan-
ketentuan sebagaimana diatur dalam Peraturan OJK
