Ekspor Perhiasan Emas antara PT Hartadinata Abadi Tbk
(Perseroan) dengan R K D Solutions (RKDS).
Uraian Informasi atau Fakta Material Pada tanggal 17 Januari 2024, Perseroan melakukan
penandatanganan Perjanjian Kerja Sama Ekspor Perhiasan
Emas dengan RKDS, jangka waktu 17 Januari 2024 s/d 31
Desember 2024 dengan jumlah pemesanan 160 kg (seratus
enam puluh kilogram) per bulan atau total pemesanan 1.920
kg (seribu sembilan ratus dua puluh kilogram) perhiasan emas
kadar 91,6%.
Nilai transaksi tersebut di atas diperkirakan sebesar USD
113,51 juta atau setara dengan Rp.1.774.682 juta (satu triliun
tujuh ratus tujuh puluh empat miliar enam ratus delapan puluh
dua juta Rupiah). Nilai transaksi tersebut lebih dari 20% dari
ekuitas Perseroan, sehingga transaksi tersebut merupakan
Transaksi Material sebagaimana diatur dalam POJK 17/2020.
Hubungan antara Pihak-Pihak yang Bertransaksi Bahwa
antara Perseroan dengan RKDS tidak terdapat hubungan
afiliasi dan benturan kepentingan berdasarkan peraturan
perundang-undangan yang berlaku di bidang pasar modal.
Oleh karena itu, pelaksanaan transaksi ini bukan merupakan
transaksi afiliasi dan transaksi yang mengandung benturan
kepentingan sebagaimana dimaksud dalam POJK No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan.
Dampak kejadian, informasi atau fakta Dampak kejadian, Informasi atau Fakta Material yang
material tersebut terhadap kegiatan diungkapkan oleh Perseroan ini memiliki dampak
operasional, hukum, kondisi keuangan, positif terhadap kinerja produksi dan penjualan
atau kelangsungan usaha Emiten atau Perseroan.

Signing of Memorandum Of Understanding (MOU) Export of
Type of Material Information or Facts Gold Jewelry between PT Hartadinata Abadi Tbk (Company)
with R K D Solutions (RKDS).
Description of Material Information or On January 17 2024, the Company signed a Gold Jewelry
Facts Export Cooperation Agreement with RKDS, for the period 17
January 2024 to 31 December 2024 with a total order of 160
kg (one hundred and sixty kilograms) per month or a total
order of 1,920 kg (one thousand and nine hundred twenty
kilograms) gold jewelry with a content of 91.6%.
The transaction value above is estimated at USD 113.51
million or equivalent to Rp. 1,774,682 million (one trillion seven
hundred seventy four billion six hundred eighty two million
Rupiah). The transaction value is more than 20% of the
Company's equity, so the transaction is a Material Transaction
as regulated in POJK 17/2020.
Relationship between Transaction Parties That between the
Company and RKDS there is no affiliation relationship or
conflict of interest based on the applicable laws and
regulations in the capital markets sector. Therefore, the
implementation of this transaction is not an affiliate transaction
and a transaction containing a conflict of interest as intended
in POJK No. 42/POJK.04/2020 concerning Affiliate
Transactions and Conflict of Interest Transactions.
