Uraian Informasi atau Fakta Material PT Bersama Zatta Jaya Tbk. (Perseroan), menyampaikan
Laporan Informasi atau Fakta Material berupa transaksi
penjualan aset tetap berupa tanah dan bangunan milik
perseroan yang telah dilaksanakan pada 08 April 2026 kepada
PT. Karya Utamaputra Mandiri dengan nilai transaksi sebesar
Rp. 75.000.000.000 (tujuh puluh lima miliar Rupiah).
Dana hasil transaksi akan digunakan untuk pelunasan
sebagian kewajiban kredit Perseroan, guna memperkuat
struktur permodalan, menurunkan beban bunga, serta
meningkatkan likuiditas Perseroan.
Penyampaian ini dilakukan dalam rangka memenuhi ketentuan
POJK No. 31/POJK.04/2015 tentang Keterbukaan Informasi
atau Fakta Material.

material tersebut terhadap kegiatan 1. Berdasarkan Laporan Laba Rugi Konsolidasian
operasional, hukum, kondisi keuangan, Proforma, transaksi ini akan membukukan rugi atas pelepasan
atau kelangsungan usaha Emiten atau aset tetap sebesar Rp. 78.490.839.335,-(tujuh puluh delapan
Perusahaan Publik miliar empat ratus sembilan puluh juta delapan ratus tiga puluh
sembilan ribu tiga ratus tiga puluh lima rupiah) yang secara
material mengubah posisi laba neto menjadi rugi neto
proforma.
2. Transaksi ini berdampak positif terhadap kegiatan
operasional dan kondisi keuangan Perseroan, di antaranya
memperkuat posisi kas untuk mendukung operasional dan
pengembangan usaha, serta mengurangi beban utang.
3. Dengan berkurangnya pokok utang melalui hasil
penjualan aset, beban bunga dan biaya keuangan lainnya
yang harus ditanggung Perseroan akan menurun secara
signifikan. Penghematan biaya bunga ini akan memperbaiki
kinerja bottom line (laba bersih) Perseroan di masa
mendatang serta memperbaiki arus kas operasional yang
sebelumnya terbebani oleh pembayaran bunga.
4. Keuntungan transaksi yaitu Perseroan berkeyakinan
akan mendatangkan banyak manfaat bagi Perseroan di
kemudian hari, antara lain dapat memperkuat struktur
keuangan dan penyelesaian kewajiban serta efisiensi beban
keuangan.

Description of Material Information or Through this letter, we, on behalf of PT Bersama Zatta Jaya
Facts Tbk. (the Company), hereby submit a Report on Material
Information or Facts regarding a transaction involving the sale
of fixed assets in the form of land and buildings owned by the
Company, which was executed on April 8, 2026, to PT Karya
Utamaputra Mandiri, with a transaction value of
Rp75,000,000,000 (seventy five billion Rupiah).
The proceeds from the transaction will be used to partially
settle the Companys credit obligations, in order to strengthen
its capital structure, reduce interest expenses, and improve the
Companys liquidity.
This submission is made in compliance with POJK No.
31/POJK.04/2015 concerning Disclosure of Material
Information or Facts.

facts towards Issuers or Public 1. Based on the Proforma Consolidated Statement of
Company’s operational activities, legal, Profit or Loss, this transaction will result in a loss on disposal
financial condition, or going concern of fixed assets amounting to Rp78,490,839,335 (seventy-eight
billion four hundred ninety million eight hundred thirty-nine
thousand three hundred thirty-five rupiah), which will materially
change the net profit position into a proforma net loss.
2. This transaction has a positive impact on the
Companys operational activities and financial condition,
including strengthening its cash position to support operations
and business development, as well as reducing debt
obligations.
3. With the reduction of principal debt through the
proceeds from the asset sale, interest expenses and other
financial costs to be borne by the Company will decrease
significantly. These interest cost savings are expected to
improve the Companys bottom line (net profit) in the future and
enhance operating cash flows, which were previously
burdened by interest payments.
4. The benefits of the transaction are that the Company
believes it will generate significant advantages in the future,
including strengthening the financial structure, facilitating the
settlement of obligations, and improving efficiency in financial
expenses.
