Uraian Informasi atau Fakta Material VDI dan Bank telah menandatangani Akta Perubahan Kelima
Belas Perjanjian Pemberian Fasilitas Perbankan No. 1 tanggal
05 Januari 2024, yang dibuat di hadapan Indra Wiguna, S.H.,
M.Kn., Notaris di Jakarta Barat, dengan perincian sebagai
berikut :
a. Nilai fasilitas : Rp162.614.655.000,00 (seratus enam
puluh dua miliar enam ratus empat belas juta enam ratus lima
puluh lima ribu Rupiah) (Fasilitas)
b. Jangka waktu fasilitas : 60 (enam puluh) bulan sejak
tanggal penandatanganan Akta Perubahan Kelima Belas
Perjanjian Pemberian Fasilitas Perbankan No. 1 tanggal 05
Januari 2024;
c. Tujuan : penambahan aset tetap untuk menunjang
kegiatan usaha VDI; dan
d. Agunan : Jaminan fidusia atas barang persediaan
dan/atau piutang dagang VDI yang dibiayai dengan Fasilitas,
sebesar 125% (seratus dua puluh lima persen) dari nilai
Fasilitas.
Dampak kejadian, informasi atau fakta Pelaksanaan transaksi tersebut tidak memiliki dampak material
material tersebut terhadap kegiatan terhadap kegiatan operasional, hukum, kondisi keuangan, dan
operasional, hukum, kondisi keuangan, kelangsungan usaha Perseroan
atau kelangsungan usaha Emiten atau

Transaksi ini merupakan Transaksi Material sebagaimana didefinisikan dalam Pasal 11 butir c. Peraturan OJK Nomor
17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha (POJK 17/2020), di mana Perseroan tidak
wajib menggunakan Penilai sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf a. POJK 17/2020 dan memperoleh
persetujuan RUPS sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf d. POJK 17/2020, namun, Perseroan tetap
wajib mengumumkan Keterbukaan Informasi sebagaimana dimaksud dalam Pasal 6 ayat (1) huruf b. dan c., serta ayat
(3) huruf a. POJK 17/2020, di mana pengumuman dan penyampaian keterbukaan informasi paling lambat 2 (dua) hari
kerja setelah tanggal Transaksi Material.
Keterbukaan Informasi atau Fakta Material ini merujuk pada Pasal 2 ayat (1), (2), dan (3) Peraturan OJK Nomor
31/POJK.04/2015 tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik, di
mana penyampaian laporan dan pengumuman dilakukan sesegera mungkin paling lambat pada akhir hari kerja ke-2
(kedua) setelah terdapatnya Informasi atau Fakta Material.

Loan Facility from PT Bank Permata Tbk (Bank) to subsidiary
Type of Material Information or Facts of the Company, PT Visionet Data Internasional (VDI)
Description of Material Information or VDI and the Bank have signed the Fifteenth Amendment Deed
Facts of Banking Facilities Agreement No. 1 dated January 05, 2024,
made before Indra Wiguna, S.H., M.Kn., Notary in West
Jakarta, with the following details:
a. Loan facility : Rp162,614,655,000.00 (one hundred
sixty-two billion six hundred fourteen million six hundred fifty-
five thousand Rupiah) (Facility).
b. Term: sixty (60) months as of the signing date of
Fifteenth Amendment Deed of Banking Facilities Agreement
No. 1 dated January 05, 2024;
c. Purpose: increasing fixed assets to support VDI
business activities; and
d. Collateral: Fiduciary guarantee for VDI inventories
and/or receivables financed by the Facility, in the amount of
one hundred and twenty five percent of the total Facility.

Other Information
This transaction is a Material Transaction as defined in Article 11 point c. of Regulation of OJK Number
17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities (POJK 17/2020), where the
Company is not obliged to use an Appraiser as referred in Article 6 paragraph (1) a. of POJK 17/2020 and obtains
approval from GMS as referred to in Article 6 paragraph (1) d. of POJK 17/2020, however, the Company is still
obliged to announce the Disclosure of Information as referred to in Article 6 paragraph (1) letter b. and c., as well as
paragraph (3) letter a. of POJK 17/2020, where the announcement and disclosure of information submission at the
latest two (2) working days after the date of Material Transaction.

This Disclosure on Material Information or Facts refers to Article 2 paragraphs (1), (2), and (3) of Regulation of OJK
Number 31/POJK.40/2015 concerning Disclosure on Material Information or Facts by Issuers or Public Companies,
where the announcement or report submission shall be conducted as soon as possible at the latest, no later than
the end of the second (2nd) working day after the existence of Material Information or Facts.
