3. Uraian lnformasi atau Fakta VDI dan Bank telah menandatangani Akta Perubahan Kelima Belas
Material I Descriplion on the Per.ianjian Pemberian Fasilitas Perbankan No. I tanggal 05 .lanuari 2024.
A,laterial lnformation or Facts yang dibuat di hadapan Indra Wiguna. S.H.. M.Kn.. Notaris di .lakarta Barat.
dengan perincian sebagai berikut :
a. Nilai fasilitas : Rp162.614.655.000,00 (seratus enam puluh dua miliar
enam ratus empat belas juta enam ratus lima puluh lima ribu Rupiah)
("Fasilitas").
b. .langka waktu fasilitas : 60 (enam puluh) bulan sejak tanggal
penandatanganan Akta Perubahan Kelima Belas Perianjian Pemberian
Fasilitas Perbankan No. I tanggal 05 lanuari2024:
c. Tujuan : penambahan aset tetap untuk menunjang kegiatan usaha VDII
dan
d. Agunan : Jaminan fidusia atas barang persediaan dan/atau piutang
dagang VDI yang dibiayai dengan Fasilitas. sebesar 125%o (seratus dua
puluh lima persen) dari nilai Fasilitas.
VDI and the Bank have signed the Fifteenth Amendment Deed of Banking
Facilities Agreemenl No. I dated January 05't', 2021, made before lndru
Wiguna, 5.H.. M.Kn., Notaty in West ,lakarta, u'ith the folloving details :
a. Loan facil ity : Rp I 62,6 I 4,65 5, 000.00 (one hundred sixty-tu, o bil I ion
six hundredfourteen million six hundredfifty-five thousand Rupiah)
(" Focility").
b. Term: sixty (60) months as of the signing date of Fifteenth Amendment
Deed of Banking Facilities Agreemenl No. I dated January 05't', 2021;
c'. Purpose: increasingfixed assets to support VDI's business aclivities:

d. Collateral: Fiduciary guarantee for VDI 's inventories andt'or
receirablesfinanced by the Facility, in the amount of one hundred and
fiuentyfitte percent (125%o) of the total Facility.

Keterangan lain-lain I Other Transaksi ini merupakan Transaksi Material sebagaimana dideflnisikan
information dalam Pasal I I butir c. Peraturan OJK Nomor l7lPOJK.04l2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha ("POJK l7l2O2O-). di
mana Perseroan tidak wajib menggunakan Penilai sebagaimana dimaksud
dalam Pasal 6 ayat (l) huruf a. POJK 1712020 dan memperoleh persetujuan
RUPS sebagaimana dimaksud dalam Pasal 6 ayat (l) huruf d. POJK
1712020, namun, Perseroan tetap wajib mengumumkan Keterbukaan
Infbrmasi sebagaimana dimaksud dalam Pasal 6 ayat (l) huruf b. dan c..
sefta ayat (3) huruf a. POJK 1712020. di mana pengumuman dan
penyampaian keterbukaan informasi paling lambat 2 (dua) hari kerja setelah
tanggal Transaksi Material.
Keterbukaan Infbrmasi atau Fakta Material ini merujuk pada Pasal 2 ayat
(l). (2). dan (3) Peraturan OJK Nomor 31lPOJK.04l20l5 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik. di mana penyampaian laporan dan pengumuman
dilakukan sesegera mungkin paling lambat pada akhir hari kerja ke-2
(kedua) setelah terdapatnya Informasi atau Fakta Material.
This transaction is a Malerial Transaction as defined in Arlicle I I poinl c.
of Regulation of OJK Number l7/POJK.01/2020 concerning A.4alerial
Transactions and Changes in Business Aclivities (" POJK l7/2020"), where
the Company is not obliged to use an Appraiser as referred in Article 6
paragraph (l) a of POJK 17/2020 and obtains approval from GMS as
referred to in Article 6 paragraph (l) d. of POJK 17/2020, however, the
Company is still obliged to announce the Disclosure of lnformation as
re/erred to in Article 6 paragraph (l) letter b. and c., as well as paragraph
(3) letter a. of POJK 17i2020, where the announcement and disclosure of
information submission ol the latesl n,o (2) u,orking days after the date of
Material Transaclion.
This Disclosure on Material Information or Facts refers to Article 2
paragraphs (l), (2), and (3) of Regulation oJ OJK Number
3 l/POJK.10/2015 concerning Disclosure on A,[aterial Information or Facts
by Issuers or Public Companies, ythere the announcement or repoil
submission shall be conducted as soon os possible at the latesl, no later than
the end of the second (2nd) working day after the existence of Material
