holder of 99.99% of the shares in PT Fortuna Optima Distribusi;
• PT Fortuna Optima Distribusi (FOD) merupakan entitas anak
usaha Perseroan yang dimiliki secara langsung sebesar
99,99%.
PT Fortuna Optima Distribusi (FOD), a subsidiary of the
Company, with 99.9% share ownership held by the Company.
• PT Super Ekonomi Ritelindo (SER) merupakan entitas anak
usaha Perseroan yang dimiliki secara langsung sebesar 99,99%
PT Super Ekonomi Ritelindo (SER), a subsidiary of the
Company, with 99.9% share ownership held by the Company.
3. Jenis Informasi / Type of Penandatanganan Akta Pengoperan Hak-Hak Atas Saham SER
Information No. 30 tanggal 8 April 2026 antara FOD sebagai pembeli dan
Perseroan sebagai penjual yang dibuat di hadapan Sriwi Bawana
Nawaksari, S.H., M.Kn., Notaris di Kabupaten Tangerang dengan
nilai transaksi Rp61.649.000.000 (enam puluh satu miliar enam
ratus empat puluh sembilan juta Rupiah).
The signing of the Deed of Transfer of Rights over Shares of SER
No. 30 dated 8 April 2026 between FOD, as a buyer, and MPPA,
as a seller, made before Sriwi Bawana Nawaksari, S.H., M.Kn.,
Notary in Tangerang Regency with transaction value of
Rp61,649,000,000 (sixty one billion six hundred forty nine nine
Rupiah).
4. Uraian Informasi / Description on Pada tanggal 8 April 2026, Perseroan telah menandatangani Akta
the Information Jual Beli Saham dengan PT Fortuna Optima Distribusi (FOD)
untuk melepas 99,9% kepemilikan saham Perseroan pada PT
SER, sebagai bagian dari langkah strategis Perseroan dalam
melakukan penataan struktur usaha dan optimalisasi portofolio
bisnis. Transaksi ini merupakan Transaksi Afiliasi, namun
dikecualikan dari kewajiban tertentu sebagaimana diatur dalam
POJK 42/2020, mengingat transaksi dilakukan antara Perseroan
dengan entitas anak yang dimiliki secara langsung sebesar
99,9%. Transaksi ini bukan merupakan suatu transaksi benturan
kepentingan karena tidak terdapat perbedaan kepentingan
ekonomis Perseroan dan kepentingan ekonomis pribadi anggota
direksi, anggota dewan komisaris atau pemegang saham utama
yang dapat merugikan Perseroan karena tidak terdapat dampak

yang merugikan terhadap kegiatan operasional, hukum, kondisi
keuangan, dan kelangsungan usaha Perseroan sebagaimana
dimaksud dalam POJK No. 42/2020.
On April 8, 2026, the Company entered into a Share Sale and
Purchase Deed with PT Fortuna Optima Distribusi (FOD) to divest
99.9% of the Company’s shareholding in PT SER, as part of the
Company’s strategic initiative to restructure its business and
optimize its portfolio. This transaction constitutes an Affiliated
Transaction; however, it is exempt from certain requirements as
stipulated under POJK 42/2020, considering that the transaction
is conducted between the Company and its subsidiary, in which
the Company directly holds 99.9% of the shares. This transaction
does not constitute a conflict of interest transaction, as there is
no difference between the Company’s economic interests and the
personal economic interests of the members of the Board of
Directors, the Board of Commissioners, or the controlling
shareholders that could be detrimental to the Company.
Furthermore, there is no adverse impact on the Company’s
operational activities, legal standing, financial condition, or
business continuity as referred to in POJK No. 42/2020.
