145.268.300 saham atau 50,59% dari seluruh saham dengan hak suara yang sah yang telah dikeluarkan oleh
Perseroan, sesuai dengan Anggaran Dasar Perseroan dan Peraturan Perundangan yang berlaku.

Hasil Keputusan Menyetujui atas rencana Perseroan untuk melakukan Penambahan Modal Tanpa Hak
Memesan Efek Terlebih Dahulu (PMTHMETD), dengan menerbitkan saham baru sebanyak-
banyaknya sejumlah 125.000.000 (seratus dua puluh lima juta) saham dengan nilai nominal
Rp25,00 (dua puluh lima rupiah) atau sebanyak-banyaknya 10% (sepuluh persen) dari
seluruh saham yang telah ditempatkan dan disetor penuh dalam Perseroan, sesuai dengan
Peraturan Otoritas Jasa Keuangan Nomor 14/POJK.04/2019 tentang Perubahan atas
Peraturan Otoritas Jasa Keuangan Nomor 32/POJK.04/2015 tentang Penambahan Modal
Perusahaan Terbuka dengan Memberikan Hak Memesan Efek Terlebih Dahulu, termasuk:
a. Persetujuan perubahan Anggaran Dasar Perseroan sehubungan dengan
peningkatan modal ditempatkan dan modal disetor Perseroan dalam rangka PMTHMETD;
b. Pemberian kuasa dan wewenang kepada Direksi Perseroan dengan hak subtitusi
untuk melaksanakan segala tindakan yang diperlukan dalam rangka PMTHMETD, termasuk
tetapi tidak terbatas untuk menetapkan harga pelaksanaan, jadwal dan tata cara, membuat
atau meminta dibuatkan segala akta-akta, surat-surat maupun dokumen-dokumen yang
diperlukan, hadir di hadapan pihak/pejabat yang berwenang, untuk memperoleh persetujuan
atau memberitahukan atau melaporkan hal tersebut kepada pihak/pejabat yang berwenang,
sesuai dengan peraturan perundang-undangan yang berlaku.

Hasil Keputusan Approve the company's plan to conduct a capital increase without pre emptive rights
(PMTHMETD) by issuing new shares in a maximum number of 125,000,000 (one hundred
twenty five million) shares with a par value of Rp25.00 (twenty five rupiah) or a maximum of
10% (ten percent) of all shares that have been issued and fully paid up in the company, in
accordance with Financial Services Authority Regulation No. 14/POJK.04/2019 concerning
amendments to Financial Services Authority Regulation No. 32/POJK.04/2015 concerning
capital increase of public companies by granting pre emptive Rights, including:
a. Approval of amendments to the Company's Articles of Association in connection
with the increase in the Company's issued and paid-in capital in connection with the
PMTHMETD
b. Granting of power and authority to the company Board of Directors, with the right of
substitution, to take all necessary actions in connection with the PMTHMETD, including but
not limited to setting the exercise price, schedule, and procedures preparing or having
prepared all necessary deeds, letters, and documents required; appearing before the
relevant parties or officials to obtain approval; or notifying or reporting such matters to the
relevant parties or officials, in accordance with applicable laws and regulations.
