Material tunai kepada Para Pemegang Saham untuk tahun buku be{alan 2023
(periode 1 Januai 2023 30 September 2023).
Pembagian Dividen Interim Tunai ini dilak-ukan sesuai dengan Pasal
72 ayat (1) dan ayat (4) Undang-Undang Nomor 40 Tahun 2007
tentang Perseroan Terbatas ("UUPT"), dan sebagaimana diatur dalam
Pasal 22 anggaran dasar Perseroan, dimana: (i) Perseroan dapat
membagikan dividen interim sebelum tahun buku Perseroan berakhir;
dan (ii) pembagian dividen interim ditetapkan berdasarkan keputusan
Direksi setelah memperoleh persetujuan Dewan Komisaris.
sebagaimana dimaksud dalam Surat Keputusan Dewan Direksi No.
01 6/KEP-DIR/A-061XIY23 tanggal 27 Desember 2023 serta
persetujuan Dewan Komisaris Perseroan sebagaimana dimaksud
dalam Surat Persetujuan tanggal 27 Desember 2023.
Pelaksanaan Pembagian Dividien Interim Tunai ini tidak akan
mengakibatkan jumlah kekayaan bersih Perseroan menjadi lebih kecil
daripada jumlah modal ditempatkan dan disetor ditambah cadangan
waj ib.

Sehingga demikian, Pembagian Dividien lnterim Tunai tidak akan
menggangu atau menyebabkan Perseroan tidak dapat memenuhi
kewajibannya pada keditor ataupun mengganggu kegiatan usaha
Perseroan-
Berdasarkan perhitungan yang telah dilakukan serta, dengan
mempertimbangkan antara lain kondisi keuangan dan rencana bisnis
ke depan Perseroan, jumlah dividen interim tunai yang akan dibagikan
kepada pemegang saham sebesar Rp 20 (dua puluh Rupiah) per lembar
saham atau senilat Rp171,364,687,280 (seratus tujuh puluh satu milyar
tiga ratus enam puluh empatjuta enam ratus delapan puluh tujuh ribu
dua ratus delapan puluh Rupiah).

Description of Material The Company plans to distribute interim cash dividends to
Information or Facts Shareholders for the current.financial year 202j (period January 1" ,
2023 - September 3dh, 2023).
The distribution of Interim Cash Dividends is carried oul in
accordance with Article 72 paragraph (l) and paragraph (4) of Law
Number 40 of 2007 concerning Limited Liability Companies
('UUPT"), and as regulated in Afiicle 22 ofthe Company's articles of
association, bhere: (i) The Company may distribute interim divielends
before the Company's financial year ends; and (ii) interim dividend
distribution is determined based on the decision of the Board of
Directors after obtaining approval .from the Board of Commissioners.
as intended in tlte Board of Directors Decree No. 0I6/KEP-DIR/A-
06/XII/23 dated December 27'h 2023 and approval from the
Company's Board of Commissioners as referred to in the Approval
Letter dated December 27tt', 2023.
The implementation ofthis Interim Cash Dividend Distribution will not
result in the Company's net assets being smaller than the total issued
and paid-up capital plus mandatory reserves.
Therefore, the distribution of Interim Cash Dividends w'ill not disturb
or cause the Contpany to be unable to fumll its obligations to creditors
or disrupt the Company's business octitities.
Based on calculations that have been carried out and, taking into
accoun; among other things, the Company's Jinancial condition and
future business plans, the amount of interim cash dividends that will
be distributed to shareholders is IDR 20 (twenty Rupiah) per share or
IDR 171,364,687,280 (one hundred seventy-one billion, three hundre{
