Uraian Informasi atau Fakta Material Informasi sebagaimana tercantum dalam Keterbukaan
Informasi ini dibuat dalam rangka pemenuhan kewajiban
Perseroan untuk mengumumkan keterbukaan informasi atas
adanya transaksi material yang dilakukan Perseroan, melalui
anak usaha yaitu PT Digifast Kreasi Indonesia (DKI),
sehubungan dengan pelepasan 529.999 (lima ratus dua puluh
sembilan ribu sembilan ratus sembilan puluh sembilan) lembar
saham PT Graha Planet Nusantara (GPN) oleh DKI kepada
PT Digital Kreatif Investama (DK Investama) dengan nilai
nominal Rp100.000 (seratus ribu Rupiah) per saham atau
mewakili 99,99% (sembilan puluh sembilan koma sembilan
sembilan persen)dari seluruh modal ditempatkan dan disetor
GPN (Transaksi Penjualan Saham) dalam rangka
restrukturisasi internal Perseroan.
Dampak kejadian, informasi atau fakta Perseroan melakukan restrukturisasi internal dengan
material tersebut terhadap kegiatan dilakukannya Transaksi pelepasan entitas anak. Perseroan
operasional, hukum, kondisi keuangan, melepaskan kepemilikannya secara tidak langsung atas
atau kelangsungan usaha Emiten atau 99,99% saham pada GPN. Selain itu, anak perusahaan yaitu
Perusahaan Publik PT Digifast Kreasi Indonesia mendapatkan tambahan dana
bersih atas Transaksi dalam Rupiah sebesar Rp6.821.285.956
(enam miliar delapan ratus dua puluh satu juta dua ratus
delapan puluh lima ribu sembilan ratus lima puluh enam
Rupaih).

Description of Material Information or The information as stated in this Information Disclosure is
Facts prepared in order to fulfill the Company's obligation to
announce information disclosure regarding material
transactions carried out by the Company, through its
subsidiary, namely PT Digifast Kreasi Indonesia (DKI), in
connection with the release of 529,999 (five hundred twenty-
nine thousand nine hundred ninety nine) shares of PT Graha
Planet Nusantara (GPN) by DKI to PT Digital Creative
Investama (DK Investama) with a nominal value of IDR
100,000 (one hundred thousand Rupiah) per share or
representing 99.99% (ninety nine point nine nine percent) of all
issued and paid-up capital of GPN (Share Sales Transactions)
in the context of the Company's internal restructuring.
Impact of event, material information or The Company carried out internal restructuring by carrying out
facts towards Issuers or Public transactions to dispose of subsidiaries. The Company
Company’s operational activities, legal, indirectly divested its ownership of 99,99% of the shares in
financial condition, or going concern GPN. In addition, the subsidiary, namely PT Digifast Kreasi
Indonesia, received additional net funds for transactions in
Rupiah amounting to IDR 6,821,285,956 (six billion eight
hundred twenty-one million two hundred eighty-five thousand
nine hundred and fifty-six Rupiah).
