Untuk memenuhi ketentuan (i) Peraturan Otoritas Jasa Keuangan (“OJK”) No. 31/POJK.04/2015
tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik (“POJK
31”), (ii) Keputusan Direksi BEI No. Kep-00015/BEI/01-2021, Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, (iii) Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha (“POJK 17”) dan (iv) Peraturan OJK No. 42 Tahun 2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42”), dengan ini kami, PT Solusi
Tunas Pratama Tbk (“Perseroan”), menyampaikan Keterbukaan Informasi atas Transaksi Material
sebagai berikut:
To comply with the (i) OJK Regulation No. 31/POJK.04/2015 on Disclosure of Material Information or
Facts by Issuers or Public Companies (“POJK 31”), (ii) the IDX Board of Directors Decree No. Kep-
00015/BEI/01-2021, Amendment to Regulation No. I-E on Obligation to Submit Information, (iii)
Financial Services Authority Rule No. 17/POJK.04/2020 Concerning Material Transactions And
Alteration Of Business Activities (“POJK 17”) and (iv) Financial Services Authority Rule
No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest (“POJK 42”), we, PT

merupakan pihak terafiliasi dari Perseroan / MUFG
Bank Ltd., Cabang Jakarta (“MUFG”) a banking
institution and not an affiliated party of the Company.

Pada tanggal 29 Desember 2023, MUFG sebagai
pemberi pinjaman, Perseroan, Protelindo dan Iforte
sebagai para peminjam telah menandatangani Surat
Perubahan Fasilitas atas Perjanjian Fasilitas yang
terakhir diubah pada tanggal 4 Oktober 2023
(“Perjanjian Fasilitas”) / on December 29, 2023,
MUFG as the lender, the Company, Protelindo and
Iforte as the borrowers have signed the Amendment
Facility Letter to the Facility Agreement which was last
amended on October 4, 2023 (“Facility Agreement”).
2. Berikut adalah syarat dan ketentuan penting dalam
Perjanjian Fasilitas / The following are key terms and
conditions under the Facility Agreement:
(a) Perpanjangan tanggal jatuh tempo akhir sampai
dengan 31 Desember 2024/Extension of final
maturity date to December 31, 2024;

(b) Berdasarkan Perjanjian Fasilitas, Perseroan,
Protelindo dan Iforte bertanggung jawab secara
tanggung renteng terhadap pelaksanaan seluruh
kewajiban berdasarkan Perjanjian
Fasilitas/According to the Facility Agreement, the
Company, Protelindo and Iforte are jointly liable for
their obligations under the Facility Agreement.
4 Penjelasan, Pertimbangan dan Perjanjian Fasilitas ini diberikan kepada Para Peminjam
Alasan dilakukannya Transaksi secara bersama-sama dan akan digunakan untuk
Material/ membiayai kebutuhan korporasi Para Peminjam secara

Agreement is provided jointly to the Borrowers and will be
utilized for general corporate purposes, including but not
limited to working capital needs. The adoption of a joint
financing structure and the fulfillment of the obligations of
the Borrowers in the form of joint and several liabilities will
facilitate the Borrowers to secure more favorable financing
terms and conditions.
5 Hubungan sifat afiliasi dari para a. Perseroan;/ The Company;

pinjaman yang tidak mempunya hubungan afiliasi
dengan Perseroan, Protelindo dan Iforte / MUFG is a
bank which is non-affiliated party of each the
Company, Protelindo and Iforte.

7. Keterangan lain-lain/ 1. Penandatanganan Perjanjian Fasilitas merupakan

dikecualikan sebagaimana dimaksud dalam Pasal 11
huruf (a) dan (b) POJK 17/ The execution of Facility
Agreement is a material transaction as referred to in
POJK 17, i.e., the value of the Facility Agreement is
more than 20% of the Company's equity, based on the
Company's audited Financial Statement as of
December 31, 2022. The Transaction is a material
transaction that is exempted as referred to in Article 11
letter (a) and (b) of POJK 17.
2. Perjanjian Fasilitas tersebut di atas merupakan
transaksi afiliasi sebagaimana dimaksud dalam: (i)
Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No.
42 Tahun 2020 (“POJK 42”), yaitu transaksi sesama
Perusahaan Terkendali yang sahamnya dimiliki paling
sedikit 99% (sembilan puluh sembilan persen) oleh
Perusahaan Terbuka; dan (ii) Pasal 6 ayat (1) huruf (e)
POJK 42, yaitu transaksi pemberian jaminan kepada
bank atas pinjaman yang diterima secara langsung
oleh Perusahaan Terbuka atau Perusahaan
Terkendali; / Facility Agreement is an affiliated
transaction as referred to (i) in Clause 6 section (1)
letter b point (2) of OJK Regulation No. 42 of 2022
(“OJK Rule 42”), i.e. a transaction between the

subsidiaries whose at least 99% of their shares are
owned by the Public Company; and (ii) Clause 6
section (1) letter (e) OJK Rule 42, i.e. security provided
to a bank in relation to the loan agreement granted to
the Public Company Or Subsidiaries.
3. Perjanjian Fasilitas tersebut di atas bukan merupakan
transaksi benturan kepentingan bagi Perseroan
sebagaimana diatur dalam POJK 42 / Facility
Agreement is not a conflict-of-interest transaction of
the Company as referred to OJK Rule 42
Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan bahwa / The Board of Commissioners
and Directors of the Company hereby declares that:
1. Perjanjian Fasilitas bukan merupakan transaksi benturan kepentingan bagi Perseroan
sebagaimana diatur dalam POJK 42/ The Facility Agreement is not a conflict-of-interest
transaction of the Company as referred to POJK 42.
2. Keterbukaan Informasi ini telah memuat seluruh informasi material yang benar dan tidak
menyesatkan/ This Disclosure contains material information which is true and not misleading.
Sesuai dengan Pasal 8 pada POJK 31, keterbukaan informasi ini juga merupakan pemenuhan
ketentuan dalam POJK 31 / According to Article 8 of POJK 31, this Disclosure is also made to comply
with provision under OJK Rule 31.
