Uraian informasi atau fakta material:
Anak-anak perusahaan Perseroan, yaitu PT Indika Logistic &
Support Services ("ILSS") dan PT Interport Mandiri Utama
("IMU"), telah mendirikan suatu anak usaha baru yaitu PT
Tujuh Raya Dewi ("TRADE"), berkedudukan di Jakarta.
Pendirian tersebut dituangkan dalam Akta Pendirian No. 45
tanggal 12 Agustus 2026 yang dibuat oleh Ungke Mulawanti,
S.H., M.Kn., Notaris di Jakarta Timur, dan telah mendapat
pengesahan dari Kementerian Hukum Republik Indonesia No.
AHU-0065255.AH.01.01 tanggal 12 Agustus 2026.
Pengesahan tersebut diterima Perseroan pada tanggal 12
Agustus 2026.
TRADE akan melakukan kegiatan usaha, antara lain (i)
Aktivitas Konsultasi Manajemen lainnya (KBLI 70209); (ii)
Perdagangan Besar atas Dasar Balas Jasa atau kontrak
(KBLI 46100); (iii) Angkutan Multimoda mencakup Angkutan
Barang (KBLI 52291), (iv) Angkutan Bermotor untuk Barang
Umum (KBLI 49231) dan (v) Pelayanan Kepelabuhan Laut
(KBLI 52221).
ILSS dan IMU merupakan anak perusahaan Perseroan yang
lebih dari 99% sahamnya dimiliki secara tidak langsung oleh
Perseroan.
Keterangan mengenai struktur kepemilikan modal TRADE
adalah sebagai berikut:

kegiatan usaha yang berkelanjutan.

The Establishment of Subsidiary by the Company's

material fact.
Description of the material information or facts:
The Company's subsidiaries, namely PT Indika Logistic &
Support Services ("ILSS") and PT Interport Mandiri Utama
("IMU"), established a new subsidiary, PT Tujuh Raya Dewi
("TRADE"), domiciled in Jakarta. Such establishment was set
out in Deed of Establishment No. 45 dated 12 August 2026,
made before Ungke Mulawanti, S.H., M.Kn., Notary in East
Jakarta, and has obtained approval from the Ministry of Law of
the Republic of Indonesia No. AHU-0065255.AH.01.01 dated
12 August 2026. The approval was received by the Company
on 12 August 2026.
TRADE will carry out business activities, among others, in (i)
Other Management Consultancy Activities (KBLI 70209); (ii)
Wholesale Trade on a Fee or Contract Basis (KBLI 46100);
and (iii) Multimodal Freight Transportation (KBLI 52291), (iv)
General Freight Transportation by Motor Vehicles (KBLI
49231); and (v) Seaport Services (KBLI 52221).
ILSS and IMU are subsidiaries of the Company in which more
than 99% of their shares are indirectly owned by the Company.
Details of the shareholding structure of TRADE are as follows:

ensure that the Company focuses on the implementation of
sustainable business activities.
