Ha BS | BANK SYARIAH INDONESIA Uraian Informasi atau Fakta Material Description of Information or Material Facts Berdasarkan surat PT Bank Mandiri (Persero) Tbk (“Bank Mandiri”) No.FST.ISM/GH.0097/2026 tanggal 2 April 2026 yang fisik asli suratnya kami terima tanggal 7 April 2026, menginformasikan bahwa PT Bank Syariah Indonesia (Persero) Tbk (“Perseroan”) tidak lagi berstatus sebagai Anggota Konglomerasi Keuangan dan Anggota Kelompok Usaha Bank dari Bank Mandiri. Based on the letter from PT Bank Mandiri (Persero) Tbk (“Bank Mandiri”) No.FST.ISM/GH.0097/2026 dated April 2, 2026, the original of which we received on April 7, 2026, we inform you that PT Bank Syariah Indonesia (Persero) Tbk (“Company”) no longer has the status as a Member of the Financial Conglomerate and a Member of the Bank Business Group of Bank Mandiri. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik The Impact of Such Events, Information, or Material Facts on the Operational Activities, Legal and Financial Conditions, or Business Continuity of the Issuer or Public Company Dengan tidak lagi berstatus sebagai Anggota Konglomerasi Keuangan dan Anggota Kelompok Usaha Bank dari Bank Mandiri, hal tersebut tidak menimbulkan dampak material negatif yang dapat mengganggu kegiatan operasional, kepatuhan hukum, kondisi keuangan, maupun kelangsungan usaha Perseroan. Jumlah dan komposisi kepemilikan saham Bank Mandiri di Perseroan tidak berubah, dan perjanjian-perjanjian kerja sama antara Bank Mandiri dan Perseroan yang selama ini dilaksanakan tetap dapat berjalan dengan berpedoman pada prinsip kewajaran, tata kelola perusahaan yang baik serta ketentuan perundang-undangan yang berlaku. By no longer having the status of a Financial Conglomerate Member and a Bank Business Group Member of Bank Mandiri, this does not cause any negative material impact that could disrupt operational activities, legal compliance, financial condition, or the Company's business continuity. The number and composition of Bank Mandiri's share ownership in the Company has not changed, and the cooperation agreements between Bank Mandiri and the Company that have been implemented so far can continue to run based on the principles of fairness, good corporate governance and the provisions of applicable laws.
