On 6 April 2026, the agreement for the procurement of 20,600 six-wheel truck units between PT Dipo Internasional Pahala Otomotif (“DIPO”) and PT Agrinas Pangan Nusantara (Persero) (“APN”) became effective. Informasi material berupa efektifnya pengadaan truk 6 ban sebanyak 20.600 unit dilakukan berdasarkan beberapa kontrak sebagai berikut (i) Kontrak Pengadaan Unit Kendaraan untuk Koperasi Desa Kelurahan Merah Putih tanggal 28 November 2025 antara APN dan PT Krama Yudha Tiga Berlian Motors (“Kontrak Induk”), (ii) Kontrak Turunan Pengadaan Unit Kendaraan Truk untuk Koperasi Desa/Kelurahan Merah Putih tanggal 28 November 2025 antara DIPO dan APN (“Kontrak Turunan”) dan (iii) Addendum Kontrak Turunan I Pengadaan Unit Kendaraan Truk 6 Ban untuk Koperasi Desa Kelurahan Merah Putih tanggal 10 Maret 2026 antara DIPO dan APN (“Addendum Kontrak Turunan”) (Kontrak Induk, Kontrak Turunan dan Addendum Kontrak Turunan secara bersama-sama disebut sebagai “Kontrak Pengadaan”). The material information relates to the effectiveness of the procurementof 20,600 six-wheel truck units, which is carried out based on several agreements as follows (i) the Vehicle Unit Procurement Contract for Koperasi Desa/Kelurahan Merah Putih dated 28 November 2025 between APN and PT Krama Yudha Tiga Berlian Motors (“Master Contract”), (ii) the Derivative Contract for the Procurement of Truck Units for Koperasi Desa/Kelurahan Merah Putih dated 28 November 2025 between DIPO and APN (“Derivative Contract”): and iii) Addendum | to the Derivative Contract for the Procurement of Six-Wheel Truck Units for Koperasi Dipo Tower 18" Floor Jend. PT PUTRA MANDIRI JEMBAR Tbk Investments Holding Company Desa/Kelurahan Merah Putih dated 10 March 2026 between DIPO and APN (the “Addendum to the Derivative Contract”). The Master Contract, the Derivative Contract, and the Addendum to the Derivative Contract shall hereinafter be collectively referred to as the “Procurement Contracts.” Kontrak Pengadaan baru berlaku efektif pada saat (i) diberikannya Bank Garansi dari Bank BNI tanggal 16 Maret 2026 oleh DIPO kepada APN dan (ii) diterimanya pembayaran uang muka (down payment) oleh DIPO dari APN sebesar Rp. 2.840.400.000.000 (Dua Triliun Delapan Ratus Empat Puluh Milyar Empat Ratus Juta Rupiah), hal mana terjadi pada tanggal 6 April 2026. The Procurement Contracts shall only become effective upon the fulfilment of the following conditions: (i) the issuance of a Bank Guarantee by Bank BNI dated 16 March 2026 from DIPO to APN and fii) the receipt by DIPO of the down payment from APN in the amount of Rp2,840,400,000,000 (two trillion eight hundred forty billion four hundred million Rupiah), which occurred on 6 April 2026. Sehubungan dengan pelaksanaan Kontrak Pengadaan sebagaimana dijelaskan di atas, berikut uraian lebih lanjut mengenai informasi terkait Kontrak Turunan tersebut: In relation to the implementation of the Procurement Contracts as described above, the following is a further description of the information relating to the Derivative Contract: a. Pihak-pihak yang melakukan Kontrak/Parties to the Contract 1. PT Dipo Internasional Pahala Otomotif Entitas anak usaha Perseroan dengan kepemilikan langsung sebesar 82,644 yang bergerak di bidang industri otomotif, merupakan suatu Perseroan Terbatas yang didirikan dan tunduk berdasarkan hukum negara Republik Indonesia. A subsidiary of the Company with a direct ownership of 82.644, which engages in the automotive industry. It is a limited liability company established and existing under the laws of the Republic of Indonesia. 2. PT Agrinas Pangan Nusantara (Persero) Badan Usaha Milik Negara yang bergerak di bidang pengelolaan dan pengembangan sektor pangan serta kegiatan usaha terkait lainnya, yang didirikan dan tunduk berdasarkan hukum Negara Republik Indonesia. A State-Owned Enterprise engaged in the management and development of the food sector as well as other related business activities, established and existing under the Iaws of the Republic of Indonesia. DIPO PT PUTRA MANDIRI JEMBAR Tbk Investments Holding Company b. Sifat Hubungan Para Pihak/Nature of the Relationship between the Parties Tidak terdapat hubungan afiliasi antara DIPO dan APN. There is no dffiliation between DIPO and APN. Cc. Tujuan Perjanjian/Purpose of the Agreement Dalam Kontrak Pengadaan, DIPO sebagai dealer resmi yang ditunjuk oleh PT Krama Yudha Tiga Berlian Motors berdasarkan Kontrak Induk, akan melaksanakan penyediaan unit kendaraan sesuai dengan spesifikasi yang disepakati, serta memberikan dukungan layanan purna jual kepada APN guna mendukung operasional dan keberlanjutan program pengadaan kendaraan tersebut. Under the Procurement Contracts, DIPO, as an authorized dealer appointed by PT Krama Yudha Tiga Berlian Motors pursuant to the Master Contract, will carry out the provision of vehicle units in accordance with the agreed specifications, and provide after-sales service support to APN to support the operational activities and sustainability of the vehicle procurement program. d. Nilai Kontrak/Contract Value Rp10.835.600.000.000 (Sepuluh Triliun Delapan Ratus Tiga Puluh Lima Milyar Enam Ratus Juta Rupiah) Rp10,835,600,000,000 (ten trillion eight hundred thirty-five billion six hundred million Rupiah). Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, kondisi keuangan, atau kelangsungan usaha Perseroan Impact of such material event, information, or fact on the Company's operational activities, financial condition, or Penandatanganan Kontrak antara DIPO dan APN memberikan dampak positif terhadap kegiatan operasional DIPO, yaitu sebagai berikut: 1. Meningkatkan kegiatan operasional DIPO: dan 2. Meningkatkan pendapatan DIPO yang pada gilirannya akan meningkatkan kondisi keuangan Perseroan. The execution of the Contract between DIPO and APN has a positive impact on DIPO's operational activities, as follows: 1. Increasing DIPO's operational activities: and 2.
