Jenis Informasi atau Fakta Material Adanya informasi atau kejadian material lainnya sehubungan
dengan peningkatan jumlah kepemilikan saham Perseroan di
dalam entitas anak usaha.
Uraian Informasi atau Fakta Material Sebagaimana diungkapkan di dalam Prospektus Penawaran
Umum Perdana Saham BREN tanggal 3 Oktober 2023
khususnya pada Bab Penggunaan Dana, seluruh dana hasil
penawaran umum perdana saham setelah dikurangi dengan
biaya-biaya emisi, seluruhnya akan digunakan oleh Perseroan
sebagai penyetoran modal pada Star Energy Group Holdings
Pte. Ltd ("SEGHPL") selaku entitas anak perusahaan.
Pada tanggal 27 Oktober 2023, Perseroan telah melakukan
penyetoran modal kepada SEGHPL tersebut sebesar
USD72.500.397 untuk pengambilan bagian atas seluruh
saham baru yang diterbitkan oleh SEGHPL sejumlah 71.758
lembar. Penyetoran modal ini telah dicatatkan oleh SEGHPL
berdasarkan Accounting and Corporate Regulatory Authority
(ACRA) tanggal 27 Oktober 2023.
Dengan dilakukannya penyetoran modal tersebut, maka
kepemilikan saham oleh Perseroan di SEGHPL yang semula
berjumlah 752.392 saham, telah meningkat menjadi 824.150
lembar saham.
Adapun dana penyetoran modal dari Perseroan digunakan
sepenuhnya oleh SEGHPL untuk memenuhi kewajiban
pembayaran kepada Star Energy Oil and Gas Pte. Ltd.
("SEOG") dan Perseroan sebagai pelaksanaan dari: (i)
Perjanjian Penunjukan dan Penggantian Biaya yang telah
ditandatangani oleh Perseroan, SEGHPL dan SEOG
tertanggal 3 Juli 2023; dan Surat Perseroan tertanggal 25
Agustus 2023, perihal Penunjukan STAR sebagai Pemegang
Saham ACEHI.

the subsidiary.
Description of Material Information or As disclosed in the Company's Initial Public Offering
Facts Prospectus dated 3 October 2023, particularly in the Use of
Proceed Section, all proceeds obtained from the initial public
offering after being deducted from all related costs will be used
entirely by the Company for the capital injection Star Energy
Group Holdings Pte. Ltd ("SEGHPL") as a subsidiary.
On October 27, 2023, the Company paid up capital to
SEGHPL in the amount of US$ 72,500,397 for the subscription
for the entire newly issued shares with a total number of
71,758. This capital injection recorded by SEGHPL based on
Accounting and Corporate Regulatory Authority (ACRA) dated
27 October 2023.
Upon the completion of the capital injection, the Company's
share ownership in SEGHPL which previously was in the total
number of 752,392 shares, increased to 824,150 shares.
The money obtained by SEGHPL as the capital injection from
the Company was fully used by SEGHPL to fulfill its payment
obligations to Star Energy Oil and Gas Pte. Ltd. ("SEOG") and
the Company as implementation of: (i) the Agreement on
Appointment and Reimbursement which was signed by the
Company, SEGHPL and SEOG dated 3 July 2023; and (ii) the
Company Letter dated 25 August 2023, regarding the
Appointment of STAR as Shareholder ACEHI.
