Uraian Informasi atau Fakta Material Merujuk pada Pengumuman PT Fajar Sejahtera Mandiri
Nusantara (FSMN) di Koran Harian Terbit tertanggal 13
Desember 2023 bahwa pada tanggal 12 Desember 2023,
telah ditandatangani Akta Pernyataan Keputusan Rapat FSMN
dan Akta Pengambilalihan Saham oleh PT Bahtera Bintang
Nusantara (BBN), dimana FSMN menerbitkan saham baru
sebesar Rp. 70.856.185.000 (tujuh puluh miliar delapan ratus
lima puluh enam juta seratus delapan puluh lima ribu Rupiah)
atau setara dengan 88.7% dari total saham FSMN.
Karena BBN memiliki 88.7% dari saham FSMN tersebut, maka
BBN dinyatakan sebagai pemegang saham mayoritas FSMN
(Transaksi).
Penyelesaian Transaksi di atas merupakan tindak lanjut atas
tahap perubahan pemilik manfaat / ultimate beneficiary owner
(UBO) secara tidak langsung oleh KETR yang semula adalah
Tuan Galumbang Menak menjadi salah satu pemegang
saham BBN yaitu Tuan Joy Wahjudi.
Dampak kejadian, informasi atau fakta Penyelesaian Transaksi tidak akan berdampak material
material tersebut terhadap kegiatan terhadap kegiatan operasional, hukum, kondisi keuangan, atau

Description of Material Information or Referring to the Announcement of PT Fajar Sejahtera Mandiri
Facts Nusantara (FSMN) in Harian Terbit Newspaper dated
December 13, 2023 that on December 12, 2023, the Deed of
Statement of Meeting Resolution of FSMN and Deed of Share
Acquisition by PT Bahtera Bintang Nusantara (BBN) were
signed, where FSMN issued new shares amounting to Rp.
70,856,185,000 (seventy billion eight hundred fifty six million
one hundred eighty five thousand Rupiah) or equivalent to
88.7% of the total shares of FSMN.
Because BBN owns 88.7% of FSMN's shares, BBN is declared
as the majority shareholder of FSMN (Transaction).
The completion of the Transaction above is a follow-up to the
stage of changing the indirect ultimate beneficiary owner
(UBO) by KETR, which was originally Mr. Galumbang Menak,
to one of BBN's shareholders, namely Mr. Joy Wahjudi.
