I Description of Material Information Energy ("BWE") yang merupakan perusahaan terkendali
or Facts Perseroan yang dimiliki sebesar 99,99% telah
menandatangani suatu perjanjian bersyarat dengan
rincian sebagai berikut:
a) Agreement for the Sale and Purchase of Shares in
PT UPC Sidrap Bayu Energi dengan UPC
Renewables Asia Pacific Holdings Pte. Ltd.
("UPCAPH"), ACEN Renewables International Pte.
Ltd. ("ACRI"), UPC Renewables Asia Ill Limited
("Asia Ill") , Sidrap (HK) Limited ("Sidrap HK"), dan
Sunedison Sidrap S.V. ("SunEd BV") (UPCAPH,
ACRI, Asia Ill, Sidrap HK, dan SunEd SV secara

bersama-sama disebut sebagai "Para Penjual"),
dimana BWE setuju untuk melakukan
pengambilalihan atas 515 .515 saham kelas A dan
34. 368 saham kelas B yang mewakili sekitar 99,99%
dari jumlah modal disetor dan modal ditempatkan
PT UPC Sidrap Bayu Energi ("SIDRAP 1") yang
dimiliki oleh Para Penjual ("Perjanjian Sidrap 1").
b) Agreement for the Sale and Purchase of Shares in
PT UPC Operation and Maintenance Indonesia
dengan UPCAPH , dimana BWE setuju untuk
melakukan pengambilalihan atas 2.499 saham yang
mewakili sekitar 99,99% dari jumlah modal disetor
dan modal ditempatkan PT UPC Operation and
Maintenance Indonesia ("OMI") yang dimiliki oleh
UPCAPH ("Perjanjian OMI").
c) Agreement for the Sale and Purchase of Relevant
Sale Shares and the novation of Development Loan
Participations dengan UPCAPH dan ACEN
Investments HK Limited ("ACEN HK"), dimana BWE
setuju untuk:
• melakukan pengambilalihan atas:
- 10.200 saham yang mewakili sekitar 51 %
dari jumlah modal disetor dan modal
ditempatkan PT UPC Sidrap Bayu Energi
Tahap II ("SIDRAP 2") yang dimiliki oleh
UPC Renewables Asia V Limited
("UPCRAV") dan UPC Sidrap Expansion
(HK) Ltd . ("UPCSE");
- 19.364 saham yang mewakili sekitar 51%
dari jumlah modal disetor dan modal
ditempatkan PT UPC Sukabumi Bayu
Energi (" Sukabumi ") yang dimiliki oleh UPC
Renewables Asia IV Limited dan UPC
Sukabumi (HK) Ltd.; dan
- 10.200 saham yang mewakili sekitar 51 %
dari jumlah modal disetor dan modal
ditempatkan PT UPC Lombok Timur Bayu
Energi ("Lombok") yang dimiliki oleh UPC
Renewables Asia VIII Limited dan UPC
Lombok (HK) Ltd .
• menerima novasi sebagian piutang atas
de velopment loan participation SI DRAP 2,
Sukabumi , dan Lombok dari PT UPC
Renewables Indonesia ("UPCRI") dan UPC
Renewables Limited ("UPCRL").
Penyelesaian pengambilalihan sebagaimana diatur
dalam Perjanjian Sidrap 1 dan Perjanjian OMI di atas
tunduk pada pemenuhan syarat pendahuluan yang
diatur dalam masing-masing perjanjian tersebut,
termasuk antara lain, penerimaan atas seluruh izin ,
pengesampingan dan/atau persetujuan yang
dibutuhkan oleh setiap dan seluruh hukum yang berlaku
dan/atau oleh pihak ketiga sehubungan dengan
pengambilalihan I (apabila dipersyaratkan) .

Transaksi pengambilalihan berdasarkan Perjanjian
Sidrap 1 dan Perjanjian OMI tersebut:
a) bukan merupakan transaksi afiliasi sebagaimana
dimaksud dalam Peraturan OJK No .
42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan ("POJK 42")
karena Para Penjual bukan merupakan pihak
terafiliasi dari Perseroan atau pihak terafiliasi dari
anggota direksi , dewan komisaris, pemegang
saham utama atau pengendali dari Perseroan.
b) bukan merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42 .
c) merupakan transaksi material sebagaimana
dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha ("POJK 17") yang
dikecualikan dari kewajiban menggunakan penilai
untuk menentukan nilai wajar dan memperoleh
persetujuan dari Rapat Umum Pemegang Saham ,
karena transaksi dilakukan melalui proses lelang
yang dilakukan oleh UPCAPH.
Lebih lanjut, pada tanggal 15 Oesember 2023, BWE
telah melakukan penyelesaian pengambilalihan 10.200
saham yang mewakili sekitar 51% dari jumlah modal
disetor dan modal ditempatkan SIORAP 2 dari UPC RAV
dan UPCSE selaku para penjual dengan harga
pembelian sebesar USO 1.345.754,67 (tunduk pada
penyesuaian yang mungkin dibuat setelah
penyelesaian) serta penerimaan novasi sebagian
piutang atas development loan participation untuk
SIORAP 2 sejumlah USO 19.575,75 dari UPCRI dan
USO 3.805 .299,34 dari UPCRL.
Transaksi ini :
a) bukan merupakan Transaksi Afiliasi sebagaimana
dimaksud dalam POJK 42 karena para penjual
bukan merupakan pihak terafiliasi dari Perseroan
atau pihak terafiliasi dari anggota direksi , dewan
komisaris , pemegang saham utama atau
pengendali dari Perseroan.
b) bukan merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42 .
c) bukan merupakan Transaksi Material sebagaimana
dimaksud dalam POJK 17, karena:
- nilai transaksi tidak mencapai 20% dari ekuitas
Perseroan berdasarkan Laporan Keuangan per
31 Maret 2023 ; atau
- perbandingan antara total aset SI ORAP 2 dibagi
dengan total aset Perseroan tidak mencapai
20% ; atau

- perbandingan antara laba bersih SIDRAP 2
dibagi dengan laba bersih Perseroan tidak
mencapai 20% ; atau
- perbandingan antara pendapatan usaha
SIDRAP 2 dibagi dengan pendapatan usaha
Perseroan tidak mencapai 20%.
Lebih lanjut, apabila transaksi pengambilalihan
Sukabumi dan Lombok telah diselesaikan , maka
pengambilalihan tersebut:
a) bukan merupakan Transaksi Afiliasi sebagaimana
dimaksud POJK 42 karena para penjual bukan
merupakan pihak tera1filiasi dari Perseroan atau
pihak terafiliasi dari anggota direksi, dewan
komisaris , pemegang saham utama atau
pengendali dari Perseroan .
b) bukan merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42.
c) bukan merupakan Transaksi Material sebagaimana
dimaksud dalam POJK 17, karena:
- nilai transaksi tidak mencapai 20% dari ekuitas
Perseroan berdasarkan Laporan Keuangan per
31 Maret 2023 ; ataw
- perbandingan antara total aset Sukabumi dan
Lombok dibagi dengan total aset Perseroan
tidak mencapai 20%; atau
- perbandingan anta~a laba bersih Sukabumi dan
Lombok dibagi dengan laba bersih Perseroan
tidak mencapai 20% ; atau
- perbandingan antara pendapatan usaha
Sukabumi dan Lombok dibagi dengan
pendapatan usaha Perseroan tidak mencapai
20%.
On 15 December 2023, PT Barito Wind Energy ("BWE"),
a 99.99% controlled subsidiary of the Company, has
signed conditional agreements with the following details:
a) Agreement for the Sale and Purchase of Shares in
PT UPC Sidrap Bayu Energi with UPC Renewables
Asia Pacific Holdings Pte. Ltd. ("UPCAPH"), ACEN
Renewables lntematioroal Pte. Ltd. ("ACRI"), UPC
Renewables Asia Ill Limited ("Asia Ill"), Sidrap (HK)
Limited ("Sidrap HK"), and Sunedison Sidrap B. V.
("SunEd BV') (UPCAPH, ACRI, Asia Ill, Sidrap HK,
and Sun Ed B V collectively referred to as the
"Sellers"), where BWE agreed to acquire of515,515
class A shares and 34,368 class B shares
representing approximately 99, 99% of the total paid-
up capital and issued capital of PT UPC Sidrap Bayu
Energi ("SIDRAP 1") owned by the Sellers ("Sidrap

b) Agreement for the Sale and Purchase of Shares in
PT UPC Operation and Maintenance Indonesia with
UPCAPH, where BWE agreed to acquire 2,499 of
shares representing approximately 99,99% of the
total paid-up capital anid issued capital of PT UPC
Operation and Maintenance Indonesia ("OM/")
owned by UPCAPH ("OM/ Agreement'').
c) Agreement for the Sale and Purchase of Relevant
Sale Shares and the novation of Development Loan
Parlicipations with UPCAPH and ACEN Investments
HK Limited ("ACEN HK"), where BWE agreed to:
• acquire:
- 10,200 shares representing approximately
51% of the total paid-up capital and issued
capital of PT UPC Sidrap Bayu Energi
Tahap II ("S/DRAP 2") owned by UPC
Renewab/es Asia V Limited ("UPCRA V')
and UPC Sidrap Expansion (HK) Ltd.
("UPCSE");
- 19,364 shares representing approximately
51% of the total paid-up capital and issued
capital of PT UPC Sukabumi Bayu Energi
("Sukabumi") owned by UPC Renewab/es
Asia IV Limited and UPC Sukabumi (HK)
Ltd; and
- 10,200 shares representing approximately
51% of the total paid-up capital and issued
capital of PT UPC Lombok Timur Bayu
Energi ("Lombok'') owned by UPC
Renewables Asia VIII Limited and UPC
Lombok (HK) Ltd.
• received a novation of a porlion of the
receivables in relation to the development loan
parlicipation of SIDRAP 2, Sukabumi, and
Lombok from PT UPC Renewab/es Indonesia
("UPCR/") and UPC Renewables Limited
("UPCRL '') .
The acquisition completion under Sidrap 1 Agreement
and OM/ Agreement will be subject to the fulfillment of
the conditional precedents as stipulated in each such
agreement, including among others, receipt of all
consents, waivers, and/or approvals required by any and
all applicable laws and/or by third parties for the
acquisition (as may be applicable) .
The perlaining acquisition transaction based on Sidrap 1
Agreement and OM/ Agreement:
a) is not an affiliate transaction under OJK
Regulation No. 42/POJK.0412020 concerning
Affiliate Transaction and Conflict of Interest
Transaction ("POJK 42") because each of the
Sellers is not an affiliated party of the Company
or an affiliated parly of members of the board of
directors, board of commissioners, primary or
controlling shareholders of the Company.

b) is not a conflict-of-interest transaction under
POJK 42.
c) constitutes a material transaction under OJK
Regulation No. 17/POJK.0412020 concerning
Material Transaction and Changes in Business
Activities ("POJK 17") which is exempt from the
obligation to use aro appraiser to determine the
fair value and obtain approval from the General
Meeting of Shareholders, because the
transaction was carried out through a bidding
process conducted by UPCAPH.
In relation to the above, on 15 December 2023 BWE has
completed the acquisition of 10,200 shares representing
approximately 51% of the total paid-up capital and
issued capital of SIDRAP 2 from UPCRAV and UPCSE
as the sellers for a purchase price of USO 1,345,754.67
(subject to adjustments that may be made post-
completion), and the novation of a portion of the
receivables in relation to the development loan
participation for SIDRAP 2 in the amount of USO
19,575.75 from UPCRI and USO 3,805,299.34 from
UPCRL. These transactions:
a) is not an Affiliate Transaction under POJK 42
because each of the sellers is not an affiliated party
of the Company or an affiliated party of members of
the board of directors, board of commissioners,
primary or controlling shareholders of the Company.
b) is not a conflict-of-interest transaction under POJK
42.
c) is not a Material Transaction under POJK 17,
because:
- the transaction value does not reach 20% of the
Company's equity based on Financial Report as
of March 31, 2023; or
- the comparison between total assets of SIDRAP
2 divided by the total assets of the Company
does not reach 20%; or
- the comparison between SIDRAP 2's net profit
divided by the Company's net profit does not
reach 20%; or
- the comparison between SIDRAP 2's operating
income divided by the Company's operating
income does not reach 20%.
Furthermore, if the acquisition of Sukabumi and Lombok
has been completed, then such acquisition:
a) is not an Affiliate Transaction under POJK 42
because each of the se1/lers is not an affiliated party
of the Company or an affiliated party of members of
the board of directors, board of commissioners,
orimarv or control/in a shareholders of the Comoany.

b) is not a conflict-of-interest transaction under POJK
42.
c) is not a Material Transaction under POJK 17,
because:
- the transaction valu,e does not reach 20% of the
Company's equity based on Financial Report as
of March 31, 2023; or
- the comparison between total assets of
Sukabumi and Lombok divided by the total
assets of the Company does not reach 20%; or
- the comparison between Sukabumi and
Lombok's net profit divided by the Company's
net profit does not r;each 20%; or
- the comparison between Sukabumi and
Lombok's operating income divided by the
Company's operating income does not reach
20%.
